RESOLUTION ACCEPTING QUIT CLAIM DEED FOR TOWER PROPERTY
AND ADJACENT WALKWAY EASEMENTS FROM MP LEMONT, LLC.
WHEREAS, the Village of Lemont entered into a Redevelopment Agreement on May 15, 2006
approved by Ordinance 0 -28 -06 with Marquette Property Investments, Inc. and MP Lemont, LLC; and
WHEREAS, the Redevelopment Agreement requires that Marquette Property Investments, Inc. with
MP Lemont, LLC deed property for public uses to include road rights -of -way, parking garage, plaza and
walkways; and
WHEREAS, on August 22, 2006, Assignment and Assumption of the Redevelopment Agreement
between the Village and Marquette Property Investments, Inc with MP Lemont, LLC was formalized.
NOW, THEREFORE, BE IT RESOLVED by the Village President and Board of Trustees of the
Village of Lemont, that the Village of Lemont hereby accepts the following property from MP Lemont, LLC:
1) Quit Claim Deed for Tower Property and Walkway Easements legally described on Exhibits
A, B, and C of the Quit Claim Deed attached hereto as Exhibit 1.
PASSED AND APPROVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF LEMONT, COUNTIES OF COOK, WILL, AND DU PAGE, ILLINOIS on this 27"'

This indenture, made this day of , 2008, between MP Lemont, LLC, an
Illinois limited liability company ( "Grantor "), and Village of Lemont, a municipal corporation
within the State of Illinois and the County of Cook, 418 Main Street, Lemont, Illinois, 60439
( "Grantee ").
WITNESSETH, that Grantor, for and in consideration of the sum of Ten and 00 /100
Dollars ($10.00) and good and valuable consideration in hand paid by Grantee, the receipt
whereof is hereby acknowledged, and pursuant to authority of its , by
these presents does CONVEY AND QUIT CLAIM unto Grantee, and to its heirs and assigns,
FOREVER, the real estate, situated in the County of Cook and State of Illinois known and
legally described in Exhibit A attached hereto (the "Walkway Property").
SUBJECT TO: Covenants, conditions, easements, building lines and restrictions of
record and general real estate taxes not yet due and payable.
SUBJECT TO: A perpetual, non - exclusive easement for the benefit of the adjacent
property described on Exhibit B attached hereto ( "Adjacent Property "), Grantor, and its
successors and assigns over and across those portions of the Walkway Property described herein:
(i) over and across the Walkway Property for access to and from the Adjacent
Property and a public way;
(ii) for the installation, continued existence, use, alterations, maintenance, repair
and replacement of facilities and components located, or from time to time installed in,
the Walkway Property which are, or will be, part of a system which serves the Adjacent
Property and access thereto; and
(iii) in and to all structural members, footings, caissons, foundations, columns
and beams which are part of the building on the Walkway Property is hereby declared for

the support of all improvements and structures which are part of the building on the
Adjacent Property.
Grantor does hereby also grant a perpetual, non - exclusive easement for the benefit of the
Walkway Property, Grantee, and its successors and assigns over and across those portions of the
Adjacent Property described in Exhibit C attached hereto ( "Tower Property"):
(i) for the installation, continued existence, use, alterations, maintenance, repair
and replacement of facilities and components located, or from time to time installed in,
the Tower Property which are, or will be, part of a system which serves the Walkway
Property and access thereto; and
(ii) in and to all structural members, footings, caissons, foundations, columns and
beams which are part of the building on the Tower Property for the support of all
improvements and structures which are part of the building on the Walkway Property.
