RESOLUTION AUTHORIZING ADOPTION OF AN ENGINEERING AGREEMENT

WHEREAS, the Village of Lemont has committed resources to perform a Phase I
design study for a section of State Street; and
WHEREAS, the Village of Lemont has selected BEAM, LONGEST AND NEFF to
perform design engineering on this project; and
WHEREAS, the Village has received FAU funding on the design and construction
of this project; and
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
that the attached Engineering Agreement be approved.

This is an AGREEMENT between the Village of Lemont, 418 Main Street, Lemont,
Illinois 60439, hereinafter referred to as the "VILLAGE" and Beam, Longest and Neff, Inc.,
951 North Plum Grove Road, Suite F, Schaumburg, Illinois 60195, a firm of Consultants,
hereinafter referred to as the "CONSULTANT ".
The VILLAGE proposes to engage the CONSULTANT to furnish certain Phase I
professional engineering services described in Section 2 in connection with the State Street
improvement between Peiffer Street to Illinois Street in the Village of Lemont, Cook County,
Illinois, hereinafter referred to as the "PROJECT ".
The CONSULTANT represents that he is in compliance with Illinois Statutes relating to
professional registration of individuals and to corporate practice, if a corporation, for rendering
such services.
The CONSULTANT, in signing this AGREEMENT, certifies that he has no financial
or other interests in the outcome of this project.
Under penalties of perjury, the CONSULTANT certifies that 35- 0925120 is their correct
Federal Taxpayer Identification Number and they are doing business as a corporation.
In consideration of these premises, the parties hereto agree as set forth in the following
pages numbered 2 - 21 inclusive.
This AGREEMENT entered into this day of August , 1995.

Item (f)
Beam, Longest & Neff, Inc. was the engineer for the City of Brazil,
Indiana on a sanitary sewer designed in 1986 and constructed in
1988. The contractor completed the project and sued for its
retainage due to delay in payment. The city counter -sued the
contractor for construction faults in 1993 and later, added Beam,
Longest & Neff, Inc. to the counter -suit. Beam, Longest & Neff,
Inc. counter -sued the City of Brazil in 1995.
CNA Insurance is pursuing the matter through our errors and
omissions policy. Beam, Longest & Neff, Inc. believes it to be a
frivolous suit.

The services will be provided based upon the following terms and conditions:
1.0 INCORPORATION BY REFERENCE
The Illinois Department of Transportation's "Standard Agreement Provisions for
Consultant Services," dated 1990 hereinafter referred to as the "STANDARD
PROVISIONS" are incorporated and made part of this AGREEMENT except as deleted
or amended hereinafter. (STANDARD PROVISIONS section references shown in
parenthesis).
1.1 (SP 1) Definitions, as they pertain to the PROJECT, are amended to add the following:
1.1.1 IDOT - Department of Transportation, State of Illinois.
1.1.2 Chief of Environmental Science - The Chief of Environmental Science of IDOT.
1.1.3 Environmental Statement - A written statement containing an assessment of the
anticipated significant, beneficial and detrimental effects which the PROJECT
may have upon the human environment.
1.1.4 Categorical Exclusion - A written document in support of a determination that,
should the proposed highway section improvement be constructed, the action will
not induce significant, foreseeable alterations in land use, planned growth,
development patterns, traffic volumes, travel patterns, or natural or cultural
resources.
1.1.5 Section 4(0 Land - Any land from a public park, recreation area, wildlife and
water fowl refuge or historic site which a transportation plan or project proposes
to use.
1.2 (SP.1.17) Wherever the word DEPARTMENT is used, it shall be construed to mean the
VILLAGE, except in STANDARD PROVISIONS, the word DEPARTMENT shall also
include ILLINOIS DEPARTMENT OF TRANSPORTATION in Subsections 2.12, 2.24,
2.31, 2.32 and Section 6, in its entirety.
1.3 (SP 2.21c) For purposes of administering Section 2.21c of the STANDARD
AGREEMENT PROVISIONS for Consultant Services, the fee was negotiated anticipating
that the Phase I work would be completed by August, 1996 which includes review time
by the VILLAGE and ILLINOIS DEPARTMENT OF TRANSPORTATION.
1.4 (SP 2.41) The CONSULTANT shall invoice the VILLAGE in a format acceptable to
the VILLAGE and CONSULTANT.

2.0 SCOPE OF WORK
The PROJECT is anticipated to be a Categorical Exclusion Type II Action. Phase I
Engineering will involve the preparation of a Project Development Report. No right -of-
way acquisition, Section 106 Report or 4(f) Report is anticipated for this project.
Roadway and /or intersection re- alignments are not part of this study.
The intersection of State Street and Illinois Street was recently improved in 1993 as an
IDOT- Bureau of Local Roads and Street's project State Street south of Peiffer including
the intersection of 127th Street was recently improved in 1994 as an IDOT- Bureau of
Design project. The limits of this State Street improvement would improve the roadway
between these two recent improvements.
The CONSULTANT will perform or be responsible for the performance of the services
outlined below. The engineering studies will be performed in accordance with IDOT's
Bureau of Local Roads and Streets requirements for Local Agency Federal Aid Projects.
2.1 Phase I - Engineering Studies:
a) Early Coordination:
Prepare State and N.I.P.C. Clearinghouse notifications.
- Prepare the environmental survey request.
Attend Project Kick -off meeting.
b) Data Collection: The VILLAGE will provide accident records for the current
three year period to the CONSULTANT, and all available project related as -built
plans, right -of -way documents, and traffic data. The CONSULTANT will:
- Obtain aerial mapping at 1:500.
- Obtain available project related information from the outside agencies and
utility companies.
- Prepare a project photolog of existing conditions.
Perform traffic counts.
Analyze three years of accident data and prepare a summary table.
c) Field Survey:
Provide full topographic field survey in accordance with IDOT requirements.
Work will be performed by a subconsultant; refer to Exhibit G.
d) Traffic Analysis:
Obtain 2010 traffic projects from CATS.
Perform existing conditions capacity analysis at the State Street /Logan
Street intersection.
Perform warrant analysis at the State Street /Logan Street intersection.
- Perform unsignalized intersection capacity analysis.

- Perform one (1) intersection capacity analyses for 2010 traffic projections.
The location is the State Street/Logan Street intersection.
- Perform one intersection design study (IDS). The location is the State
Street/Logan Street intersection.
e) Preliminary Design Studies:
Perform concept review for three (3) alternative roadway typical sections
plus no -build condition.
Perform detailed analysis of the preferred alternate roadway typical
section and profile.
- Review costs of resurfacing vs. reconstruction.
- Analyze cross section impacts.
Perform warrant and need analysis for roadway lighting.
- Analyze potential watermain replacement.
- Analyze design options for retaining wall construction along both right -of-
way lines on State Street between Division Street and Logan Street.
- Attend three (3) meetings.
Analyze sidewalk stair treatment, railings and handicap detour route.
Soils Investigations: Provide design soils survey in accordance with IDOT
requirements. Work will be performed by a subconsultant; refer to Exhibit G.
The Phase I engineering work will be limited to Stage I Soils Investigations.
Drainage and Utility Studies: Perform Phase I drainage studies including:
Identifying storm sewer locations, system outfalls and pipe sizes for the
existing drainage system.
- Group tributary areas by outlet, identify ridges and sub - ridges.
- Evaluating the capacity of the existing system according to methods
prescribed by the DEPARTMENT.
Evaluate sewer separation and outfall to Lemont tunnel.
- Performing preliminary design for the proposed storm sewer system.
- Summarizing the drainage studies for inclusion in the Project Development
Report, including exhibit preparation.
- Investigate and identify costs for utility repairs and improvements along
the project including Village and regulated utility companies.
Identification of overhead utilities to be buried.
h) Environmental Studies: Perform the following analyses and review of
environmental issues:

i) Ouantity and Cost Estimates: Perform detailed quantity calculations and
construction cost estimates for the preferred alternative.

Existing and Proposed Traffic
k) Draft Project Development Report: Prepare a draft of the Project Development
Report in the format suited to the requirements of IDOT. Provide four (4) copies
of the report for review.
1) Draft Project Development Report Review: One (1) meeting with the VILLAGE
(and /or IDOT) to resolve report review comments, prior to public release of the
report. Attend one (1) FHWA /IDOT coordination meeting.
m) Public Involvement: Prepare and present one (1) public meeting before the
Village Board. The meeting will be in a public information format. The work
will include disposition of comments received at the meeting.
n) Final Project Report: Incorporate all comments and complete the PDR for
obtaining Design Approval. Provide eight (8) copies.
o) Project Administration: Perform project administration activities, including
scheduling, budget control, manpower planning, quality assurance /quality control,
correspondence and client coordination.
2.2) The CONSULTANT shall exclusively furnish to the VILLAGE all reports, data or other
information prepared, obtained or assembled by him under this AGREEMENT, unless
otherwise directed by the VILLAGE.
j)
2.3) The VILLAGE agrees to furnish the following items:
All presently available survey data and information including standard details and
standard specifications adopted by the VILLAGE and other available data, including
accident data and traffic counts, useful to the work being done by the CONSULTANT.
The VILLAGE also agrees to publish project design legal notices and notices for public
meetings.
3.0) PROJECT SCHEDULE
The CONSULTANT shall commence work on Phase I within five (5) calendar days after
the date of Authority to Proceed. The work will be completed and according to the
schedule presented on Exhibit E, subject to the variability of time requirements for
agency reviews that is beyond the control of the CONSULTANT and the VILLAGE.

4.0) PRIME COMPENSATION
4.1) Phase I - Subject to an Upper Limit of Compensation of $76,470, the CONSULTANT
shall receive as full payment for completing the Phase I work required of him under this
AGREEMENT, reimbursement of his eligible actual costs in accordance with Section
2.45 of the STANDARD PROVISIONS, plus a Fixed Amount of $7,152. The Upper
Limit of Compensation and Fixed Amount are a result of the attached Exhibit D, Cost
Estimate of Consultant's Services for Phase I. The retainage provisions contained in
Section 2.42 of the STANDARD PROVISIONS shall not apply to Direct Non -Salary
Costs. The attached Exhibits, A, B, and C are to be used as set forth in Section 2.42
of the STANDARD PROVISIONS. Invoices shall be prepared in accordance with
Section 2.41.
4.2) The Prime Compensation may be increased or decreased by subsequent agreement
between the contractual and approving parties if there is a major change in the scope,
character or complexity of the Work. Prime Compensation and Specific Rates for Extra
Work may be adjusted in accordance with Section 2.21 of the STANDARD
PROVISIONS, if the duration of the work in any phase extends more than six months
beyond the date of completion stated in Section 4 of this AGREEMENT, due to no fault
of the CONSULTANT.
4.3) In all instances where the VILLAGE shall request specific services of the
CONSULTANT, the CONSULTANT shall indicate to the VILLAGE whether or not the
work shall be considered Extra Work. When requested by the VILLAGE, the
CONSULTANT shall prepare and submit a cost estimate for such Extra Work. In the
event the CONSULTANT, upon written order from the VILLAGE, is required to
perform Extra Work, he shall , in addition to the Prime Compensation, receive payment
for such Extra Work on the following basis:
Subject to a pre - agreed Upper Limit of Compensation for each item of Extra Work, the
CONSULTANT shall be paid at the specified hourly rate of pay for each class of
employee as listed in Exhibit "A" for the actual time the CONSULTANT directly utilizes
each such employee on the Extra Work, plus the CONSULTANT's payroll burden and
overhead costs as listed in Exhibits B and C, plus actual expenses for transportation,
subsistence, and electronic computer service incidental to the Extra Work. Any other
expenses incurred incidental to the Extra Work shall be considered to be overhead costs.

STATE OF ILLINOIS
DRUG FREE WORKPLACE CERTIFICATION
This certification is required by the Drug Free Workplace Act (Ill. Rev. Stat., ch.
127, par. 152.311). The Drug Free Workplace Act, effective January 1, 1992, requires
that no grantee or contractor shall receive a grant or be considered for the purposes of
being awarded a contract for the procurement of any property or services from the State
unless that grantee or contractor has certified to the State that the grantee or contractor
will provide a drug free workplace. False certification or violation of the certification
may result in sanctions including, but not limited to, suspension of contract or grant
payments, termination of the contract or grant and debarment of contracting or grant
opportunities with the State for at least one (1) year, but not to be more than five (5)
years.
For the purpose of this certification, "grantee" or "contractor" means a corporation,
partnership, or other entity with twenty -five (25) or more employees at the time of
issuing the grant, or a department, division, or other entity with twenty -five (25) or
more employees at the time of issuing the responsible for the specific performance under
a contract or grant of $5,000 or more from the State.

A. Publishing a statement:
1. notifying employees that the unlawful manufacture, distribution, dispensing,
possession or use of a controlled substance, including cannabis, is prohibited
in the grantee's or contractor's workplace;
2. specifying the actions that will be taken against employees for violations of
such prohibition;
3. notifying the employee that, as a condition of employment on such contract or
grant, the employee will:
a. abide by the terms of the statement; and
b. notify the employer of any criminal drug statute conviction for a violation
occurring in the workplace no later than five (5) days after such
conviction;
B. Establishing a drug free awareness program to inform employees about:
1. the dangers of drug abuse in the workplace;
2. the grantee's or contractor's policy of maintaining a drug free workplace;

3. any available drug counseling, rehabilitation, and employee assistance
programs; and
4. the penalties that may be imposed upon an employee for drug violations.
C. Providing a copy of the statement required by sub - paragraph (a) to each employee
engaged in the performance of the contract or grant and to post the statement in
a prominent place in the workplace.
D. Notifying the contracting or granting agency within ten (10) days after receiving
notice under part (b) of paragraph (3) of subsection (a) above from an employee
or otherwise receiving actual notice of such conviction.
E. Imposing a sanction on, or requiring the satisfactory participation in a drug abuse
assistance or rehabilitation program by, an employee who is so convicted, as
required by section 5 of the Drug Free Workplace Act.
F. Assisting employees in selecting a course of action in the event drug counseling,
treatment, and rehabilitation is required and indicating that a trained referral team
is in place.
G. Making a good faith effort to continue to maintain a drug free workplace through
implementation of the Drug Free Workplace Act.

We are pleased to have the opportunity to submit the following proposal for performance of a
soil survey for the proposed improvements on the referenced project.
Project Description and Scope of Work
The proposed project from a soils exploration standpoint, will require the scope of work
outlined:
a) Rehabilitation or Reconstruction along approximately 2900 L.F. of State from
the State Street from 200 L.F. south of Illinois Street to Pieffer Avenue.
Method of Performance - Field Work
The typical subgrade soil survey exploration will be accomplished by performing auger borings
spaced at approximately 300 foot intervals on alternate sides of the roadway, and at other points
where significant problem areas are observed:
a) Pavement cores will be made to determine the existing pavement section at each boring
location.
b) Soil survey borings will be extended to a depth of ten (10) feet or to rock with
sampling at 30 inch intervals or more frequently if required to sample all soil
strata.
c) Laboratory testing will include moisture content determinations, consistency
(penetrometer value), determination on cohesive soil samples and
classification tests as required to identify major subgrade soil types.
The soil survey and structure borings will be performed in compliance with the current State of
Illinois, Specification for Soil Survey; and the Soils Manual and Plan Preparation Advisory No.
8 -3 -002.

Method of Performance - Analysis and Report
The boring information will be used to develop soils profile drawings which will be prepared
showing the soil types and test data in accordance with applicable specifications. We understand
that mylar sepia copies of the plan and profile showing existing and proposed grade will be
provided by the Design Engineer for our plotting of the soil profile.
The results of this field exploration and laboratory testing would be used in an analysis and
formulation of our recommendations. Major subject areas for our analysis, recommendations
and report would include:
1 . Existing pavement section and pavement condition.
2. General earthwork recommendations.
3 Identification of soil treatment areas.
4. Soils criteria for input to the pavement design being done by the Design Engineer.
A written report summarizing and presenting the data and recommendations will be prepared by
a Professional Engineer, registered in the State of Illinois.
Timing
We will begin on work after notice to proceed. We plan on mobilizing and doing all the borings
concurrently. Final reports and profiles will be coordinated with Beam, Longest & Neff as the
base plan and profile drawings and other designs are completed.
Fees
We propose to provide this work at the unit rates quoted on the attached Schedule of Services and
Fees, Attachments 1.1 and 1.2. These estimated quantities and unit rates are based on
information as outlined in this proposal and experience on past projects.
On the basis of the above information, we estimate that these services can be provided for a fee
of: $ 5,200.00
