R-387-95 11/13/95RESOLUTION a):21 RESOLUTION TRANSFERRING THE VILLAGE OF LEMONT FRANCHLSE FROM CONTINENTAL CABLEVISION OF WILL COUNTY, L.P. TO CONTINENTAL CABLEVISION OF NORTHERN ILLINOIS, INC. WHEREAS, Continental Cablevision, Inc. through a wholly -owned subsidiary acquired American Cablesystems, Inc. in February 1988; and, WHEREAS, through the acquisition of American Cablesystems, Continental Cablevision acquired the franchise to provide cable service in the village of Lemont; and WHEREAS, Continental Cablevision now desires to transfer the franchise from the books of Continental Cablevision of Will County, L.P., (CCWC) a Massachusetts limited partnership to Continental Cablevision of Northern Illinois, Inc. (CCNI), a Delaware corporation; and WHEREAS, said transfer involves no change in the control of the franchise or the effective ownership of the franchise. NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS: Section l: To the extent required by the Village's ordinance, consent is hereby granted to the transfer of the franchise from Continental cablevision of Will County, L.P., to Continental Cablevision of Northern Illinois, Inc. Section 2: This resolution shall be in effect from and after its passage and adoption according to law. Antonopoulos 14 Continental Cablevision October 18, 1995 Mr. John Antonopoulos, Attorney Village of Lemont 418 Main Street Lemont, IL 60439 Dear Mr. Antonopoulos: Please be advised that later this year, Continental Cablevision is planning to transfer the Bolingbrook franchise from the books of Continental Cablevision of Will County, L.P., a Massachusetts limited partnership (CCWC) to Continental Cablevision of Northern Illinois, Inc. (CCNII), a Delaware corporation. CCNII is a wholly owned subsidiary of Continental Cablevision, Inc. (CCI), the ultimate parent of CCWC. This transaction involves no change of control in that CCI has enjoyed the complete right of control of CCWC since it acquired ownership of American Cablesystems in 1988. Additionally, the change in ownership is simply a transfer from one wholly owned corporate entity to another wholly owned corporate entity where CCI's ultimate ownership was approved with the American transfer. Continental is effecting this transfer in an effort to reduce its auditing, budgeting and other accounting procedures and obligations. The Village's Ordinance is unclear as to whether prior consent is required in such a circumstance as this. I have therefore taken the liberty of drafting a resolution consenting to the transfer, if necessary, for your consideration. Should you have any questions, please feel free to contact me.
