"Resolved, That NBD Bank Lemont, Lemont, Illinois, is hereby designated a depository in which funds of this organization may be deposited, and that any officer of this organization hereby is authorized for and on behalf of this organization to open an account or accounts with said depository and to make such arrangements for the conduct thereof as he / she shall deem proper, and, also, that any officer, agent, or employee hereby is authorized to deposit the funds of this organization in such account or accounts, and to endorse for deposit or collection checks, drafts, orders for the payment of money, notes, certificates of deposit, and like obligations or instruments. Endorsements for deposit or collection may be by the written or stamped endorse- ment of the organization, without designation of the person making the endorsement." 2. "Resolved, also, that said NBD Bank Lemont hereby is authorized to pay out funds on deposit or order of withdrawals with it to the credit of this organization, upon checks or other orders for the payment of money drawn upon said depository, and signed in the name of this organization by any 2 of the following, to wit:" (number of signatures required on each instrument) Treasurer Jean Nona Administrator Steven A. Jones President Richard Kwasneski (indicate titles of officers and other person authorized to sign checks, for example: President, Treasurer, etc.; also please indicate in what manner the above named officers are to sign — singly, any two, or jointly, etc.) The term "orders," as used herein, shall include the authority and power of NBD Bank Lemont to honor, execute and charge to the account(s) of this organization without limit as to amount, any and all automatic or electronic debit entry authorizations, telephonic, telegraphic, oral or written requests, singly, from any of the officer(s) or person(s) authorized, from time to time, to act for this organization hereunder ( "designated person "), for the transfer of funds from this organization's account(s) with NBD Bank Lemont to any other account(s) of either this organization or a third party whether such account(s) are with NBD Bank Lemont or other banks. Although NBD Bank Lemont is hereby authorized to verify orders for third -party transfers by calling a designated person, other than the original caller, NBD Bank Lemont is not required hereby so to act, but is authorized to act, without inquiry, upon requests received by it from any person who represents himself or herself to it to be a designated person. NBD Bank Lemont is authorized to refuse to make any transfer, when, in its sole and absolute discretion, such request constitutes an improper and unauthorized direction for the transfer. Any transfer order shall not be in an amount in excess of the collected amount on deposit in any such account(s). If in excess, NBD Bank Lemont need not make a transfer, and shall not be liable for damages, losses or expenses (including attorneys' fees), resulting from its failure so to do; provided, however that if, in such circumstances, NBD Bank Lemont does make a transfer, the organization, in all events, shall be liable for the amount so transferred. If multiple transfers to be made from one account are in excess of the collected amount on deposit therein, NBD Bank Lemont shall, without liability whatsoever, have the authority and power to make such transfer or transfers in such manner and in such amounts as it, in its sole and absolute discretion, may determine. NBD Bank Lemont shall not be liable for damages, losses or expenses (including attorneys' fees), caused by any transfer, when ordered singly by any designated person or for its failure or delay in making any transfer of funds due to electronic, mechanical or other technical difficulties, or resulting from delays in posting deposits to or withdrawals from this organization's account(s). NBD Bank Lemont is authorized to record electronically all telephonic orders received by its wire services area from a designated person and to retain such recordings for ninety (90) days following the date of the order to transfer, to allow recovery of verbal orders, when desired. Any discrepancy between the organization's records of transfers and said NBD Bank Lemont's statement shall be brought to the attention of the Bank in writing within twenty (20) days after the statement date, otherwise the statement shall be and become conclusive. 3. "Resolved, also, that said NBD Bank Lemont shall not in any way be responsible for, or have any obligation to inquire into the circumstances of the issuance of any check or other order for the payment of money, or other instrument signed as hereinabove provided, or the application, disposition, or use of any such check, order or instrument or the proceeds thereof, or of any of the funds deposited with it as hereinabove provided, and shall honor, receive, certify, and pay any and all checks and other orders for the payment of money and other instruments signed as aforesaid, whether or not payable or endorsed to the order of any officer or other person signing or countersigning the same, or of any other officer or employee of this organization, and whether or not deposited to the individual credit of or used in payment of the individual obligation of, or tendered for cashing by any officer or other person signing or countersigning the same, or of or by any of the other officers or employees of this organization." 4. "Resolved, also, that each of the aforementioned officers or other persons authorized to act for this organization in any case aforesaid hereby is authorized without the concurrence of any other officer or person: (a) "To identify, approve, and guarantee the endorsement of any payee or endorser of any checks or drafts drawn by this organization; (b) "To waive presentment, demand, protest, and notice of dishonor or protest, and to give instructions in regard to the handling or de(; any negotiable or non - negotiable papers or documents involved in any of said transactions; and (c) "To act for this organization in the transaction of all other business for its account with said NBD Bank Lemont." "Resolved, also, that the Treasurer of this organization shall file with said NBD Bank Lemont a certified copy of this resolution under the seal of the organization, and also shall file with said NBD Bank Lemont a list of the persons at the present time holding the offices above mentioned in this organization, and said NBD Bank Lemont as against this organization shall be entitled to presume con- clusively that the persons so certified as holding such office respectively continue to hold the same until otherwise notified in writing by the Treasurer of this organization, and said Treasurer is authorized and directed to certify that the provisions hereof are in conformity with the constitution, by -laws and other rules of this organization." 6. Resolved, also, that this resolution and the authorization(s) herein set forth shall remain in full force and effect and binding upon this organization until written notice of the modification, repeal or discontinuance thereof shall have been delivered to and actually received by said NBD Bank Lemont at its offices in Lemont, Illinois, but no such notice shall impair or otherwise be effective with respect to any check, order or other instrument for the payment of monies dated on or prior to the receipt of such notice of modification, repeal or discontinuance." And I do further certify that the above resolution has not been in any way altered, amended, or repealed and is now in full force and effect.
