RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT
WITH THE CANAL CORRIDOR ASSOCIATION AND
DOWNTOWN LEMONT, INC. FOR MAIN STREET
PARTNERSHIP SERVICES IN 1995
WHEREAS, the Village of Lemont has received services from the Canal Corridor
Association in conjunction with the municipality's designation as a "Main Street
Community;" and
WHEREAS, the three year designation period has elapsed; and
WHEREAS, the Canal Corridor Association seeks to provide additional services to
Lemont during 1995; and
WHEREAS, the Village of Lemont and Downtown Lemont, Inc. seek to receive
additional Main Street Services.
NOW, THEREFORE, BE IT RESOLVED that the Village President is authorized to
execute the attached Memorandum of Agreement between the Village of Lemont, Downtown
Lemont, Inc. and the Canal Corridor Association.

MEMORANDUM OF AGREEMEN
Main Street Partnership -- 4th Year Main Stree
This AGREEMENT is entered into and executed by the Canal Corridor Association (hereinafter
referred to as the ASSOCIATION) and, Downtown Lemont, Inc. and the Village of Lemont
(hereinafter referred to as the PARTICIPANT.)
1. Parties
ASSOCIATION is a private, not - for - profit Illinois corporation organized to preserve and
enhance the historic sites and unique landscapes within the Illinois and Michigan Canal National
Heritage Corridor, the nation's first heritage corridor designated by the U.S. Congress.
PARTICIPANT comprises the local village government and a not - for - profit organization
created to manage a local Main Street program described herein in the municipality of Lemont
located in the aforesaid Illinois and Michigan Canal National Heritage Corridor.
2. Purposes
Whereas, PARTICIPANT has successfully completed a three -year partnership with
the Canal Corridor Association and desires that the partnership continue; and
Whereas, the Canal Corridor Association desires to continue the relationship which has
been established with PARTICIPANT;
Now therefore, in consideration of the foregoing and mutual covenants and agreements
contained herein, the parties have agreed to do as follows:
SECTION I. The ASSOCIATION agrees to:
1. Designate a Regional Director to act the liaison with and handle communications between
the PARTICIPANT and the ASSOCIATION.
2. Designate the Village of Lemont as an Illinois & Michigan Canal National Heritage Corridor
MAIN STREET Community.
3. Provide the following regional and on -site technical assistance and training services:
A. An evening regional Business Retention /Recruitment workshop to help sharpen local
retention /recruitment knowledge and skills. The workshop will showcase case studies from other
communities and will be held at a central heritage corridor location.
B. A minimum of three (3) day -long Program Manager training & networking workshops

held at rotating locations in the Heritage Corridor designed to further develop and refine skills
of managers. Interested volunteers are also invited to attend.
C. A one -day, on -site Technical Assistance visit, the focus of which will be geared to
specific needs identified by the PARTICIPANT.
D. A one -day, on -site (or equivalent thereof) Design Assistance visit, the focus and format
of which will be tailored to the needs of PARTICIPANT.
E. A two -day, on -site Annual Program Self - Assessment to provided a joint review of the
program's progress and help build consensus on work plan priorities for the upcoming year.
F. A day -long Main Street Idea Exchange to be held jointly with the Indiana, Illinois,
Kentucky and Iowa Main Street programs at Starved Rock Park and which will feature 4 -Point
case studies from throughout the midwest.
G. When appropriate, the PARTICIPANT is welcome to attend training sessions provided
to other designated Heritage Corridor Main Street participants.
4. As requested, and as scheduling permits, ASSOCIATION staff will conduct additional on-
site visits to facilitate the progress of the local Main Street program.
Furthermore, the ASSOCIATION agrees to:
5. Provide information and advice to the local program manager, board of directors and
committee members on a continuing basis.
6. Maintain regular phone contact with the program manager to evaluate the response to, and
progress of the program and to discuss individual technical assistance needs of the program;
7. Facilitate on -going coverage of the progress of the local and regional programs through the
Main Street newsletter, the Annual report, and media coverage.
8. Designed to supplement and enhance the services outlined above, all Heritage Corridor Main
Street communities will be encouraged to take advantage of the following services which will
be offered only if additional funding is secured:
A. A Business Retention Assistance program which includes a series of regional
workshops on topics of interest to retailers and other businesses which will be complemented by
a limited number of one -on -one technical assistance site visits with downtown businesses.
B. A Bed & Breakfast Accommodations Study which includes "How -To" training
workshops and at least two, site - specific feasibility studies. Services are designed to stimulate
the creation of B &B establishments in the Heritage Corridor.

C. A Growth Management workshop to assist communities deal with development
pressures and develop a balanced approach to preserving the communities unique sense of place
and accommodating new development.
The ASSOCIATION reserves the right to cancel on -site services if the local program manager
and majority of persons designated to participate have not committed to participation at least 48
hours before the scheduled event.
SECTION II. The PARTICIPANT agrees to:
1. Maintain an active volunteer board of directors, representative of all downtown interest to
oversee the continuing development and implementation of the local Main Street program.
(Attach list of BOARD OF DIRECTORS & COMMITTEE CHAIRS as Exhibit A.)
2. Establish a strong committee system to include but not be limited to the following
committees: design, economic restructuring, promotion, organization.
3. Concentrate the focus of the local Main Street program within the designated downtown
program area.
4. Develop, implement, and maintain program commitment to the comprehensive Main Street
Four -Point Approach as advocated by the National Main Street Center.
5. Adopt an annual written workplan for the local Main Street program. (Attach WORKPLAN
as Exhibit B) and an annual budget for operating and implementing the Main Street program.
(Attach BUDGET as Exhibit C.)
6. Employ a full -time Main Street program manager whose sole responsibility will be the day -
to -day administration and coordination of the local Main Street program. (Attach MANAGER
JOB DESCRIPTION as Exhibit D.)
In the event the Main Street Manager position is vacated during the term of this Agreement, the
Participant agrees to fill the position within a reasonable time. The Partnership reserves the
right to review Main Street designation if the position is vacated for more than four (4) months.
Upon replacing a manager, the Participant will be required to send the new manager to a
comprehensive Main Street training program or provide records of prior attendance.
7. Submit quarterly program updates using a format provided by the ASSOCIATION to
document progress and impact of program.
8. Provide the ASSOCIATION two copies of any materials published or produced by the
PARTICIPANT.
9. Assist the ASSOCIATION with arrangements for technical assistance, public relations or
other site visits to the community.

10. Maximize local benefit of technical services by promoting and encouraging board member
and volunteer attendance at local and regional training opportunities provided by the
ASSOCIATION.
11. Authorize the local program manager's participation in Main Street manager meetings
scheduled periodically in the region and encourage attendance at other appropriate training
opportunities, including the annual National Town Meeting.
12. If requested by ASSOCIATION, and as scheduling permits, serve as a resource to regional
Main Street Partnership activities sponsored by the ASSOCIATION.
SECTION III. The PARTIES hereto otherwise agree as follows:
1. The term of this agreement shall be from January 1, 1995 - September 30, 1995.
2. If PARTICIPANT is a not - for - profit private or public corporation, PARTICIPANT warrants
that it is a duly chartered corporation and shall submit a copy of its corporate charter and a copy
of its bylaws to the ASSOCIATION.
3. This agreement shall be binding upon and shall inure to the benefit of the parties and their
successors.
4. The ASSOCIATION is limited to furnishing its services to the PARTICIPANT and thus
nothing contained herein shall create any employer - employee relationship.
5. Notwithstanding any other provisions of this Agreement, if funds anticipated for the
continued fulfillment of the Agreement are at any time not forthcoming or insufficient, each
party respectively shall have the right to amend or terminate the Agreement without penalty by
giving not less than sixty (60) days written notice.
6. This document memorializes all elements of this agreement, and both incorporates and
and supersedes any previous agreements or negotiations, whether oral or written.

NATURE OF POSITION
The Program Manager is responsible for the daily administration and activities of the
Lemont Main Street Program and downtown tax increment finance (TIF) district. Under
the general direction of the President of Downtown Lemont, Inc. (DLI) and direct
supervision of the Community Development Director, the Program Manager provides the
staff support and leadership to fulfill the goals of the Lemont Main Street Program and
downtown TIF district.
EXAMPLES OF WORK
1. Provide daily administration of DLI. Conduct required business activities as well as
those specific activities assigned by the President or Committee Chairs.
2. Provides staff assistance to identify and implement overall needs of downtown tax
increment finance district.
3. Coordinate formulation, preparation and adoption of the annual DLI and TIF district
budgets.
4. Provide policy input and recommendations regarding design, economic restructuring,
organization, promotion and TIF activities. Facilitates, and when necessary,
implements committee and Board policy decisions. Assists committees with work
plan preparations.
5. Work with president and committee chairpersons to formulate agendas for DLI
Board and committee meetings. Attend required meetings of the Village and DLI.
6. Establishes relationships with business and property owners within the downtown and
TIF ara in order to identify issues of concern or assistance.
7. Initiate and coordinate communications between the Village, DLI, and area taxing
bodies, media, Chamber of Commerce and other appropriate organizations in order
to maximize awareness of downtown TIF activities.
8. Work with businesses and lending institutions to assist with financing, renovation or
expansion plans within downtown and TIF area.
9. Provide all necessary reports to national and regional Main Street organizations.
Provides required activity reports to Village and DLI.
10. Coordinates the activity of any outside consultants which may be retained by the
Village or DLI pertaining to the downtown or TIF area.
11. Participates in professional development opportunities which relate to the Lemont
Main Street Program, or general TIF planning issues.
12. Performs other duties as required or assigned which are reasonably within the scope
of the duties enumerated above.
QUALIFICATIONS
Considerable knowledge and familiarity with the promotion, preservation and function of
downtown businesses.
Considerable knowledge of the practices and procedures related to managing a volunteer
organization.
Knowledge of the organization of local government and the interaction of departmental
units.
Knowledge of principles of historic preservation.
Knowledge of Board dynamics and the ability to successfully work within a Board
environment.
Ability to perform highly detailed reviews and technical studies.
Knowledge of planning research techniques, statistical reporting methods and computer
applications.
Knowledge of economic development and incentive financing principles.
Ability to make public presentations and to interact with Board members, members of the
community and Village staff.
Ability to prioritize and complete projects independently and in a timely manner.
Ability to interact with the public under general and difficult work situations.
Possession of a valid Illinois driver's license.
EDUCATION AND EXPERIENCE
Graduation from an accredited college or university with a degree in planning, public
administration, marketing, or a closely related field. Applicable work experience may be
considered in lieu of educational requirements. Minimum of 2 -3 years experience required,
preferably within a Main Street, planning or economic development environment.

The physical demands described here are representative of those that must be met by an
employee to successfully perform the essential functions of this job. Reasonable

Work is performed mostly in office settings. Some outdoor work is required during
interaction with downtown activities and merchants. Hand -eye coordination is necessary to
operate computers and various pieces of office equipment.

hands and arms. The employee is occasionally required to stand or walk.
