RESOLUTION ANNEXING LAND ADJACENT 883
TO THE VILLAGE OF LEMONT THAT IS OWNED BY
THE METROPOLITAN SANITARY DISTRICT OF GREATER CHICAGO
WHEREAS, The Metropolitan Sanitary District of Greater Chicago,
owns land which is contigiuous to the Village of Lemont, Cook County,
Illinois;
WHEREAS, it is in the best interest of the parties that said
land be annexed to and made part of the Village of Lemont;
THEREFORE, BE IT RESOLVED by the President and Board of Trustees
of the Village of Lemont as follows:
Section 1: That the Village of Lemont hereby annexes the follow-
ing described property pursuant to the attached annexation agreement
dated April 7, 1988
That part of Section 20, Township 37 North, Range 11
East of the Third Principal Meridian, described as
beginning at the intersection of the West line of
Section 20 and the North line of the Sanitary, Drainage
& Ship Canal; thence Northeasterly along said North line
to the East right -of -way line of Stephen Street, as dedi-
cated; thence Southeasterly along said East right -of -way
line to the Northerly right -of -way line of the Atchison,
Topeka & Santa Fe Railroad; thence Southwesterly along
last said Northerly right -of -way line to the centerline
of Stephen Street; thence Southeasterly along said center-
line of Stephen Street to a point 546.6 feet Southerly
of the centerline of the Main Channel of the Sanitary,
Drainage & Ship Canal, as measured along said centerline
of Stephen Street, thence Westerly on a line curved to
the right, convex to the South, and having a radius of
5729.65 feet, for a distance of 2178.9 feet, more or less,
to a point of tangent, said point of tangent being 609.5
feet Southerly of and normally distant from the centerline
of said Main Channel at a point 2168.5 feet Westerly of the
centerline of said Stephen Street, measured along the
centerline of said Main Channel; thence Westerly along
a staight line tangent to last described curved line, to
the West line of said Section 20; thence North along said
West line to the point of beginning (excepting therefrom
the South 110 feet lying West of the centerline of Stephen
Street), all in Cook County, Illinois. All as shown on a
Plat of Annexation, attached hereto and made a part hereof.

Village of Lemint, cook County, Illinois, attached hereto and made
a part of this Resolution.
Section 2: The Village President is hereby directed to record
with the Recorder of Deeds and to file with the County Clerk a
ceritfied copy of this Resolution together with the aforementioned
map of the territory that is attached to this Resolution.
Section 3: This resolution shall be in full force and effect
after The Metropolitan Sanitary District of Greater Chicago, gives
written consent to this Resolution.

ANNEXATION AGREEMENT
THIS AGREEMENT, made this 7th day of April, 1988, by and between the
VILLAGE OF LEMONT, Cook County, Illinois, a municipal corporation (the
"Village ", THE METROPOLITAN SANITARY DISTRICT OF GREATER CHICAGO (the
"Owner ", and TRI- CENTRAL MARINE TERMINAL (the "Lessee ");
W I T N E S S E T H:
WHEREAS, the Owner is the owner of record of certain real estate
which is located in an unincorporated portion of Cook County, Illinois, and
which is legally described as follows:
That part of Section 20, Township 37 North, Range 11 East
of the Third Principal Meridian, described as beginning at the
intersection of the West line of Section 20 and the North line
of the Sanitary, Drainage & Ship Canal; thence Northeasterly
along said North line to the East right -of -way line of Stephen
Street, as dedicated; thence Southeasterly along said East
right -of -way line to the Northerly right -of -way line of the
Atchison, Topeka & Santa Fe Railroad; thence Southwesterly
along last said Northerly right -of -way line to the centerline
of Stephen Street; thence Southeasterly along said centerline
of Stephen Street to a 'point 546.6 feet Southerly of the
centerline of the Main Channel of the Sanitary, Drainage & Ship
Canal, as measured along said centerline of Stephen Street,
thence Westerly on a line curved to the right, convex to the
South, and having a radius of 5729.65 feet, for a distance of,
2178.9 feet, more or less, to a point of tangent, sa44 point of,-

Annexation, attached hereto and made a part hereof.
which real estate is hereinafter referred to as the "Subject Property "; and
WHEREAS, the Lessee is the lessee of the Subject Property; and
WHEREAS, the Subject Property is improved and is not included within
the corporate limits of any municipality, but is contiguous to the Village;
and
WHEREAS, the Owner and Lessee desire that the Subject property be
annexed to the Village and zoned under certain terms and conditions and in
the manner herein specified, and it is in the best interests of the Village
that the Subject property be so annexed and developed in accordance with the
provisions of this Agreement; and
WHEREAS, the Owner, the Lessee and the Village have concluded that the
Subject Property should appropriately be zoned in the M -3 District under
the Zoning Ordinance of the Village; and
WHEREAS, the Owner and Lessee have presented to and filed with the
Village Clerk a duly executed Petition for Annexation of the Subject
property;
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL PROMISES AND
COVENANTS OF THE PARTIES HERETO, IT IS AGREED BY AND AMONG THE PARTIFS
HERETO AS FOLLOWS:
1. The parties hereto respectively agree to do all things''
necessary or appropriate to cause the Subject Property to be validly
annexed to the Village as promptly as possible upon the execution of
this Agreement; said annexation to be upon the terms and condition$'^
set forth in this Agreement.

2. Within 30 days after the annexation of the Subject
Property, the Village agrees to adopt an ordinance zoning the
property as M -3 under the Zoning Ordinance of the Village.
3. As to the Subject property, the Zoning Ordinance will
not be amended or revised so as to prohibit the use of the Subject
Property for its present purposes during the terms of this
Agreement.
4. The Lessee agrees to comply with the applicable
provisions of the Building Code and all other ordinances and
regulations of the Village, and as the same may be amended from time
to time.
5. Notwithstanding the above, the Village agrees that at
no time during the term of this Agreement will the Village interfere
with any of the lawful operations of the Owner as they affect the
Subject Property, or the Owner's property adjacent to the Subject
Property but not within the corporate limits of the Village.
6. This Annexation Agreement shall be valid and binding
for a period of ten (10) years from the date of this Agreement.
7. This Agreement shall inure to the benefit of and be
binding upon the Owner and Lessee, their successors in title,
assignees, lessees, subsequent developers of the Subject property,
and each of them, and upon the Village and successnr,corporite
authorities and successor municipalities of the Village.
8. This Agreement shall be enforceable in any court -o •

action at law or in equity to secure the performance of the
covenants herein contained. •• •
9. If any provision of this Agreement is held invartd;.•
such provisions shall be deemed excised from this Agreement, and the
invalidity thereof shall not affect any of the other provisions
contained herein.
