The proposed scope of work is described in detail within this Request for Proposals. 1.2 THE CONTRACT The VILLAGE has prepared the Request for Proposals and Contract, which VILLAGE intends to enter into with the successful Bidder for performance of the work. The Contract (Exhibit A) is included and made a part of this Request for Proposals. The Request for Proposals shall be a part of the contract. Each Bidder shall carefully examine the proposal document before submitting a Proposal. See Section 2.0 of this Request for Proposals regarding the Bidder's duty to examine all documents. 1.3 PROPOSED COIJ,ECTION AND DISPOSAL, PROGRAM 1.3.1 General Description The VILLAGE desires to enter into a contract for a three (3) year period with an option, at the VILLAGE's request, to extend an additional three years, for the collection and disposal of municipal and residential solid waste, landscape waste, and recyclables from all single - family, townhouse, duplex, and multi - family residential dwellings with four or less individual residential units located in the Village, unless specifically excluded in this Request for Proposals. Any mixed use (residential/commercial) unit shall be excluded from this contract. Collection shall be at least once each week, in accordance with the schedule and rates hereinafter set forth. Service shall be rendered to the VILLAGE as follows: Initial Start -Up Date Collection Day: Municipal Solid Waste and Recyclables April 1, 1999 One, two or three weekdays to be selected by Contractor 1 Collection Day: Landscape Waste One weekday to be selected by Contractor 1.3.2 Requirements Applicable to All Services • (A) Reporting. The CONTRACTOR shall prepare and submit to the VILLAGE reports detailing solid waste disposal, recycling and landscape waste collection activities for the previous month, including without limitation, recycling participation rate, the amount of solid waste, recyclables or landscape waste collected. (B) Services to he Rendered in a Professional Manner, The services to be rendered by the CONTRACTOR herein shall be performed in an orderly, efficient, and professional manner, with a work force and equipment adequate to accomplish the same on a regular basis despite adverse conditions, equipment breakdowns or similar hindrances, all to the reasonable satisfaction of the VILLAGE. CONTRACTOR shall not litter premises in the process of making collections, nor allow any waste to blow or fall or spill from any vehicle used for collections. CONTRACTOR shall repair or replace at its expense containers damaged as a result of its handling thereof, reasonable wear and tear excepted. (C) ,Starting Time. Holidays to be observed by the CONTRACTOR are as follows: New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and Christmas Day. No pick -up will be rendered on such holidays. Regular service shall be established on the next calendar day. • (E) Equipment Storagg No equipment or materials used to provide collection service shall be stored on any property, public or private, within the corporate limits of the VILLAGE unless otherwise agreed to by the parties, in writing. (F) Each Bidder is encouraged to propose any alternative service level option or options, including collection of additional types of recyclables, of which the Bidder may be aware that would meet the VILLAGE's stated goals. Any such alternative option should be proposed in a format similar to the format contained in this Request for Proposals and should be proposed in addition to the bids requested in this Request for Proposals. (G) Upon award of contract, CONTRACTOR, at their expense, shall be required to develop, print and distribute to all residential customers a brochure approved by the VILLAGE explaining the solid waste and recycling programs covered under this Request for Proposals. The brochure shall be updated and distributed whenever there is a change in the service or programs provided. In addition, the brochure shall be provided to residents at least once per year to provide awareness of services and programs. 1.3.3 Contractor Requirements (A) The CONTRACTOR shall have available for use throughout the contract term an Illinois Environmental Protection Agency permitted site for the ultimate disposal of all waste under this Agreement. I (B) The CONTRACTOR shall have the necessary financial ability to satisfy the requirements placed upon him/her under the terms of this proposal. Contractors eligible for the bidding shall meet L • • • the minimum requirements as identified in Exhibit B. (C) The CONTRACTOR shall be one who shall have a sufficient number of employees, enclosed leak -proof modern packer -type trucks, open body trucks, dump trucks and trailers to provide the disposal services required under the terms of this proposal. (D) The CONTRACTOR shall undertake to perform all disposal services rendered hereunder in a neat, orderly and efficient manner, to use care and diligence, and to provide neat, orderly and courteous personnel on its crews. (E) The CONTRACTOR shall prohibit any drinking of alcoholic beverages or the use of any controlled substance, except by doctor's prescription, by its drivers and crew members while on duty or in the course of performing their duties required under the terms of this proposal. (F) The CONTRACTOR shall comply with all prevailing wage requirements and all labor regulations enforced by state or federal agencies. (G) In the event that any of the CONTRACTOR's employees is deemed by the VILLAGE to be unfit or unsuitable to perform the services required under the terms of this proposal as a result of intoxication, drug use, incompetence, or by virtue of abusive or obnoxious behavior, then, upon request of the VILLAGE, the CONTRACTOR shall remove such employee from work within the VILLAGE and replace him/her with a suitable and competent employee. (H) The CONTRACTOR shall maintain an office and telephone for the receipt of service calls or complaints, and shall be available for such calls on all working days from 8:00 a.m. to 4:30 p.m. All complaints must be given prompt and courteous attention, and in case of a missed scheduled collection, the CONTRACTOR shall immediately investigate; and if verified, shall arrange for pick- up of said waste within 24 hours after the complaint is received. When requested, the CONTRACTOR shall report to the VILLAGE the status of service calls or complaints and shall maintain a daily log of such calls or complaints received, which record shall be open to the VILLAGE for inspection at any reasonable time. (I) The CONTRACTOR shall designate in writing the person to serve as agent between the CONTRACTOR and VILLAGE. (J) The CONTRACTOR shall comply with all applicable laws, ordinances, rules and regulations of any federal agency or of the State of Illinois, Counties of Cook, DuPage and Will, relating to the services required under the terms of this proposal, use of premises and public places and safety of persons and property. (K) There are 3,324 households served under the current franchise. Individual services are listed as follows: Take All Service 3,038 35 Gallon Toter 150 65 Gallon Toter 70 95 Gallon Toter 66 Senior Citizens reside in 431 households served. The VILLAGE disclaims any warranty or accuracy of these numbers, and it will be up to the CONTRACTOR to verify the number of ultimate users prior to submitting a proposal. It should be noted that the source of this information is the current vendor. 3 • • Residential growth is anticipated to continue in Lemont with the addition of approximately 150 units per year. The VILLAGE will assist CONTRACTOR with formulating a list of all individual dwelling units to be served under this contract. Such assistance shall be limited to providing utility billing lists and vehicle sticker lists. The CONTRACTOR shall be ultimately responsible for identifying those units to be served. (L) All units within the Franciscan Village Religious/Retirement Community are to be excluded from the provisions of the contract. 1.3.3.1 Program Descriptions (A) Municipal Waste Collection (i) Definition. Garbage, refuse, or waste material resulting from operation of residential units which are not defined as RECYCLABLES or LANDSCAPE WASTE. Municipal waste shall include small amounts of construction debris (not to exceed one (1) cubic yard) and materials that one person can load into the collection vehicle. (ii) Frequency of Collection, Once each week. If for any legitimate reason, the CONTRACTOR determines that municipal waste will not be collected at a residential unit, a card, note or "door hanger" shall be left identifying the specific reason for non - collection. (iii) Service Levels. (a) BASIC SERVICE. Service shall include unlimited collection of the materials defined above. (b) BULK ITEM SERVICE. Bulk item service pick -ups, as part of the basic pick -up service, shall be at the curbside in front of the dwelling unit and shall include bulk items such as discarded furniture and household appliances capable of being handled by one person. Such pick -up shall be made one (1) time each week and shall be on the same day as the municipal waste pick -up. White goods requiring special collection according to state statutes shall not be considered part of bulk item service pickup. (c) SPECIAL PICK -UP AND OPTIONAL SERVICE. All other solid waste materials not heretofore provided for shall be collected and disposed of in unlimited quantity as a special pick -up. Such items shall include white goods, auto parts, large amounts of building materials (including lumber, structural steel, concrete, bricks and stones), heavy appliances, pianos and such other bulky items that require more than one person to handle. The CONTRACTOR shall provide a CUSTOMER with an estimate of the cost of a special pick -up service. For those items not listed as BULK ITEM SERVICE, special pick -ups shall be considered as outside the terms of this contract, and may occur, subject to those terms and conditions agreed upon by the CONTRACTOR and CUSTOMER. • • Special pick -ups shall be made within fourteen (14) days from the date a customer notifies the contractor that they agree to the estimate price of the pick -up. (iv) Location of Service. Basic service and bulk -item service shall occur at the curbside. (v) Containers. An acceptable container for municipal waste shall be of standard waterproof construction of durable metal or plastic material, with a tight fitting cover and with handles suitable for lifting by (1) one person. Except as hereinafter provided, such containers shall have a capacity of not less than ten (10) gallons nor more than thirty-four (34) gallons. (vi) Public Building /Area Collection. CONTRACTOR shall be required to collect municipal waste and recyclable materials at no cost from containers in public areas as described as follows: Village Hall/Police Department 418 Main Street Department of Public Works 14574 127th Street (vii) Municipal Dumpsters. CONTRACTOR shall furnish VILLAGE with up to twelve (12) 30 -yard dumpsters per twelve month period of this contract for special events, festivals, clean -up projects, etc. Collection shall be made at no cost to VILLAGE. (viii) Disposal, All waste, as defined in this section, shall be removed from the VILLAGE at the close of each day of collection and shall be disposed of at a lawfully operated regional pollution control facility(ies) at the CONTRACTOR's sole expense. The CONTRACTOR warrants that sufficient sites for the disposal of said solid waste will be available to the CONTRACTOR during the full term of the contract and any renewal thereof. (ix) Equipment to be used by CONTRACTOR. The CONTRACTOR agrees to collect all municipal waste in fully enclosed leak -proof modem packer -type trucks. Equipment used for special pick -up service may be open body trucks, dump trucks, and similar type equipment. When open body trucks are used, the CONTRACTOR will use care to see that no litter or scattering of waste material occurs by providing a suitable covering. (B) J,andscape Waste Collection (i) Definition. All accumulations of grass or shrubbery cuttings, leaves, tree limbs (as stated below), aquatic weeds, and other material accumulated as the result of the care of lawns, shrubbery, vines and trees, and as otherwise described at 415 ILCS 5/3.20. 5 • • • (ii) Frequency of Collection. (a) Tree Limbs: One day each week from April 1 through November 30 of each year. (b) Leaves: A one -time pick -up during the first week of June, and one day each week from October 15 through November 30 of each year. (c) Other Landscape Waste: One day each week from April 1 through November 30 of each year. (d) If for any legitimate reason, the CONTRACTOR determines that landscape waste will not be collected at a residential unit, a card, note or "door hanger" shall be left identifying the specific reason for non - collection. (iii) Service Levels. (a) Tree Limbs: Unlimited collection as part of monthly rate. (b) Leaves: Unlimited collection as part of monthly rate. (c) Other Landscape Waste: Unlimited collection subject to sticker rate. (iv) Location of Service. Landscape waste pick -up shall be at the curbside in front of the dwelling unit to be served. (v) Containers, (a) Biodegradable paper "kraft" -type bags, up to thirty-three (33) gallons in capacity. (b) Metal or plastic cans up to thirty-four (34) gallons in capacity, not exceeding fifty (50) pounds each. Cans used for landscape waste shall be uncovered and visible from the street as landscape waste, or have a written designation identifying the can as containing landscape waste. (c) Landscape waste, including brush and other branches four (4) inches or less in diameter, too bulky for placement into kraft paper bags or cans may be securely tied with biodegradable string or twine, in bundles not exceeding four (4) feet in length and fifty (50) pounds in weight. (vi) Separate Vehicle Pickup Required. Landscape waste shall not be co- mingled with any other municipal waste. A separate landscape waste pick -up shall be required with a separate vehicle. If equipment technology changes shall result in vehicles which can "compartmentalize" the landscape waste in a sparate storage area within a single vehicle, the VILLAGE shall waive the separate vehicle provision upon request of the CONTRACTOR. (vii) Christmas Trees. Residents may also place on the curbside their discarded Christmas trees for pick -up by the CONTRACTOR following the Christmas holidays. Trees shall be free of decorations and other non - biodegradable material. Such pick -up shall occur during the first and second weeks in January on a weekday 6 • • • mutually agreed upon by VILLAGE and CONTRACTOR. Said Christmas trees shall be treated as landscape waste and shall be composted. There shall be no charge for this service; it shall be considered part of the refuse collection, disposal and recycling program. (viii) Disposal. All landscape waste shall be disposed of at a lawfully operated landscape waste composting facility. Said facility may treat, compost, grind, or land apply said landscape waste. No landscape waste may be disposed of at a landfill or sold waste incinerator unless otherwise authorized by the Illinois Environmental Act. (415 ILCS 5/1). (C) Recyclables Collection (i) Definition, Aluminum food and beverage containers, metal cans, bi -metal cans, glass food containers, High Density Polyethylene (HDPE) containers, Polyethylene Terephtalate (PET) containers, polystyrene containers (PS), newspapers, corrugated containers, chipboard, magazines, mixed paper, and other such materials as the parties may agree to in writing. The CUSTOMER shall sort the materials and place them into a separate container for pick -up by the CONTRACTOR. (ii) Frequency of Collection, Collection shall be once per week. The collection shall be on the same day as municipal waste collection. If for any legitimate reason, the CONTRACTOR determines that landscape waste will not be collected at a residential unit, a card, note or "door hanger" shall be left identifying the specific reason for non - collection. (iii) ,Service level, Unlimited collection of the materials defined herein. (iv) Location of Service. Curbside in front of dwelling unit. (v) Containers. Containers no less than eighteen (18) gallon bins or other containers as may be provided by the CONTRACTOR. CONTRACTOR is responsible for providing recycling containers for all new customers added during the term of the contract, as well as any replacement bins or containers requested due to loss, theft, damage, etc. (vi) Public Building Collection, The CONTRACTOR will furnish containers and collection service once a week, or as appropriate, for office generated recyclables for the following Public Buildings: Village Hall/Police Department 418 Main Street Department of Public Works 14574 127th Street (vii) Separate Vehicle Pick up Reg uiL red. Recyclable material shall not be co- mingled with municipal waste. A separate recycling pick -up shall be required with a separate vehicle. If equipment technology changes shall result in vehicles which can "compartmentalize" the recycling in a separate storage area within a single vehicle, the VILLAGE shall waive the separate vehicle provision upon request of 7 • • the CONTRACTOR. (viii) Disposal; All recyclables shall be collected, separated and otherwise treated so as to facilitate the sale of said materials to end -use markets or recycled material brokers. No materials collected as recyclables may be deposited in a landfill or waste incinerator, but shall be recycled regardless of the income received or the cost to the CONTRACTOR resulting from the sale of said materials. (ix) Revenues: CONTRACTOR shall be allowed to keep all revenues from the sale of the above - referenced materials. (D) Non - Collection Due to Improper Material or Procedure, If material is not collected due to non - compliance with state statutes, or the terms of the contract, the CONTRACTOR shall notify the customer in writing as to the specific problem and recourse to alleviate the dispute. 1.3.4 Payment and Billing of Accounts (A) Billing for Service. The CONTRACTOR will perform the billing and collection of fees from serviced dwelling units. Residents will be billed on a quarterly or 2 -month cycle at the CONTRACTOR'S choice. The VILLAGE agrees to cooperate and assist the CONTRACTOR in any means permissible to insure that the collection of all funds due for service performed, either on current or delinquent basis, can be undertaken and receipt assured. If deemed necessary, the VILLAGE will modify any of its regulatory ordinances regarding health, welfare, and safety to insure that the VILLAGE residents adhere to this contract and the services provided hereunder. The VILLAGE further agrees to cooperate to provide the CONTRACTOR with assistance regarding move ins, move outs, or any other notification that will assist in the execution of this contract. (B) Customer Identification and Billing Address. Upon request of the VILLAGE, CONTRACTOR shall furnish the name and address of each residential unit receiving service under the terms of this contract. (C) Billing Rate. Billing for municipal solid waste, recyclables, tree limbs and leaves shall be included in the base monthly rate as proposed m the bid documents. Billing for landscape waste materials, other than leaves and tree limbs, shall be based upon the landscape sticker cost as proposed in the bid documents. 1.3.5 Failure to Perform - Insolvency, Non - Assignability (A) In the event the CONTRACTOR in any way shall fail to collect and/or dispose and/or market the solid waste materials, collected recyclables and landscape waste as required of it herein for any one (1) week: (i) The CONTRACTOR shall give immediate notice to the VILLAGE of such failure in writing stating therein the reasons for such failure; (ii) The VILLAGE may then proceed with the work itself or cause such work to be undertaken by a third party. The VILLAGE shall have the right to bill the CONTRACTOR and the CONTRACTOR shall have the obligation to pay for all costs incurred by reason of such failure of the CONTRACTOR to perform. • (B) In the event that any failure or alleged failure on the part of the CONTRACTOR 8 • 1.4 • to substantially collect the material herein provided to be collected and disposed of by the CONTRACTOR shall continue for a period of ten (10) days following written notice of such failure, and provided such failure shall not be due to strikes, catastrophe, acts of God, or other causes beyond the CONTRACTOR's reasonable control, then the VILLAGE at its option, may continue to proceed according to the steps set forth in Section 1.3.5. A (ii) above, or may terminate the contract and/or proceed to a legal determination for loss or damage due to such breach of contract or proceed to call upon the CONTRACTOR's performance bond or pursue such other remedies as may be available to the VILLAGE by law. (C) In any event, the CONTRACTOR shall not be paid whenever it shall have failed to perform the work and provide the services as required of it, even if such failure is caused by events or occurrences of a nature commonly known as "force majeure," or acts of God or strikes beyond CONTRACTOR's control. (D) In the event CONTRACTOR shall be adjudged bankrupt, either by voluntary or involuntary proceedings, then the contract shall immediately terminate; and in no event shall the contract be, or be treated as, an asset of CONTRACTOR after adjudication of bankruptcy. If CONTRACTOR shall become insolvent or fail to meet its financial obligations, then the contract may be terminated at the option of the VILLAGE upon fifteen (15) days written notice to CONTRACTOR and in no event shall the contract be, or be treated as, an asset of CONTRACTOR after the exercise of said option. (E) The contract is not assignable by CONTRACTOR, either voluntarily or involuntarily, or by process of law, without the prior written consent of the VILLAGE and shall not be or come under the control of creditors, or a trustee or trustees of CONTRACTOR in case of bankruptcy, or insolvency of CONTRACTOR, but shall be subject to termination as above provided. THE BIDDING AND CONTRACT DOCUMENTS The Bidding and Contract Documents consist of the Request for Proposals, and all documents referenced herein. 1.5 PRE -BID CONFERENCE. The VILLAGE will conduct a pre -bid conference on Friday, January 15, 1999 at 9:00 a.m. at the Lemont Village Hall, 418 Main Street, Lemont, IL, to discuss the scope of services and explain all of the documents included with the Request for Proposals. Nothing stated at the pre -bid conference shall change any such document unless an Addendum is issued therefor pursuant to Section 2.1 of the Request for Proposals. 1.6 ,SUBMISSION OF PROPOSAL One (1) original and nine (9) copies of the proposal must be delivered to the Village Administrator by the specified opening time. Proposals arriving after the specified time will not be accepted and returned to the originator unopened. Mailed proposals which are delivered after the specified hour will not be accepted regardless of postmarked time on the envelope. All proposals shall be submitted in sealed envelopes carrying the following information: Company Name, 11 : I I • .• s u l i • \ n 1 • , i • 1 1 1 1 .o. 1• i • • 1 • n• Opening. 9 • • • 1.7 BID OPENING The VILLAGE will receive sealed Bidder's Proposals for the service until Monday, February 8, 1999 at 9:00 a.m. local time, at the office of the Village Administrator, 418 Main Street, Lemont, IL 60439, at which time, or as soon thereafter as possible, all Bidder's Proposals will be publicly opened and read aloud. Each sealed envelope or package containing a Bidder's Proposal shall be identified as such and shall be marked with the title of the contract and the Bidder's full legal name. 1.8 BID S . .ITRITY, BONDS, INS IRAN AND IND .MNIFI ATION (A) Bid Security, Each Bidder's Proposal shall be accompanied by a security deposit in the amount of $5,000 and in the form of a cashier's check or certified check drawn on a solvent bank insured by the Federal Deposit Insurance Corporation and payable without condition to the VILLAGE. If the Bidder's Proposal is accepted, Bidder will timely file the Performance Bond and the certificates and policies of insurance required by the contract. Also, if the Bidder's Proposal is accepted, Bidder will execute the contract and all other required documentation related to the contract within fourteen (14) calendar days of the VILLAGE's acceptance of the Proposal. Any Bidder's Proposal that fails to comply with this Section 1.8 may be rejected, or, if not rejected, the VILLAGE may demand correction of any deficiency and award the contract to the Bidder upon satisfactory compliance with this Section 1.8. (B) Return of Bid Security, Bid Security submitted in the form of cashier's checks or certified checks will be returned to all within five (5) business days after execution of the contract by the VILLAGE. (C) Liquidated Damages. If a Bidder fails to timely submit all additional information requested by the VILLAGE, or if the successful Bidder fails to timely and properly submit the required performance bond and certificates and policies of insurance, or if the successful Bidder fails to timely and properly execute the contract, and any other required documentation related to the contract, it will be difficult and impracticable to ascertain and determine the amount of damage that the VILLAGE will sustain by reason of any such failure. For such reason, every Bidder shall, by submitting its Bidder's Proposal, be deemed to agree that the VILLAGE shall have the right, at its option in the event of any such default, to retain as reasonably estimated liquidated damages, and not as a penalty, the entire amount of the Bid Security or to exercise any and all equitable remedies it may have against the defaulting Bidder. (D) Performance Bond. At the time of execution of the contract the CONTRACTOR shall furnish the required performance bond with corporate surety acceptable to the VILLAGE in the penal sum of two hundred thousand ($200,000) dollars for the period of this Agreement, including any renewal thereof, conditioned upon the faithful performance by the CONTRACTOR of its obligations under this Agreement and upon its full compliance with the laws of the State of Illinois and ordinances and regulations of the VILLAGE and said bond shall indemnify the VILLAGE against any loss resulting from any breach or failure of performance by the CONTRACTOR. The written form of the bond is attached as Exhibit E. The surety on said bond shall have at least an AAA financial rating in the most recent edition of Best's Insurance Reports. Said performance bond shall act in addition to and not in lieu of the indemnification as provided in Paragraph F of this Section. 10 (E) Insurance. The successful Bidder will be required to furnish at Bidder's sole cost original certificates and copies of policies of insurance upon award of the contract. Such certificate shall name the VILLAGE as additional insured on the policy. (i) Workman's Compensation. The CONTRACTOR shall carry in a company authorized under the laws of the State of Illinois a policy to protect against liability under the Workman's Compensation and Occupational Diseases Statutes of the State of Illinois. (ii) Motor Vehicle Liability Insurance. The CONTRACTOR shall carry in its name a policy under a comprehensive form to insure the entire motor vehicle liability for its operations with limits not less than $3,000,000 each person and $5,000,000 each accident bodily injury and death liability and $1,000,000 each accident for property damage liability. This policy shall name the Village of Lemont as additional insured with respect to the operation of vehicles owned or operated by the CONTRACTOR. (iii) General Liability. The CONTRACTOR shall carry in its name a comprehensive liability policy for operations other than motor vehicle with limits of at least $3,000,000 each person and $5,000,000 each accident bodily injury and death liability, $1,000,000 each accident for property damage liability. The Village of Lemont shall be named as additional insured on this policy. Said insurance policies shall not be cancelable without thirty (30) days prior written notice to the VILLAGE. The CONTRACTOR shall furnish the VILLAGE with certificates evidencing that the insurance provided for herein is maintained by the CONTRACTOR within seven (7) days of the date of any request by the VILLAGE. The insurance coverage specified herein constitutes the minimum requirements and said requirements shall in no way lessen or limit the liability of the CONTRACTOR under the terms of this Agreement. CONTRACTOR shall procure and maintain at its own cost and expense, any additional kinds and amounts of insurance which, in the CONTRACTOR's own judgment, may be necessary for its proper protection in the prosecution of the work. (F) Indemnification. The CONTRACTOR shall indemnify and save harmless the Village of Lemont against any and all damages to property or injury or death of any person or persons, including property and employees, agents, or invitees of the Village of Lemont, and shall defend, indemnify and save harmless the Village of Lemont from any and all claims, demands, suits, actions, or proceedings of any kind or nature, or by anyone whatsoever, including but not limited to costs, expenses and reasonable attorney fees, in any way resulting from or arising out of CONTRACTOR'S performance under the terms of the Contract and/or the operations in connection herewith, including operations of sub - contractors and actions or omissions of employees or agents of CONTRACTOR or sub - contractors. The CONTRACTOR's insurance shall include contractual coverage of the foregoing "hold harmless" agreement. It is expressly agreed that in no event shall the VILLAGE by liable or responsible to the CONTRACTOR, or any other person, on account of stoppages, or delay in work herein provided for, by injunction or other legal or equitable proceedings brought against the CONTRACTOR, or from, or by account of, any delay from any cause whatsoever over which the VILLAGE has no control. 11 2.0 EXAMINATION OF DO TME.NTS ND WORK SITE. • (A) Ridding and Contract Documents. Each prospective Bidder shall, before submitting • its Bidder's Proposal, carefully examine the Bidding and Contract Documents. (B) Work Conditions, Each prospective Bidder shall, before submitting its Bidder's Proposal, personally inform itself of all conditions under which the Work is to be performed and of the unusual conditions or difficulties that may be encountered. (C) Representation and Warranty of Bidder. Each Bidder submitting a Bidder's Proposal expressly thereby represents and warrants that it has had an adequate period of time to conduct, and had conducted, the independent examinations, inspections, and investigations required by this Section. (D) Remedies for Failure to Comply. The successful bidder will be responsible for all errors in it Bidder's Proposal resulting from Bidder's failure or neglect to comply with the terms of this Request for Proposals. The successful Bidder will not be allowed any extra compensation by reason of any such errors or by reason of any matters or things of which Bidder failed or neglected to inform itself prior to submitting its Bidder's Proposal, and the successful Bidder shall bear all costs associated therewith or arising therefrom including increased costs or decreased profits due to a change in the methods or increase in the equipment or personnel employed as a result of matters or conditions first discovered during the progress of the Work. 2.1 INTERPRETATION OF THE BIDDING DOCUMENTS AND THE CONTRACT Addenda. No interpretation of the Bidding or Contract Documents will be made except by a written Addendum duly issued by the VILLAGE. No interpretation not contained in an Addendum shall be valid or have any force or effect whatever. All addenda issued prior to the opening of Bidder's Proposals shall become a part of the Proposal or Contract Documents, as the case may be. 2.2 TAXES The VILLAGE is exempt from state and local sales, use and excise taxes. A letter of exemption will be provided to the successful Bidder, if necessary. The VILLAGE will not reimburse, nor assist the successful Bidder in obtaining reimbursement, for any state or local sales, use, or excise taxes paid by the successful Bidder. All prices stated in Bidder's Proposals shall include any other applicable taxes. 2.3 PERMITS AND LICENSES All Bidder's Proposals shall include the cost of obtaining all permits, licenses, and other authorizations required by law for performance of the Work. It shall be the sole responsibility of each prospective Bidder to determine the applicable licenses, permits, and other authorizations. 12 • 2.4 PREPARATION OF BIDDER'S PROPOS L Bidder's Proposals for the Work shall be made on the blank Bidder's Proposal form furnished by the VILLAGE and included in the Bidding Documents. Entries on the Bidder's Proposal form shall be typed or legibly written in ink. A Bidder's Proposal may be rejected if it does not contain a requested rate or charge for each and every item named in the Bidder's Proposal form or may be interpreted as bidding "no charge" for any item left blank. 2.5 SIGNATTTRE RFQIITREMENTS • 2.6 (A) Bidder's Proposals. Each Bidder's Proposal shall be signed, as applicable, by the president or other authorized officer of any corporation, or by all of the General Partners of any partnership; or by each signatory of any joint venture agreement in accordance with the immediately preceding requirements, or by any individual if the Bidder's Proposal is submitted by an individual. Any Bidder's Proposal that fails to comply with this Section may be rejected, or, if not rejected, the VILLAGE may demand correction thereof and award the Contract to the Bidder upon satisfactory compliance with this Section. (B) Other Documents. The signature requirements set forth in Subsection A above shall apply to all other Bidding Documents required to be executed by the Bidder, Bidder's sureties, and Bidder's required documentation related to the contract. Any Bidder's Proposal that fails to comply with this requirement may be rejected, or, if not rejected, the VILLAGE may demand correction thereof and award the contract to the Bidder upon satisfactory compliance with this requirement. WITHDRAWAL, OF BIDDER'S PROPOSAL, Any Bidder's Proposal may be withdrawn at any time prior to the opening of any Bidder's Proposal, provided that a request in writing, executed by the Bidder in the manner specified in Section 2.5 of this Request for Proposals, and the withdrawal of such Bidder's Proposal prior to opening of any Bidder's Proposal will not prejudice the right of the Bidder to file a new Bidder's Proposal so long as such new proposal is submitted prior to the due date and time of the proposals. No Bidder's Proposal shall be withdrawn without the consent of the VILLAGE for a period of sixty (60) calendar days after the opening of Bidder's Proposals. Any Bidder's Proposal may be withdrawn at any time following the expiration of said sixty (60) day period, provided that a request in writing, executed by the Bidder in the manner specified in Section 2.5 of this Request for Proposals, for the withdrawal of such Bidder's Proposal is filed with the VILLAGE after said sixty (60)day period. If no such request is filed, the date for acceptance of such Bidder's Proposal shall be deemed to be extended until such a request is filed or until the VILLAGE executes a Contract pursuant to this Request for Proposals. 2.7 QUALIFICATION OF BIDDERS (A) Factors. The VILLAGE intends to award the contract only to a Bidder that furnishes satisfactory evidence that it has the requisite experience, ability, capital, facilities, organization, and staffmg to enable it to perform the work successfully. • (B) Final Determination. The final selection of the successful Bidder shall be made on the basis of the above - mentioned facts and matters and any additional information that may be requested of all 13 • • • Bidders. Such additional information may include, but is not limited to, a listing of available personnel, plant, and equipment; a description of current work loads and any pending bids or proposals; financial and litigation statements; and any other pertinent information. If such additional information is required, then the VILLAGE shall issue a Request for Additional Information to one or more of the Bidders. If the VILLAGE issues a Request for Additional Information, then the responding Bidder shall provide such information within two business days after receipt of said Request for Additional Information or such other period as may be set forth therein. Failure to so answer shall be grounds for the imposition of liquidated damages at the VILLAGE's option, all as is more specifically set forth in Section 1.8 (C) of this Request for Proposals. 2.8 DISQUALIFICATION OF BIDD .RS (A) More Than One Bidder's Proposal. No more than one Bidder's Proposal for the Work described in the contract shall be considered from any single corporation, partnership, individual, or joint venture. However, this does not preclude any bidder from proposing alternate service delivery options in addition to the specified services. (B) Collusion. If there are reasonable grounds for believing that collusion exists among any of the Bidders, the Bidder's Proposals of the participants in such collusion will not be considered. (C) Deficiencies, The VILLAGE expressly reserves the right in its sole and absolute discretion to disqualify any Bidder that submits a Bidder's Proposal that contains omissions, alterations or irregularities of any kind that may tend to make the Bidder's Proposal incomplete, nonconforming, indefinite or ambiguous as to its meaning, including but not limited to conditional surety and insurance commitment letters, or submits an unsigned or improperly signed Bidder's Proposal. If the deficient Bidder is not disqualified, the VILLAGE may demand correction of any deficiency and award the contract to the Bidder upon satisfactory correction of the deficiency. (D) Unmet Financial Obligations. If Bidder is in default on a contract with VILLAGE, or if any bidder currently is delinquent in any payment to the VILLAGE, the deficiency shall be remedied prior to the acceptance of any bid. 2.9 AWARD OF CONTRACT (A) Reservation of Rights. The VILLAGE reserves the right to accept the Bidder's Proposal that is, in its judgment, the best and most favorable to the interests of the VILLAGE and the public; to reject the low Schedule of Rates and Charges; to accept any item of any Bidder's Proposal; to reject any and all Bidder's Proposals; to accept any item of any Bidder's Proposal; to accept and incorporate corrections, clarifications, or modifications following the opening of the Bidder's Proposals when to do so would not, in the VILLAGE's opinion, prejudice the bidding process or create an improper advantage to any Bidder; and to waive irregularities and informalities in any Bidder's Proposal submitted or in the bidding process; provided, however, that the waiver of any prior defect or informality shall not be considered a waiver of any future or similar defects or informalities, and Bidders should not rely upon, or anticipate, such waivers in submitting their Bidder's Proposals. (B) Offers. All Bidder's Proposals are firm offers to enter into the contract and no Bidder's Proposals shall be deemed rejected, notwithstanding acceptance of any other Bidder's Proposal, until the contract has been executed by both the VILLAGE and the successful Bidder. The VILLAGE shall not disclose, outside the bidding process, at any time, either during or subsequent to the bidding process, any such designated confidential or proprietary information, unless such disclosure will not cause competitive harm, or such information was actually known to the VILLAGE prior to its submission by the Bidder, or such information was properly obtained or developed independently by the VILLAGE, or the Bidder consents to such disclosure. Notwithstanding the foregoing, each Bidder, by its submission of its Bidder's Proposal, acknowledges that the VILLAGE is subject to the Illinois Freedom of Information Act (Ill. Rev. Stat. ch. 116, Section 201, et seq.) and that no disclosure made in good faith by the VILLAGE pursuant to such Act shall be deemed to violate this Section. 2.12 J)ISPIITES The CONTRACTOR'S performance of the work under this Proposal shall be observed and monitored by the VILLAGE. Should the VILLAGE determine during the life of the Contract that the CONTRACTOR has not performed satisfactorily, the CONTRACTOR, upon notification from VILLAGE, shall increase the work force, tools and equipment as needed to properly perform to the satisfaction of the VILLAGE. The failure of VILLAGE to give such notification shall not relieve the CONTRACTOR of his/her obligation to perform the work at the time and in the manner specified. Where any dispute arises between a CUSTOMER and the CONTRACTOR as to the manner of placing waste or the nature of the contents or the like, the CONTRACTOR agrees in the specific instance to remove the waste even though, in its opinion, it is improperly placed or contained. Thereafter, the CONTRACTOR will immediately report the controversy to the VILLAGE for settlement before additional collection becomes necessary in order to avoid further disputes or disagreements between CUSTOMER and CONTRACTOR's employees. To prevent misunderstandings and potential litigation, the VILLAGE and CONTRACTOR agree that if an impasse should arise regarding the quality and acceptability of the work and services performed, the sufficiency of the performance, the interpretation of the contract provisions, or the acceptable fulfillment of the contract on the part of the CONTRACTOR, then a third party arbitrator shall be selected to decide the unresolved question(s). The arbitrator selected shall be acceptable to both the CONTRACTOR and VILLAGE. Compensation regarding the services of the arbitrator shall be equally shared between the CONTRACTOR and VILLAGE regardless of outcome. The final determination of the arbitrator shall be binding and final upon both the CONTRACTOR and VILLAGE. 15 • • • 2.13 PROPOSAL, CONTRACT AND A t E. .ME.NT T .RMS All terms and conditions of the contract are considered material and failure to perform any of said conditions on the part of the CONTRACTOR shall be considered a breach of said contract. Should CONTRACTOR fail to perform any of said terms or conditions, the VILLAGE shall have the right to terminate the contract after ten (10) days written notice to the CONTRACTOR of the violation of the contract and the failure of the CONTRACTOR to remedy the violation within said time. In addition to any and all equitable and legal remedies available to the VILLAGE in the event of a breach of the contract by CONTRACTOR, the VILLAGE shall have the right to call upon the performance bond described in Section 1.8. (D) hereof. The remedies provided to the VILLAGE herein shall be cumulative and not exclusive. No waiver by the VILLAGE of a default by the CONTRACTOR under the contract shall be construed as a waiver by the VILLAGE of any continuing or subsequent default or failure to perform on the part of the CONTRACTOR. 2.14 EXCLUSIVE GRANT The VILLAGE agrees that in consideration of the faithful performance of the obligations herein undertaken by CONTRACTOR, the VILLAGE does, by execution of this Contract, give and grant to CONTRACTOR for the term of this Contract only, the sole and exclusive license to collect and dispose of municipal waste, landscape waste and recyclables from those housing units specified in Section 1.3.1. This approach may have been lower in overall, had we wished to sacrifice the quality of the finished product over the base cost itself, however, we did not see this approach as a viable service option. After we had carefully analyzed the demographics of your community, with the high participation of curb collection, we believe that a front load collection vehicle program is viable for the Village of Lemont. Our service proposal thus reflects a perspective which mandates our belief, that if you cannot present a proposal at a price which leads to quality service without shortcuts, then don't do the work at all. In the Village of Lemont, Citiwaste will uses a one -man crew on a new front load truck, equipped with a 25 -yard body. Route supervision of our residential contract areas has always been strength of Alliance Waste. Other Municipality's Staff has applauded our focus on high quality customer service initiatives and our no hassle approach toward dealing with our customers. We intensively follow continuous improvement initiatives within our respective lines of business, directed at service excellence, expeditious problem resolution and value enhancement. Our community will have direct supervision during the days that collection services are being made (Tuesday, Wednesday, and Thursday). Supervisors have been trained in work measurement and manpower utilization workshops. The route supervisor, in unison with our Operations Management team, will be able to accurately route. We currently service several municipalities that have a combination of one time and two time per week service, subscription back door mixed with a traditional curbside service and back door service with a subscription curbside. VILLAGE OF LEMONT YARD WASTE PROPOSAL Composting by its nature is certainly not a new technology or process. Citiwaste believes that composting is where true significant landfill savings come from. Recognizing compost extracted from the traditional landfill stream, we immediately witness a 20% reduction in landfill volumes. Compounded with aggressive recycling programs, diversion averages an additional 15% to 20% of the total waste stream. Without significant promotion, an average community diversion of 40% is very attainable with a full -scale curbside yard waste and recycling program. Our proposal offerings are flexible to accommodate the need to run an efficient yard waste program with Citiwaste. All facets of our implementation are based upon our previous years of yard waste collection experience in other similar communities. Through our sister companies, we currently run many different styles of yard waste collection programs. Our knowledge and expertise in handling a customized program is evident in the current communities that we service. We have fixed rate programs in Golf, Schaumburg, and Streamwood. We have sticker based programs in Hoffman Estates, and West Dundee. We have a hybrid, bag revenue generating programs in Arlington Heights, and Deerfield. In these Villages, we supply and distribute bags to local merchants. Collection of the compost materials will be done as in our other varied programs. We will provide dual drive modified International 4900 chassis with 20 or 25 yard Leach 2R2 bodies for this collection service. All compost collection vehicles are retrofitted with special tailgate gaskets to eliminate the probability of water leakage from the packer body, which can be quite pungent in the heat of the summer. Citiwaste and other Allied companies, currently utilize numerous different composting facilities for the processing and disposal of yard waste products. Those disposal locations are within close proximity of Lemont and use direct hauling vehicles. Each facility has been in operation for a number of years, all have current IEPA operating permits and all locations fulfill their processing of yard waste materials in accordance with IEPA parameters. VILLAGE OF LEMONT RECYCLING PROPOSAL Given our Company's radical departure from haul and dump trash mentality, towards aggressive material diversion services, we feel quite comfortable in offering our menu offering. The curbside recycling program for the Village of Lemont will include at minimum, the following base recyclable commodities: Newspaper, magazines, brown Kraft paper bags, telephone books, catalogs, office paper, junk mail, envelopes (any type), corrugated cardboard, chipboard, wet strength carrier stock (chipboard), frozen food paper packages, juice boxes; all #1 PET plastic containers, all #2 HDPE plastic containers, all #3 (V - vinyl/polyvinyl Chloride - PVC) plastic containers, all #4 LDPE plastic containers, all #5 (PP - polypropylene) plastic containers, all #7 - other plastic; glass (amber, clear, green); formed aluminum containers, clean aluminum foil, formed steel containers, aluminum cans, aerosol cans, and paint cans are also offered in our quotation. We believe that our diversion of marketable materials is the most progressive and the best - capitalized program of it's kind in the State of Illinois. State Agencies look to Allied Waste Industries to provide technological inroads and breakthroughs in material diversion from landfills.
