RESOLUTION APPROVING AN AGREEMENT WITH CIVILTECH ENGINEERING
AND THE VILLAGE OF LEMONT FOR SURVEYING/ENGINEERING SERVICES
RELATING TO THE IMPROVEMENT OF CANAL STREET
WHEREAS, the Village of Lemont and the Illinois Department of Transportation have
agreed to improve Canal Street between Ed Bossert Drive and Stephen Street; and
WHEREAS, Civiltech Engineering is prequalified by the Illinois Department of
Transportation to perform surveying and engineering services; and
WHEREAS, the Village of Lemont agrees to enter into an agreement with Civiltech
Engineering as stated in the agreement attached.
NOW, THEREFORE BE IT RESOLVED that the attached agreement is hereby
approved.

THIS AGREEMENT is made and entered into this day of , 1998 between the above Local Agency (LA)
and Consultant (ENGINEER) and covers certain professional engineering services in connection with the improvement of
the above SECTION. Federal -aid Funds allotted to the LA by the State of Illinois under the general supervision of the State
Department of Transportation, hereinafter called the "STATE ", will be used entirely or in part to finance ENGINEERING
services as described under AGREEMENT PROVISIONS.
Project Description

Description: The proposed projects includes the design of roadway and drainage improvements as well as lighting
improvements along Canal Street. In addition, street scape improvements are also part of the improvement.
Agreement Provisions
The Engineer Agrees,
1. To perform or be responsible for the performance of the following engineering services for the LA, in connection with
the proposed improvement hereinbefore described, and checked below:
a.(x) Make such detailed surveys as are necessary for the planning and design of roadways and /or bridges and for
the preparation of detailed construction plans.
b.( ) Make stream and flood plain hydraulic surveys and gather both existing bridge up and downstream high water
data, and flood flow histories.
c.( )
Prepare application for Army Corps of Engineers Permit, application for Division of Water Resources Permit,
bridge waterway sketch and /or channel change sketch, Project Report, Utility Plan, Traffic Control Plan, and
Railroad Crossing Work Agreements.
d.( ) Design and /or approve cofferdams and superstructure shop drawings.
e.( ) Prepare Preliminary Bridge Design and Hydraulic Report, (including economic analysis of bridge or culvert
types) and high water effects on roadway overflows and bridge approaches.
f.( )
Make or cause to be made such soil surveys or subsurface investigations including borings and soil profiles as
may be required to furnish sufficient data for the design of the proposed improvement. Such investigations to
be made in accordance with the current requirements of the STATE.

g.(x) Analyze and evaluate the soil surveys and structure borings to determine the roadway structural design and
retaining wall foundation.
h.(x) Prepare preliminary roadway and drainage structure plans and meet with representatives of the LA and STATE
at the site of the improvement for review of plans prior to the establishment of final vertical and horizontal
alignment, location and size of drainage structures, and compliance with applicable design requirements and
policies.
i.( ) Make or cause to be made such traffic studies and counts and special intersection studies as may be required
to furnish sufficient data for the design of the proposed improvement.
j.(x) After the review heretofore required, complete the general and detailed plans, special provisions and estimate
of cost. Contract plans shall be prepared in accordance with the guidelines contained in the Federal -Aid
Procedures for Local Highway Improvements manual. The special provisions and detailed estimate of costs
shall be furnished in quadruplicate.
k.() Plans for structures to be built as part of the improvement will be prepared under the supervision of
, a Registered Structural Engineer.
I.( ) Furnish the LA with survey and drafts in quadruplicate of all necessary right -of -way dedications, construction
easements, and borrow pit and channel change agreements including prints of the corresponding plats and
staking as required.
m.( ) Prepare the necessary environmental documents in accordance with the guidelines contained in the Federal -Aid
Procedures for Local Highway Improvements manual.
n.(x) The attached Exhibit A, Scope of Work, shall amend or supersede the foregoing work items.
2. To attend conferences to be held at the request of the LA and visit the site of the work at any reasonable time when
requested to do so by the LA or representatives of the STATE.
3. To perform the work in accordance with Exhibit B, Project Schedule, attached hereto and made a part of this
agreement. The services shall be finished by the completion date shown in the schedule excluding from consideration
periods of delay caused by circumstances beyond the control of the ENGINEER.
4. That should the LA require changes in any of the Bridge Design and Hydraulic Report, ROW, Plats, Easements,
environmental documents, detailed construction plans, specifications or estimates after they have been approved in
writing by the LA, the LA shall pay the ENGINEER, the LA will pay the ENGINEER for such changes on the basis of
actual cost plus 163 percent to cover profit, overhead, and readiness to serve — "actual cost" being defined as actual
payrolls plus direct expense and subconsultant expenses. It is understood that "changes" used in this paragraph shall
in no way relieve the ENGINEER of his responsibility to prepare a complete and adequate set of plans and
specifications.
The classifications of the employees used in the work should be consistent with the actual employee classifications and
estimated manhours shown in EXHIBIT C. If the personnel of the firm, including the Principal Engineer, perform routine
services that should normally be performed by lesser - salaried personnel, the wage rate billed for such service shall be
commensurate with the work performed.
5. That he is qualified technically and is entirely conversant with the design standards and policies applicable to
improvement of the SECTION; and that he has sufficient properly trained, organized and experienced personnel to
perform the services enumerated herein.
6. That he shall be responsible for the accuracy of the Work and shall promptly make necessary revisions or corrections
resulting from his errors, omissions, or negligent acts without additional compensation. Acceptance of the Work by the
STATE will not relieve the ENGINEER of the responsibility for subsequent correction of any such errors or omissions
or for clarification of any ambiguities.
7. That he will comply with applicable Federal Statutes, State of Illinois Statutes, and local laws or ordinances of the LA.

The Engineer Further Agrees,
to comply with all applicable Equal Employment and Nondiscrimination Acts, Executive Orders, and Regulations required
by the U.S. Department of Transportation (DOT) including:
a. 23 USC 710.405(b), Nondiscrimination on Basis of Sex in Right -of -Way Acquisition.
b. 42 USC 2000d -1, Title VI of the Civil Rights Act of 1964 (Nondiscrimination on Basis of Race, Color, or National
Origin).
c. 49 CFR 21, Nondiscrimination in DOT Programs.
d. 49 CFR 23, Participation by MBE's in DOT Programs.
It is the policy of the U.S. Department of Transportation that Minority Business Enterprises, as defined in 49 CFR
Part 23, shall have the maximum opportunity to participate in the performance of contracts /agreements financed
in whole or in part with Federal funds under this AGREEMENT.
The ENGINEER agrees to ensure that minority business enterprises, as defined in 49 CFR Part 23, have the
maximum opportunity to participate in the performance of this AGREEMENT. In this regard the ENGINEER shall
take all necessary and reasonable steps in accordance with 49 CFR Part 23, to ensure that minority business
enterprises have the maximum opportunity to compete for and perform portions of this AGREEMENT. The
ENGINEER shall not discriminate on the basis of race, color, national origin, or sex in the selection and retention
of subcontractors, including procurement of materials and leases of equipment.
The ENGINEER shall include the provisions of this "Policy" in every subcontract, including procurement of materials
and leases of equipment.
Failure to carry out the requirements set forth above shall constitute a breach of this AGREEMENT and may result
in termination of the AGREEMENT or such remedy as deemed appropriate.
e. 49 CFR 27, Nondiscrimination on Basis of Handicap.
The LA Agrees,
1. To furnish the ENGINEER with all presently available survey data and information, including instructions for scales to
be used, standard details and Standard Specifications adopted by the STATE and other available data useful to the
work to be done by the ENGINEER. If the work provided in Section 1 i is not required by is agreements, the LA shall
make or cause to be made traffic counts required for design purposes and furnish same to the ENGINEER.
2. To pay for services stipulated in paragraphs 1 through 7 inclusive at actual cost of performing such work plus 163
percent to cover profit, overhead, and readiness to serve --"actual cost" being defined as actual payrolls. Traveling and
other out -of- pocket expenses including subconsultant expense services will be reimbursed to the ENGINEER at his
actual cost. Subject to the approval of the LA, the ENGINEER may sublet all or part of the services provided under the
paragraphs cited above. The maximum "not -to- exceed" fee for this work shall be $48,802.00 as shown in Exhibit C.
3. That payments due the ENGINEER for services rendered in accordance with this agreement will be made as soon
practicable after the services have been performed, in accordance with the following schedule:
a. Upon completion of detailed plans, special provisions, proposal and estimate of cost —being the work required by
paragraphs 1 a through 1 n under THE ENGINEER AGREES -- to the satisfaction of the LA and their approval by
the DEPARTMENT, 100 percent of the total fee due under this AGREEMENT.
b. By mutual agreement, partial payments, may be made from time to time as the work progresses. The frequency
of partial payments shall not exceed one per month.
It is Mutually Agreed
1. That no work shall be commenced by the ENGINEER prior to issuance by the LA of a written Notice to Proceed.
2. That all plans, specifications, estimates, plats, and other documents furnished to the LA by the ENGINEER in
accordance with this AGREEMENT shall be endorsed by him and shall show his professional seal where such is
required by law.

3 That tracings, plans, specifications, estimates, maps, and other documents prepared by the ENGINEER in accordance
with this AGREEMENT shall be delivered to and become the property of the LA and that basic survey notes, sketches,
charts, and other data prepared or obtained in accordance with this AGREEMENT shall be made available, upon
request, to the LA, or to the STATE, without restriction of limitation as to their use.
4. That all reports, plans, plats, estimates, and special provisions to be furnished by the ENGINEER in accordance with
Sections 1a through 1n inclusive, of THE ENGINEER AGREES shall be in accordance with the current standard
specifications and policies of the STATE, it being understood that all such furnished documents shall be approved by
the LA and the STATE before final acceptance. During the performance of the engineering services herein provided
for, the ENGINEER shall be responsible for any loss or damage to the documents herein enumerated while they are
in the ENGINEER's possession and any such loss or damage shall be restored at the ENGINEER's expense.
5. That none of the services to be furnished by the ENGINEER shall be sublet, assigned, or transferred to any other party
or parties without written consent of the LA, except as stated in Sections 1 a, 1 e and 1f of THE ENGINEER AGREES.
The consent to sublet, assign or otherwise transfer any portion of the services to be furnished by the ENGINEER shall
not be construed to relieve the ENGINEER of any responsibility for the fulfillment of this AGREEMENT.
6. That the ENGINEER and his subcontractors will maintain all books, documents, papers, accounting records and other
evidence pertaining to cost incurred and to make such materials available at their respective offices at all reasonable
times during the AGREEMENT period and for three years from the date of the final payment under this AGREEMENT,
for inspection by the STATE, Federal highway Administration, or any authorized representatives of the Federal
Government and copies thereof shall be furnished if requested.
7. That payment by LA in accordance with Sections 2 and 3 of THE LA AGREES will be considered as payment in full for
all services rendered in accordance with this AGREEMENT whether or not they be actually enumerated in this
AGREEMENT.
8. That any differences between the ENGINEER and the LA concerning the interpretations of the provisions of this
AGREEMENT shall be referred to a committee of disinterested parties consisting of one member appointed by the
ENGINEER, one member appointed by the LA, and a third member appointed by the two other members for disposition
and that the committee's decision shall be final.
9. That the ENGINEER shall be responsible for any and all damages to property or persons arising out of an error,
omission and /or negligent act in the prosecution of his Work and shall indemnify and save harmless the LA, its officers,
agents and employees from all suits, claims, actions or damages of any nature whatsoever resulting therefrom.
10. This AGREEMENT may be terminated by the LA upon giving notice in writing to the ENGINEER at his last known post
office address. Upon such termination, the ENGINEER shall cause to be delivered to the LA, all drawings, plats,
surveys, reports, permits, agreements, soils and foundation analysis, provisions, specifications, partial and completed
estimates, and data, if any from soil survey and subsurface investigation with the understanding that all such material
becomes the property of the LA. The ENGINEER shall be paid for any services completed and any services partially
completed in accordance with Section 4 of THE ENGINEER AGREES and Section 3 of THE LA AGREES.

Successors and Assigns
That the LA and the ENGINEER bind themselves, their successors, executors, administrators, and assigns to the other party
of this AGREEMENT, and to the successors, executors, administrators, and assigns of such other party in respect to all
covenants of this AGREEMENT.

(e) have not within a three -year period preceding this AGREEMENT been convicted of or had a civil judgement

to obtain or performing a public (Federal, State or local) transaction or contract under a public transaction;

SCOPE OF SERVICES
Phase II Engineering Services for
Canal Street Roadway Improvements
Village of Lemont
I. PROPOSED IMPROVEMENT
The Canal Street Roadway Improvements extends from Stephens Street to Ed Bossert Drive. The improvement includes
roadway rehabilitation, drainage improvements, coordination with the street scape architect and adding new ornamental type
fixtures to adequately Tight the streets according to the Illuminating Engineering Society (IES) standards and IDOT policy.
I1. SCOPE OF ENGINEERING SERVICES
A. Phase II Engineering
The Design Engineering services will consist of the preparation of contract plans and specifications in sufficient detail
to secure competitive bids and construct the proposed improvements described above. In addition, a detailed
Engineer's Estimate of Cost, as well as an Estimate of Construction Time, will be prepared. The contract plans will not
only conform to the Village of Lemont standards, but shall meet the requirements of the Illinois Department of
Transportation, the Federal Highway Administration, the Illuminating Engineering Society and the National Electrical
Code (NEC).
The following major work items will likely be required to complete the design phase of the project:
1. Data Collection - We will obtain existing plans and right -of -way information for the roadway within the project limits.
Utility atlases and existing plans will be obtained from the Village of Lemont and other utility companies. We will
meet with Village staff and other Village consultants to review specific design elements.
In addition, we will also complete a photolog of the project for use during the design process. Further, in order to
perform pavement design calculations it will be necessary to obtain current and projected ADT volumes. Toward
that end we will perform 24 hour machine counts.
2. Design Survey /Base Sheet Preparation - We will perform or be responsible for performing a complete
topographic survey of the roadway within the project limits. The survey will include complete topographic
information necessary for the design and utility survey.
This work will include downloading topographic information into a computer -aided design (CAD) work station using
AutoCAD software. A 1"=20' scale will be utilized on single plan sheets. The preparation of the base sheets will
include identification and "plotting" of all known existing utilities within the project limits. If necessary, we will furnish
the street scape consultant the base sheet information they require to complete their plans.
3. Pre -Final Plans, Specifications and Engineer's Estimate of Cost - We will prepare pre -final contact plans in
accordance with IDOT, FHWA, IES and NEC guidelines, policies and standards, as well as in accordance with the
requirements of the Village of Lemont. The computer program Micro -Site Lite will be used to design the luminaire
spacing which is accepted by IDOT. We anticipate that the contract plans will likely contain the following drawings:
• Title Sheet/Index of Sheets /State Standards
• General Notes
• Summary of Quantities
• Typical Sections
• Maintenance of Traffic Plans
• Plan & Profile /Drainage & Utility (1" = 20')
• Cross Sections
• Landscaping & Stripping Plan
• Lighting Plans (1" = 20 ")
• Details
We will also prepare a proposal booklet in an IDOT MFT format for the purpose of securing competitive bids.
Detailed quantity calculations will be performed at this time in order to develop an accurate pre -final Engineer's
Estimate of Cost.

4. Submittal, Review & Coordination - Once pre -final contract documents have been completed, we will submit the
documents concurrently to the Village of Lemont and IDOT - Bureau of Local Roads and Streets for review. We
will also submit the pre -final plans concurrently to the utility companies in the project area for the purpose of
ascertaining any conflicts between the proposed improvement and their existing or planned facilities. We will meet
with the Village, IDOT or any other agencies to discuss review comments or resolve utility conflicts if possible.
It is our understanding that we will be responsible for incorporating the street scape improvement plans into the
roadway improvement contract. Accordingly, we will provide the necessary coordination with the Village's street
scape consultant. When required, we will meet with the Village and its consultant to review the status of the project,
develop design criteria or go over review comments.
5. Final Plans, Specifications and Engineer's Estimate of Cost - After completion of the Village's and IDOT's
review and resolution of other agencies' concerns, the contract plans, special provisions and Engineer's Estimate
of cost will be finalized. We will furnish to IDOT all necessary final documents and forms, including an "Estimate
of Time ", as required to approve the project for a contract letting.
6. Bidding Assistance - We will assist the Village in advertising and notifying prequalified contractors of the project
letting. We will also distribute the approved contract documents to qualified bidders. We will attend the bid opening,
provide a letter of recommendation on contract award, prepare a bid tabulation and assist the Village in the
execution of the contract.
The Village will be furnished two (2) sets of all documents for their files and the successful Contractor will furnished
five (5) sets of the contract documents. Additional copies of the plans and special provisions will be provided as
requested by the Village but at an additional charge.
