R-100-00 11/13/00RESOLUTION NO RESOLUTION AUTHORIZING THE ACCEPTANCE OF PARKER ROAD EASEMENT WHEREAS, the President and Board of Trustees of the Village of Lemont have deemed it in the community's best interest to accept a Water Main Easement pursuant to an Agreement which is attached hereto and made a part hereof and identified as Exhibit "A "; and WHEREAS, said Water Main Easement Agreement would grant to the Village of Lemont an easement along previously identified Parker Road for the purpose of constructing a water main from approximately the intersection of Parker Road and Route 171 to Main Street, also known as Chicago - Joliet Road. NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Lemont, Counties of Cook, Will and DuPage, Illinois, that the Board of Trustees authorize the President and Clerk to execute the Parker Road Water Main Easement. (hereinafter called the "GRANTOR "), to the VILLAGE OF LEMONT, a Municipal Corporation organized and existing under the laws of the State of Illinois (hereinafter termed the "VILLAGE "), 418 Main Street, Lemont, Illinois 60439. 1 SMITH LANDMEIER PAGE 02 WITNESSETH: WHEREAS, the VILLAGE is prepared to authorize the construction of one twelve inch water main and appurtenances to service Main Street, a/k/a Chicago Joliet Road, and other property; and WHEREAS, said water main upon completion and acceptance by the VILLAGE will be dedicated to the VILLAGE; and WHEREAS, in order to construct the water main and appurtenances, it is necessary for the VILLAGE to obtain a perpetual non - exclusive easement, right, privilege, and authority to construct, reconstruct, repair, maintain and operate a certain part of the water main under and through certain premises hereinafter described; and WHEREAS, the GRANTOR is willing to grant said non - exclusive easement, right, privilege, and authority to the VILLAGE, together with a construction easement, upon the terms and conditions herein set forth; NOW, THEREFORE, in consideration of the mutual benefits of the parties and the waiver for the property described in attached Exhibit A of any current or future recapture fee and the agreement that there will be no special assessment for water mains and appurtenances affecting the property described in Exhibit A, the GRANTOR does hereby bargain, sell, grant, transfer and convey to the VILLAGE and its successors, the perpetual non - exclusive easement, right, permission, and authority to construct, reconstruct, repair, replace, operate, and maintain a subsurface public water main under and through the following described premises that is hereinafter described on the attached Exhibit 6 which is hereby incorporated into and made a part of this Easement. IN CONSIDERATION of the grant of the non - exclusive easement, right, privilege, and authority herein contained, this Easement Grant is subject to the following conditions: FIRST: Said part of the water main shall be constructed by the open cut method of construction under and through the permanent easement described in Exhibit B (the "Premises"), either of ductile iron pipe or other materials that the VILLAGE Engineer deems advisable, and in WASectecasy\A8 \CZN\ coq ;iill \ascemanc- PA(bl) [,.peg 4 /i /o,2.41PM 11/08/2000 14:42 6302322889 1 SMITH LANDMEIER PAGE 03 accordance with the specifications and plans approved by the VILLAGE Engineer, all of which shall be subject to the written approval of GRANTOR. SECOND: The rights and obligations of the GRANTOR and the VILLAGE respectively hereunder shall inure to the benefit of and be binding upon their respective successors and assigns. THIRD: All terms, conditions and covenants herein shall be construed as covenants running with the land. FOURTH: The GRANTOR may use the real estate in, above, under and across, it being understood, however, that such use shall not unreasonably interfere with or damage the water main of the VILLAGE, and that the VILLAGE shall have the right of access to said real estate at all times across this easement described herein, for the purpose of reconstruction, repair, maintenance or operation of the water line; provided, however, VILLAGE, shall, except for emergencies, give at least 48 hours written notice to GRANTOR and shall not disrupt any of the Cog Hill operations. As a part of any reconstruction, repair or maintenance to the water main or appurtenances, the easement and surrounding premises shall be left in the same condition existing prior to such reconstruction, repair or maintenance. FIFTH: Any building or buildings or other structures or improvements constructed upon said easement premises shall not unreasonably interfere with the water main to be constructed. SIXTH: The GRANTOR and its successors, assigns, and beneficiaries, shall have the right, upon proper application, and approval of a permit, to connect to the water main to serve all of the properties described in Exhibit A without annexation to VILLAGE for the golf course, the golf house (i.e. CDGAF Building) and related buildings and uses, including residences used by officers, agents or employees of Cog Hill. SEVENTH: The VILLAGE shall, after the water main is constructed, restore the GRANTOR'S property substantially to its original condition; provided, however, such restoration shall include sod or blanket- seeding and be completed by April 6, 2001, and may at GRANTOR'S option, be completed by GRANTOR at VILLAGE'S expense with VILLAGE paying GRANTOR within 30 days after GRANTOR has billed VILLAGE_ EIGHTH: The plans and specifications shall, (a) be provided to GRANTOR a reasonable time before construction is to commence, (b) shall be subject to GRANTOR'S review and written approval, (c) shall provide for the protection of fiber optic, irrigation, storm sewer, sanitary /septic, telephone, gas, water and electrical lines and any gas pipeline such as Badger Pipeline Company (now known as Westshore Petroleum) crossing the easement premises, and (d) shall provide that all construction and restoration shall be completed prior to April 6, 2001, except as otherwise specifically provided in that certain Agreement between the Village of Lemont, K -Five Construction Company and Cook Golf Properties, Inc. dated November 8, 2000 entitled "AGREEMENT (PARKER ROAD WATER MAIN)p (Le., °Agreement "). NINTH: Whenever written approval is required hereunder, such written approval shall not be unreasonably withheld. ELEVENTH: If the existing pavement suffers visible deterioration from the construction operations and/or if there are large areas of replacement, then restoration shall include structural repair of such damaged areas and resurfacing of the entire length and width of Parker Road within Cog Hill property. Resurfacing shall be completed at such time as GRANTOR shall designate in order to minimize the impact on golf course operations. TWELFTH: Four hydrants shall be provided at such locations as are set forth on the drawings consisting of 8 sheets numbered 1 through 8 inclusive being numbered as job number 8534919, file number B- 81616, by Raymond - Belig, Incorporated, dated January 28, 2000, revised October 24, 2000, and further revised on October 25, 2000, all 8 sheets being initialed and dated by Village, Cook Golf and K -Five. The specifications for said project are included on the drawings. Cook Golf shall pay the cost of the hydrant which is closest to the main Clubhouse and Village shall pay the cost for the other three hydrants. If Cog Hill reasonably needs additional fire protection, it shall have the right to connect to either the hydrant closest to the Clubhouse, as shown on the current drawings, or to the twelve inch main itself without payment of a tap on fee, connection charge, nor any recapture fee or payment of a water assessment or water area service charge. In addition, the Chicago District Golf Association Foundation will be permitted to connect to said twelve inch main, or to a nearby water line of the Village for fire protection purposes. No annexation will be required for any of the purposes described in this "Easement Agreement." Upon completion of the construction per the aforesaid drawings and acceptance of the said construction, Village will have title to said hydrants. Lemont Fire Protection District shall have access to hydrants for the purpose of fire protection. THIRTEENTH: The work shall be commenced by November 9, 2000. No work shall be conducted between April 6 and November 1 of any calendar year except as otherwise stated in the aforesaid "Agreement." In the event that the project is started and not completed by April 6, 2001, no open excavations or construction shall be carried on or left on the premises between April 7 and November 1 of that calendar year or between March 31 and November 30 of any calendar year except as stated in the aforesaid "Agreement." FOURTEENTH: GRANTOR may drill and use private wells in connection with the use of its properties described in Exhibit A and VILLAGE shall not limit such use; provided, however, that there shall be no cross connection between the private wells and the VILLAGE'S municipal water system. FIFTEENTH: In the event Citizens Utilities Company of Illinois or its successor or assignee obtains an allocation of Lake Michigan water and installs a water main which is capable of serving the GRANTOR'S properties described in Exhibit A, then GRANTOR shall have the option of disconnecting from the VILLAGE'S water supply, in whole or in part, and using the water supply of Citizens Utilities Company of Illinois. There shall be no cross connection between the systems. SIXTEENTH: VILLAGE shall provide the GRANTOR with as -built plans of the water main and appurtenances within ninety (90) days after completion of construction. 91: \8aezaCary \P.$ \CBN \Cog ZasemenC -PR(bU .wpC:11 /8/O: :GLPM 11/08/2000 14:42 6302322889 1 SMITH LANDMEIER PAGE 05 SEVENTEENTH: VILLAGE agrees that in the event GRANTOR'S operational needs require the moving of a portion of the water main, VILLAGE agrees to cooperate in moving the main: provided, further, that GRANTOR shall grant a new easement at no additional cost to VILLAGE for the moved portion of the water main; and provided, further, that such move shall be at GRANTOR'S expense. EIGHTEENTH: As a further condition of this Easement, the water rates, tap on fees and other charges to be charged for the property served within the area described in Exhibit A shall be no more than the rates, tap on fees and other charges charged for any other residential or commercial property within the VILLAGE limits. NINETEENTH: VILLAGE shall require its Contractor to provide GRANTOR with a letter of credit in form, term, amount and from a provider reasonably acceptable to GRANTOR to cover the cost of (a) completion or restoration in the event the work is not timely completed, (b) repair and maintenance, (c) unpaid amounts due GRANTOR from VILLAGE, (d) failure to keep vacated Parker Road open, and (e) failure to timely complete, in amounts specified in a contract among the parties. TWENTIETH: VILLAGE shall construct a six inch water main and appurtenances at GRANTOR's expense, all pursuant to a contract, plans and specifications to be approved by GRANTOR. GRANTOR shall retain title to such six inch water main and appurtenances which shall conform to all state and federal requirements for public water mains. TWENTY- FIRST: This Easement is limited to the installation of one twelve inch water main and one six inch water main, said two water mains being described above. TWENTY- SECOND: Wherever the term Cook Golf, Cog Hill or Grantor is used, the following entities, which include operating entities at Cog Hill, shall be deemed to have the benefit of the terms of this Easement as if they had been named in addition to Cook Golf Properties, Inc. Those entities are: Cog Hill Golf and Country Club, Inc. Cog Hill Second, Inc. Cog Hill Third, Inc. Dubsdread, Inc. Cog Hill Concessions, Inc. TWENTY- THIRD: CONSTRUCTION EASEMENT. Grantor hereby grants Village a temporary construction easement across the property described in Exhibit C hereto attached. Such construction easement shall end on April 6, 2001, provided that the period of time for said construction easement may be extended until December 1, 2001 under those conditions specifically set forth in the aforesaid 'Agreement."
