RESOLUTION AUTHORIZING EXECUTION OF THE DECLARATION OF
PARTICIPATION AGREEMENT WITH WEST CENTRAL MUNICIPAL
CONFERENCE INFORMATION TECHNOLOGY CONSORTIUM
WHEREAS, the Village of Lemont desires to enter into an agreement with the West Central
Municipal Conference (WCMC) for the purpose of participating in its Information Technology
Consortium; and
WHEREAS, by executing the Declaration of Participation Agreement, the Village of
Lemont, as a member of the WCMC IT Consortium, will receive computer consultant services from
Current Technologies Corporation to make necessary upgrades to the Village's computer network.
WHEREAS, the Declaration of Participation Agreement attached hereto as outlines the
terms and requirements for participation in the Information Technology Consortium.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES that the Village President is hereby authorized to execute the Declaration of
Participation Agreement with West Central Municipal Conference Information Technology
Consortium attached hereto as Exhibit A.

DECLARATION OF PARTICIPATION AGREEMENT
This AGREEMENT is made and entered into this 13th day of
2003
January, 2002, between the West Central Municipal Conference
(hereinafter referred to as "WCMC ") and
Village of Lemont [Insert municipality here.]
(hereinafter referred to as "PARTICIPATING MEMBER ").
RECITALS
1. WHEREAS, the WCMC INFORMATION TECHNOLOGY
CONSORTIUM ( "CONSORTIUM ") is a group of WCMC participating
members who wish to purchase information technology resources as a
group through the WCMC instead of as individuals; and
2. WHEREAS, Current Technologies Corporation (hereinafter
"CTC") is a company that provides computer network and computer
consulting and installation services to its customers; and
3. WHEREAS, CTC generally calculates its fees for services based
on hour time blocks (plus various additional fees) which blocks its
individual customers purchase and pay for in advance; and
4. WHEREAS, CTC and WCMC entered into five -page Agreement
on or about July 22, 2002, and a three -page "West Central Municipal
Conference Retainer Time Agreement," (collectively referred to as the

"CTC -WCMC CONTRACT," attached as Exhibit A) for WCMC initially to
purchase five hundred (500) hour blocks from CTC and for CTC to
provide its services to the CONSORTIUM; and
5. WHEREAS, the CTC consulting services would then be
available to the CONSORTIUM for the amounts of time each member
purchased; and
6. WHEREAS, the WCMC and the PARTICIPATING MEMBER
therefore mutually wish to enter into this AGREEMENT so that the
PARTICIPATING MEMBER can purchase and obtain CTC services
through the WCMC;
THE FOLLOWING IS THEREFORE AGREED:
AGREEMENT
7. Recitals. The RECITALS are incorporated in and made a part of
this AGREEMENT.
8. Terms. The Initial Term of this AGREEMENT shall commence
on the day and year first above written and shall terminate on July 21,
2003, the same date as the end of the initial term of the CTC -WCMC
CONTRACT. Renewal Terms shall occur on the same renewal terms of
the CTC -WCMC CONTRACT.
9. Purchase of Hour Blocks. PARTICIPATING MEMBER agrees to
purchase and pay for 100 [FILL IN NUMBER] Hour Blocks as

defined in the CTC -WCMC CONTRACT. PARTICIPATING MEMBER
can order additional Hour Blocks by written request and prepayment.
10. Cost of Purchase of Hour Blocks and Payment Terms.
PARTICIPATING MEMBER agrees to pay WCMC for these Hour Blocks
in an amount equal to that charged by CTC as determined by the CTC -
WCMC CONTRACT plus a 5% WCMC administrative fee. The 5%
WCMC administrative fee shall be added onto any charge to be paid by
the PARTICIPATING MEMBER to CTC. WCMC agrees to send to
PARTICIPATING MEMBER an invoice detailing the Cost of Purchase of
Hour Blocks to PARTICIPATING MEMBER. PARTICIPATING MEMBER
agrees to pay promptly that amount within fifteen (15) days upon receipt
of the invoice. This fifteen day period is necessary so that WCMC does
not incur any CTC surcharges for late payment as described in the CTC -
WCMC CONTRACT.
11. PARTICIPATING MEMBER's Purchase from CTC of Anything
Other Than Hour Blocks and Payment Terms. PARTICIPATING
MEMBER may also decide to purchase equipment, software, hardware, or
other items that are available from CTC in addition to Hour Blocks.
PARTICIPATING MEMBER understands that these purchases other than
Hour Blocks are separate from this AGREEMENT and that WCMC will
not be involved or liable for any such purchase. WCMC and
PARTICIPATING MEMBER understand that this is distinct from an

instance where PARTICIPATING MEMBER may convert the value of
prepaid but unused Hour Blocks to purchase equipment or other items.
12. Liability. PARTICIPATING MEMBER understands that
PARTICIPATING MEMBER is liable to WCMC and must pay WCMC for
any purchases it makes from CTC even if PARTICIPATING MEMBER
does not utilize what had been purchased. PARTICIPATING MEMBER
understands that it is liable to both WCMC and CTC under the CTC -
WCMC CONTRACT to the same extent that WCMC is liable to the CTC
under the CTC -WCMC CONTRACT. Furthermore, the costs of any and
all services provided by CTC to the PARTICIPATING MEMBER are not
the responsibility of WCMC. PARTICIPATING MEMBER agrees that the
WCMC shall not be held liable for any and all costs, charges, fees, bills,
invoices or any other payment due to CTC for CTC's services to
PROVIDER.
13. Liability for CTC. PARTICIPATING MEMBER agrees not to
hold the WCMC liable for any CTC act, error or omission of CTC
performance.
14. Indemnity. PARTICIPATING MEMBER agrees to indemnify,
defend and hold harmless the WCMC from any loss including, but not
limited to, attorneys fees and expenses or litigation arising out of and to
the extent of any act, error or omission of PARTICIPATING MEMBER in
the performance of this AGREEMENT and the PARTICIPATING
MEMBER's dealings with the CTC.

15. Notices. All notices required or permitted to be given
hereunder shall be in writing and shall be delivered in person or by
registered and certified mail, return receipt requested, postage prepaid,
addressed to the parties as follows:

16. Independent Contractors. The parties agree that CTC is an independent
contractor and not an employee of the WCMC. The parties further agree that WCMC is an
independent contractor and not an employee of the PARTICIPATING MEMBER.
17. Severability. If any provision of this AGREEMENT of the application thereof to
any party or circumstance shall be prohibited by or invalid under applicable law, such
provision shall be ineffective to the extent of such prohibition without invalidating the
remainder of such provision or any other provision of this AGREEMENT or the
application of such provision to other parties or circumstances.
18. Joint Drafting. This AGREEMENT is deemed to have been drafted jointly by the
parties to the AGREEMENT, and any uncertainty and ambiguity shall not be construed for
or against any party as an attribution of drafting to any party.
19. Entire AGREEMENT. All understandings and Agreements heretofore made
between the parties are superceded by and merged into this AGREEMENT, which alone
fully and completely expressed the AGREEMENT between the parties, and the same is
entered with no party relying upon any statement or representation made by any party
not embodied in this AGREEMENT. Any modification of this AGREEMENT may be
made only by an instrument in writing signed by or on behalf of the party to be bound by
such modification.
20. Waivers. No delay on the part of any party in the exercise of any right or
remedy shall operate as a waiver thereof, and no single exercise by any party of any
remedy shall preclude other or further exercise thereof or the exercise of any other right or
remedy.
21. Headings. The headings used in this AGREEMENT are for convenience only
and are not to be considered in the construction of the terms hereof.
22. Distribution. Upon execution, a copy of this AGREEMENT shall be forwarded
to CTC at the following address:

This agreement is made and entered into this 22nd day of July, 2002. For the purpose of this agreement,
from here on "Client" refers to West Central Municipal Conference, "CTC" refers to Current
Technologies Corporation.
Non- Disclosure/Non- Competition
1) CTC is now providing and may hereafter provide network and computer consulting and installation
services from here on referred to as "The Work" to Client pursuant to one or more separate
agreements. In that connection, Client will provide to CTC certain confidential information
concerning Client and its affiliates and customers (collectively, the "Protected Parties "). As a
condition to Client's furnishing such information to CTC, Client is requiring that CTC agree, as set
forth below, to treat confidentially all such information and all other information that Client furnishes
to CTC or to CTC's directors, officers, employees, agents or advisors (all of the foregoing are
collectively referred to as "CTC's Representatives "), whether furnished before or after the date of this
letter, including all notes, analyses, compilations, studies, plans or other documents, whether prepared
by Client or CTC or by others, which contain or otherwise reflect such information (collectively, the
"Information "). All Information furnished to CTC or to any of CTC's Representatives by a director,
officer, employee, attorney, accountant, agent, financial advisor, affiliate, or representative of Client
shall be deemed for purposes of this letter agreement to have been furnished by Client.
2) Non - disclosure of Information: No solicitation of Company Employees.
a) CTC agrees that the Information:
i) Will be used solely for the purpose of determining the scope of, and need for, and
performing, the Work.
ii) Shall not, in any event, be used as a basis for CTC's competition with any Protected Party
iii) Will be kept confidential by CTC and by CTC's Representatives who require the Information
in connection with the Work, it is understood that CTC shall:
(1) Inform any CTC Representative of the confidential nature of the information.
(2) Direct any CTC Representative to treat the information confidential and to use the
information only in connection with the Work.
(3) Require CTC Representatives to agree to be bound by the terms of this letter agreement.
In addition, both CTC and CTC Representatives shall be responsible for any
unauthorized disclosure of information.
3) Without the prior written consent of the Chief Executive Officer of Client, neither CTC nor those of
CTC's Representatives who are aware of the Information will, throughout the life of the agreement
and for a five year period from the date that this contract ends, solicit or cause to be solicited the
employment of, nor hire, any employee of Client or its affiliates with whom CTC has had contact or
who became known to CTC in connection with the Work.

4) Certain Exclusions. The term "Information" does not include information which
a) Is already in CTC's possession and was not furnished to CTC or CTC's Representatives by
Client, provided that such information is not known by CTC to be subject to another
confidentiality agreement with, or other obligation of secrecy to, Client or by Client's
Representatives
b) Becomes properly available to CTC on a non - confidential basis from a source other than Client or
its representatives, provided that such source is not known by CTC to be bound by a
confidentiality agreement with or other obligation of secrecy to Client or to another person.
5) Legal Requirements. Notwithstanding anything to the contrary set forth in this letter agreement, if
CTC or anyone to whom CTC transmits the Information pursuant to this letter agreement is requested
or becomes legally compelled (by oral questions, interrogatories, requests for information or
documents, subpoena, civil investigative demand or similar process) to disclose any of the
Information or to take any other action prohibited by this letter agreement, CTC will provide Client
with prompt written notice so that Client may seek a protective order or other appropriate remedy
and/or waive compliance with the provisions of this letter agreement. If a protective order or other
remedy is not obtained, or a waiver is granted by Client, CTC or CTC's Representative may furnish
only that portion of the Information which CTC or CTC's Representatives are legally compelled to
disclose; and CTC will exercise best efforts to obtain reliable assurance that confidential treatment
will be accorded any Information so furnished.
6) Duration. The provisions contained in this letter agreement shall be effective for a period of five (5)
years beginning on the date hereof.
7) No Waiver. No failure or delay by Client in exercising any right, power or privilege hereunder shall
operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or
further exercise thereof or the exercise of any right, power or privilege hereunder.
8) Indemnity. CTC hereby agrees to indemnify and hold harmless the Protected Parties from any
damage, loss, cost or liability (including legal fees and the cost of enforcing this letter agreement)
arising out of or resulting from any unauthorized use or disclosure by CTC or CTC's Representatives
of the Information. CTC also acknowledges that money damages would be both incalculable and an
insufficient remedy for any breach would cause Client irreparable harm. Accordingly, CTC agrees
that, in the event of any breach or threatened breach of this letter agreement, Client in addition to any
other remedies at law or in equity which Client may have, shall be entitled, without the requirement
of posting a bond or other security, to equitable relief, including injunctive relief and specific
performance.
9) Successors and Assigns: Jurisdiction and Governing Law. This letter agreement shall be binding on
and inure to the benefit of the parties hereto and their respective successors and assigns. CTC agrees
and consents to personal jurisdiction and service and venue in any federal or state court within the
State of Illinois having subject -matter jurisdiction, for the purposes of any civil action, suit or
proceeding arising out of or relating to this letter agreement. This letter agreement shall be governed
and construed in accordance with the laws of the State of Illinois, without giving effect to the conflict
of laws provisions thereof. This letter agreement constitutes the entire agreement and understanding
between Client and CTC with respect to the Information and supersedes any prior agreement or
understanding relating thereto.

Terms
10) This quotation is valid for thirty (30) days; work will begin 1 to 3 weeks from receipt of signed
agreement unless previous arrangements have been made.
11) Pricing - Pricing is valid for thirty (30) days. Pricing does not include shipping. Pricing does not
include sales tax of 6.75% (to be itemized).
12) Non - Compete - Client will agree not to, directly or indirectly, on their own behalf or on behalf of any
other person or entity, without the prior written consent of CTC, employ or solicit for employment
with client or any other firm or entity, any employee or personnel of CTC or otherwise tortuously
disrupt, impair, damage, or interfere CTC with client and CTC's relationships with its employees or
personnel. CTC will reserve the right to invoke its remedies if a consultant is approached and/or
offered a position. In addition, client will refrain from interviewing any consultants from CTC if the
consultant applies for a position at the client site. Furthermore, it is understood that all CTC
employees are bound to a non - compete /non- disclosure agreement. Client will also accept
responsibility for any legal fees including court costs to CTC to enforce said paragraph, if client is
found to be in default.
13) Payment Terms- CTC, which sells hardware /software, requires 50% of the total cost for
hardware /software in advance and the remaining 50% balance to be paid upon delivery of
merchandise. CTC expects labor that is owed to be paid net thirty (30) days upon completion of
project. Invoices are required to be paid in full by the invoice due date. A 2% surcharge will be
compounded monthly to any outstanding invoice balance, which is not paid in full by the due date.
The surcharge will be assessed on the first day of the month following the invoice due date and for
every (thirty) 30 days thereafter. Client will also accept responsibility for any legal fees including
court costs to CTC to enforce said paragraph, if client is found to be in default.
Any invoices may be disputed within (30) days of issue date. Customer must include a written
explanation of what portion of the bill is disputed. The written explanation of the portion of the
invoice disputed must be addressed to either the CTC Accounting Manager and / or the assigned CTC
Sales Representative. Any invoices disputed after (30) days of issuing said invoice will not be
considered for credit issuance.
14) Project Additions - Any additions or changes to the project will require written pre- approval by an
authorized individual. NO ADDITIONS TO THE ORIGINAL PROJECT WILL BE PERFORMED
WITHOUT AN AUTHORIZED SIGNATURE.
15) Locations - All locations must be clear of any obstacles such as office furniture, partitions, pallets,
racks, etc. We are not responsible for moving office furniture or partitions. Additional charges may
be incurred if our technicians encounter such obstacles.
16) Work Hours - This proposal is based on CTC performing work during an 8 hour day, Monday
through Friday, 8:00 AM to 5:00 PM (CTC's holidays excluded). If the client requires CTC to work
other than during these indicated times, hourly incremental overtime rates may apply, unless
previously arranged.
17) Delays - Delays or subsequent visits caused by the client which result in additional man -hours will be
billed to the client at CTC's Time and Material rate.

18) Unforeseen Conditions - Should unforeseen concealed conditions, which affect CTC's performance,
be encountered (other than those ordinarily encountered and recognized in this proposal), the client
shall bear the added cost.
19) Storage - The client shall provide a secure area for the storage of CTC's material if there is a need for
test equipment to remain over night.
20) Project Manager - The client shall provide a project manager, accessible at all times during the
duration of the project, to provide direction and technical information in case questions arise.
21) Cabling - Any cabling problems encountered during any phase of this project will be the
responsibility of the client. Unless CTC has provided installation or has provided upgrades to that
particular cabling section, and/or it is under warranty additional charges will apply at CTC's Time and
Material rate to correct the problem.
22) Tax Exempt - Client must provide documentation of tax - exempt status if CTC is to withhold sales
tax.
Conditions
23) Warranty - Any equipment purchased includes the standard manufacturer's warranty.
24) Software Compatibility - CTC states that software purchased from CTC in conjunction with a full
unit PC will be compatible with that unit. CTC will not be responsible for the compatibility of
software or hardware not purchased from CTC. CTC will also not guarantee the compatibility of
software that is not purchased in conjunction with a full unit PC.
25) Purchase Orders - Upon being signed by both parties, this quote becomes an agreement between CTC
and the client stating the equipment listed is desired for purchase. Once the quote is signed, CTC will
procure the equipment. Client may submit a purchase order in addition to the signed agreement.
26) Labor - Any labor quoted is estimated, CTC will bill for actual time to the 1/4 hour at no minimum
charge. A $30.00 travel fee will be waived under the terms and conditions of the retainer agreement.
27) Limitation of Remedies - CTC shall not be liable for any damages caused by delay in furnishing
equipment. CTC shall not be liable for any damages pertaining to acts of god including, but not
limited to floods, tornadoes, earthquakes, fire damage and/or electrical storms. The sole and
exclusive remedy for any breach of warranty, express or implied, including without limitation, any
warranties of merchantability of fitness, and the sole remedy for CTC's liability of any kind including
liability or negligence with respect to sales and services fumished under this agreement and all other
performances by CTC under or pursuant to this agreement shall be limited to the re- performance of
any defective material or service provided by CTC and shall in no event include any incidental or
consequential damages of lost profits.
28) Return Policy - All returns and/or exchanges are subject to a 25% restocking fee unless prior
arrangements are made. Any return or exchange must be pre- approved from CTC's customer service
department.
29) Amendments - CTC and the client must agree upon any additions or changes to the quote. Then, the
agreement may be amended in writing.
30) Questions /Comments - Any questions or comments can be directed to your dedicated Sales
Representative or our customer service department.

31) The terms and conditions of the Retainer Agreement will supercede the terms and conditions outlined
in this standard customer agreement in the event that both agreements have conflicting terms and
conditions.

Retainer Time Agreement
We at CTC feel one of our strong advantages over our competition are the depth and
versatility of our support staff. CTC employs (24) full time technical consultants. CTC
offers retainer agreements at reduced hourly rates. Retainer block discounted pricing is
as follows: (Standard Time & Material Rates are $135.00 per hour billed to the % hour
with no minimum charge, and a $30.00 travel fee will app /y). If a labor retainer
agreement is signed, the following rates will apply. In addition, the travel fee is
waived
(100) Hour Block - $ 120.00 /hour = $ 12,000.00
(200) Hour Block - $ 110.00 /hour = $ 22,000.00
(300) Hour Block - $ 100.00 /hour = $ 30,000.00
(400) Hour Block - $ 90.00 /hour = $ 36,000.00
(500) Hour Block - $ 82.50 /hour = $ 41,250.00
(600) Hour Block - $ 80.00 /hour = $ 48,000.00
For those types of studies that require intensive research, or non - standard network
services including but not limited to programming, a higher labor rate may apply. Please
discuss these types of services with your CTC sales representative prior to the
scheduling of work.
Labor blocks must be pre -paid in their entirety prior to the commencement of any work.
Each retainer agreement lasts for a term of one (1) year from the commencement date.
If, at the end of the 12 -month term, a balance is remaining, it may be carried over to
the next 12 months with advance written notice. (CTC reserves the right to increase the
hourly labor rate up to a 5% increase for each carry-over a year after the initial one -
year term). CTC will provide on an as- needed basis technical assistance and system
administration to the WCMC members. Services that may be used against the balance of
a retainer agreement include but are not limited to:
• Design, implement, and support a member's multi - platform Wide Area Network
and or/ Local Area Network.
• Document the various systems within a member community and periodically
update the documentation.
• Design and prepare for all software applications and programming modifications.
• Troubleshoot hardware and software problems.
• Perform necessary repair and maintenance of personal computer networks.
• Provide system file backup for PC operations, including restoring databases in
case of system malfunction.

• Monitor network security and usage, including documentation of information
system processes and procedures.
• Assume responsibility for the operation of each member's Microsoft Windows
2000 Domain and the Wide Area Network, including monitoring network
performance, security, and data back -up procedures.
• Assist users with operational prob /ems.
• Perform general maintenance on all software packages.
• Coordinate problems solving with software vendors; contact support hotlines to
resolve prob /ems.
• Set -up initial files, directories, and security to accommodate department needs
(i.e. installation of peripherals, user files, etc.).
• Install hardware, software, and peripherals.
• Insure continual operation of computer systems, even in response to emergency
situations.
• Generate monthly and annual reports of each member's problems and
discrepancies in operation.
• Provide recommendations on solutions to issues, including costs estimates for
repairs and /or replacement items.
• Research, evaluate, and advise management of enhancements to and new
releases of hardware and software technologies.
• Establish, communicate, and /or monitor hardware and software standards at
each member community.
• Assist with hardware and software purchases, including budget preparation.
• Recommend additional consulting support services, when necessary.
Weekly Reporting to WCMC Contract Administrator
CTC agrees to provide an itemized weekly report to the WCMC Contract Administrator
for all hardware /software purchases and labor hours used at each member Village /City.
If there were not any purchases or services provided in a given week, then a report will
not be generated.
More detailed reports may be available upon request by the Contract administrator.
Future Member Villages
The agreement period for all future member Villages /Cities will be prorated to the
existing annual agreement.
Prior to a new member joining the existing agreement, a "needs assessment" will be
performed by CTC to determine how many additional hours should be added to the
labor agreement, and only the necessary hours pro -rated to the end of that years
agreement will be added.
The additional hours will be billed at a further discounted labor rate if a new pricing tier
level is achieved. (See hourly block table). However, under no circumstances will
previously purchased or used labor hours be credited or further discounted as a result of
the newly purchased hours.

Response Commitment
CTCs' standard service call response time will be the same day. If an emergency service
call is required (a server /operating system/ or the inability to access the server) which is
down, a 4 hour response time will be provided. There will be no additional charge for
emergency service during CTC's regular business hours. If a call is placed after normal
business hours, a 1 1/2 times the hourly labor rate that has been agreed upon will then
be charged.
In addition to periodic usage statements, West Central Municipal Conference will receive
notification when the retainer is approaching a zero balance or when the retainer is
about to expire. If services are requested prior to a renewal of the retainer time
agreement, and no hours remain under the retainer, CTC reserves the right to bill the
client at the standard Time & Materials rate of $135.00 per hour, billed to the 1/4 hour,
plus charge a travel fee of $30.00 until the retainer has been renewed.
