RESOLUTION AUTHORIZING APPROVAL OF AN
ENGINEERING AGREEMENT WITH MORRIS ENGINEERING, INC.
FOR GENERAL PROFESSIONAL ENGINEERING SERVICES
WHEREAS, the Village of Lemont requires general professional engineering services
related to ongoing plan review, construction observation, and other related services; and
WHEREAS, the Village of Lemont seeks to utilize the firm of Morris Engineering, Inc.;
and
WHEREAS, the Village and Morris Engineering, Inc, have negotiated an agreement to
identify the terms and conditions of the services to be provided.
NOW, THEREFORE, BE IT RESOLVED, by the President and Board of Trustees that
the supplemental agreement attached hereto as Exhibit A is hereby approved.
PASSED AND APPROVED BY THE PRESIDENT AND BOARD OF TRUSTEES
OF THE VILLAGE OF LEMONT, COUNTIES OF COOK, WILL AND DUPAGE,
ILLINOIS, on this 10th day of March , 2003.

Re: Village Engineering Consultant Agreement
Dear Mayor and Trustees,
Morris Engineering, Inc. (MEI) is pleased to provide this agreement for general
professional civil engineering services, plan review, and construction
observation. We feel that Lemont unique mix of growth and aging infrastructure
needs engineering that attends to both aspects. We are pleased to be selected
as the Village of Lemont's Civil Engineering Consultant.
Scope of Work
General Engineering
MEI will on an "as needed" basis perform general Engineering task such as, but
not limited to, budget estimates, design, field meetings, general consulting,
meetings, surveying, staking, correspondence and coordination between
departments.
Plan Review
MEI will also review and comment on site plans and subdivision plans as
requested by the Village. MEI will review plans for conformance with the
Village's ordinances with respect to Engineering arid surveying. MEI shall not
be responsible for the acts or omissions of any design engineer, or any of their
subontractors, vendors, suppliers, or of any other individual or entity performing
or furnishing any of the Work. MEI shall not be responsible for any Engineer's
failure to perform or furnish the work in accordance with their contract.

Construction Observation
MEI will also perform construction observation for subdivisions and site plans as
requested by the Village.
In connection with observations of the work while it is in progress:
Make visits to the site at intervals appropriate to the various stages of
construction, as MEI deems necessary, in order to observe as an experienced
and qualified design professional the progress and quality of the various aspects
of contractor's work. Such visits and observations by MEI are not intended to be
exhaustive or to extend to every aspect of the work in progress, or to involve
detailed inspections of the work beyond the responsibilities specifically assigned
to MEI in this Agreement, but rather are to be limited to spot checking and similar
methods of general observation of the work based on MEI's exercise of
professional judgment. Based on information obtained during such visits and
such observations, MEI shall determine in general if such work is proceeding in
accordance with the contract documents and MEI shall keep the Village informed
of the progress of the work.
The purpose of MEI's visits to the site will be to enable MEI to better carry out the
duties and responsibilities assigned to and undertaken by MEI during the
construction phase, and, in addition, by the exercise of MEI's efforts as an
experienced and qualified design professional, to express an informed
professional opinion that the completed work of contractor will conform in general
to the contract documents and that the integrity of the design concept of the
completed project as a functioning whole as indicated in the contract documents
has been implemented and preserved by contractor.
MEI shall not, during such visits or as a result of such observations of
contractor's work in progress, supervise, direct or have control over contractor's
work nor shall MEI have authority over or responsibility for the means, methods,
techniques, sequences or procedures of construction selected by contractor, for
safety precautions and programs incident to the work of contractor or for any
failure of contractor to comply with laws, rules, regulations, ordinances, codes or
orders applicable to contractor's furnishing and performing the work.
Accordingly, MEI neither guarantees the performance of any conractor nor
assumes responsibility for any contractor's failure to furnish and perform its work
in accordance with the contract documents.
MEI shall not be responsible for the acts or omissions of any contractor, or any of
their subcontractors, vendors, suppliers, or of any other individual or entity
performing or furnishing any of the work. MEI shall not be responsible for any
contractor's failure to perform or furnish the work in accordance with the contract
documents.
Insurance
Village and MEI shall each deliver to the other certificates of insurance
evidencing coverage as additional insured. Such certificates shall be furnished
prior to commencement of MEI's services and at renewals thereafter during the
life of the Agreement.
At any time, Village may request that MEI, at Village's sole expense, provide
additional insurance coverage, increased limits, or revised deductibles. If so
requested and if commercially available, MEI shall obtain, and shall require MEI's
Consultants to obtain such additional insurance coverage, increased limits, or
revised deductibles for such periods of time as requested by Village.
Payment for Services
Morris Engineering, Inc.'s (MEI) services are invoiced on the basis of hourly
category rates. All time, including travel hours, spent on the project by
professional and technical personnel will be invoiced.
For plan review and construction observation, fees shall not exceed 2% of the
Village approved construction costs. Rates are revised at the beginning of each
calendar year. The following category rates are currently in effect:

REIMBURSABLE EXPENSES
A. Travel expenses necessary for the execution of the agreement. Highway
mileage in company or personal vehicles is charged at 35 cents per mile.
B. * Shipping charges.
C. * Expendable items required for field- testing.
D. * Printing of reports and drawings.
E. *Subcontracted work such as drilling, test pit excavation, laboratory
testing, special consulting services by others.
F. * Cost of specialized equipment and services for health and protection for
MEI and subcontractor personnel.
* Items will be billed at cost plus 10%
INVOICES AND PAYMENTS
Invoices will be submitted a maximum of twice a month. In addition a 1.5% late
fee will be implemented toward those invoices with an outstanding balance
beyond 30 days. In the event MB shalt be successful in any suit for damages
for breach of this agreement, including nonpayment of invoices, or to enforce this
agreement, or to enjoin the other party from violating this agreement, MEI shall
be entitled to recover as part of its damages its reasonable legal costs and
expenses for bringing and maintaining any such action.
Summary
We look forward to working with staff and the Board to blend Morris Engineering,
Inc. as an extension of Village's staff. We are capable of meeting your needs
with work outlined in the scope and other capital improvement projects. We
understand that MEI will be engineering many of the capital improvement
projects in the Village, but each project shall have a separate agreement.
Signature below will constitute agreement for both parties on this agreement.
