A RESOLUTION AUTHORIZING THE VILLAGE ADMINISTRATOR
TO ENTER INTO AN INTERGOVERNMENTAL AGREEMENT FOR
EXCHANGE OF REAL ESTATE WITH THE LEMONT PARK DISTRICT
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND MEMBERS OF THE BOARD
OF TRUSTEES OF THE VILLAGE OF LEMONT, COOK , WILL & DU PAGE COUNTIES, ILLINOIS
that:
Section 1: The Village Administrator is authorized to execute the Intergovernmental Agreement for Exchange
of Real Estate with the Lemont Park District attached hereto as Exhibit "A ".
Section 2: Effective Date: This Resolution shall become effective upon passage, approval and publication, in
Book and Pamphlet form as provided by law.

INTERGOVERNMENTAL AGREEMENT FOR
EXCHANGE OF REAL ESTATE
THIS AGREEMENT. made and entered into on this day set forth next to the
signatures of the parties hereto, by and between the VILLAGE OF LEMONT, an Illinois
municipal corporation (herein after referred to as "Village ") and the LEMONT PARK
DISTRICT (herein after referred to as "Park ").
WITNESSETH:
WHEREAS, the Illinois Constitution, 1970, Article 7, Section 16, authorizes units
of local government to contract or otherwise associate among themselves in any manner
not prohibited by law or by ordinance; and
WHEREAS, the Intergovernmental Cooperation Act, 5 ILCS 220/1 et seq,
provides that any power or powers, privileges or authority exercised or which may be
exercised by a unit of local government of this State may be exercised and enjoyed
jointly with any other local government; and
WHEREAS, the Local Governmental Property Transfer Act, 50 ILCS 605/0.01 et
seq permits the transfer of Park District Property to a local municipality; and
WHEREAS, the Village is desirous of acquiring certain real estate owned by the
Park adjacent to the property commonly known as the "Bowl" for flood control: and
WHEREAS, the Park has determined the property adjacent to the property
commonly known as the Bowl (legally described on Exhibit "A" attached hereto and
made a part hereof) is unnecessary, unsuitable or inconvenient for further use as a park;
and
WHEREAS, the Park and the Village wish to collaborate to meet the needs of the
Village and the needs of the Park, these public bodies have agreed to enter into an
Intergovernmental Agreement to transfer property and to provide for flood control
measures.
NOW, THEREFORE, in consideration of the foregoing Recitals and the
covenants and conditions hereinafter contained, the adequacy and sufficiency of which
the parties hereto hereby acknowledge; the parties hereby mutually agree as follows:
1. That the Park does hereby agree to convey by deed the property adjacent to
the property commonly known as the "Bowl" which includes PINs 22- 29 -202-
043; 22 -29- 202 -033; 22 -29- 202 -034; 22 -29- 202 -035; 22 -29 -202 -016;
and 22 -29- 202 -042, and will be conveyed to the
Village of Lemont as delineated on Exhibit "A" for a nominal consideration of
One Dollar ($1.00).
2. The parties agree to hold harmless, indemnify and defend each other from any
and all claims, demands, liabilities and suits in law or in equity hat may arise
from or out of the performance of this Agreement.
3. This Agreement shall be binding upon and inure to the benefit of any
successor governmental legal entity which may assume and perform the duties
of either party hereto. Notwithstanding the foregoing, this Agreement shall
not be assigned by either party hereto without the prior written consent of the
other party to this Agreement.
4. The invalidity of any provisions of this Agreement shall not impair the
validity of any other provisions. If any provision of this Agreement is
determined by a court of competent jurisdiction to be unenforceable, that
provision severed or as modified by the court.
