WHEREAS, the legal owners of record of the territory which is the subject of an
Annexation Agreement are ready, willing and able to enter into said agreement and perform the
obligations as required therein; and
WHEREAS, a copy of said Annexation Agreement has been attached hereto and
included herein; and
WHEREAS, the statutory procedures provided for in the Illinois Municipal Code for the
execution of said agreement have been fully complied with.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF LEMONT, COUNTIES OF COOK, DUPAGE, AND
WILL, STATE OF ILLINOIS, AS FOLLOWS:
SECTION 1: That this ordinance shall be in full force and effect from and after its
passage, approval, and publication in pamphlet form as provided by law.

THIS AGREEMENT, made and entered into this day of May, 2007, between the
VILLAGE OF LEMONT , a municipal corporation of the Counties of Cook, DuPage and Will,
in the State of Illinois (hereinafter referred to as "VILLAGE ") and 131ST STREET / RED
DRIVE HOMEOWNERS (hereinafter referred to as "OWNERS ").

WHEREAS, a Petition for Annexation has been filed with the VILLAGE pursuant to
Chapter 65, Section 5/7 -1 -8, as amended and executed by all of the OWNERS of the subject
property and at least by Fifty One Percent (51 %) of the Electors residing therein;
WHEREAS, pursuant to the provisions of the Statute, the corporate authorities of said
VILLAGE has duly fixed a time for and held a hearing on the Annexation Agreement and has
given notice of said hearing; and
WHEREAS, the corporate authorities of the VILLAGE have considered the annexation
of the TERRITORY described in the petition and has determined that the best interest of the
VILLAGE will be met if the TERRITORY is annexed to the VILLAGE and developed in
accordance with the provisions of the Agreement.
NOW, THEREFORE, in consideration of the foregoing and of the mutual covenant
hereinafter contained, the parties agree as follows:
I
ANNEXATION
1. Subject to the provisions of Chapter 65, Section 5/11- 15.1 -1 et. seq. of the Illinois
Compiled Statutes, the parties hereto respectively agree to do all things necessary or appropriate
to cause the TERRITORY to be validly annexed to the VILLAGE as promptly as possible upon
the execution of this Agreement.
2. The Plat of Annexation of said TERRITORY is attached hereto as Exhibit B. Said Plat
extends to the far side of any adjacent highway and includes all of every highway within the
TERRITORY so annexed.
II
ZONING AND LAND USE RESTRICTIONS
1. Upon annexation of the TERRITORY to the VILLAGE, the parcels shown on the plat
of annexation attached as Exhibit B shall be classified under the Lemont Zoning Ordinance No.
426, as amended, as R -4 Single Family Detached Residential District.
2. Notwithstanding the provisions of the VILLAGE'S Zoning Ordinance or Subdivision
Control Ordinance now in effect which may be in conflict with the current uses of the subject
property, such current uses shall be deemed to be permitted legally non - conforming under the
VILLAGE Zoning Ordinance and Subdivision Control Ordinance. The parties agree, however,
that any and all structures and improvements currently located on the subject property shall be
subject to the VILLAGE'S health code, safety code and/or fire code currently in effect and as
they are amended from time to time.

III
VILLAGE ASSISTANCE
1. The VILLAGE is currently negotiating with an adjoining developer for annexation,
zoning and subdivision known as Glen Oak Estates. The VILLAGE will use its best efforts to
require the developer to provide additional landscaping buffer and other amenities to soften the
impact on the OWNERS herein. Further, the Village will work with the developer to limit
access to Derby Road.
2. The VILLAGE agrees to participate with the township and assist OWNERS with legal
expenses in connection with requesting the Metropolitan Water Reclamation District to
disconnect from its service area in order to avoid the MWRD property tax.
3. The VILLAGE will further limit or vacate the Red Drive access to the Glen Oak
Estates Development and allow adjoining property owners to obtain title to the vacated street or
limit future access to the adjoining subdivision.
4. The VILLAGE agrees to provide maintenance for storm water detention as determined
to be required by the Village's Engineer and Public Works Director. This work includes, but is
not limited to: dredging silt as required; clearing of vegetation and other obstacles that would
impede flow and create backups for the system; maintain and update infrastructure to the entry
and discharge points; erosion control and mosquito abatement. The wet detention areas included
are generally described below and are legally described in Exhibit C:
a) Northerly 115 foot portion on Lot 1 (PIN 22 -34- 402 -001);
b) Southerly 50 foot portion on Lot 3 (PIN 22 -34- 402 -003);
c) Northerly 50 foot portion of Lot 4 (PIN 22 -34- 402 -004);
d) Easterly 196 foot portion of Lot 29 (PIN 22 -34- 404 -007); and
e) Northeastern Corner of Lot 28 (PIN 22 -34- 404 -006).
The OWNERS of said lots agree to provide an easement to the VILLAGE for purposes of
maintaining said wet detention area and will continue basic property maintenance to include
cutting of grass and maintaining landscaping.
IV
GENERAL PROVISIONS
1. Interests in the Subject Property. OWNERS represent and warrant to the VILLAGE
that they have those respective interests in the subject property as set forth in this Agreement and
that no other person or entity has any ownership interest in the property.

2. Successors in Interest. This Agreement shall inure to the benefit of and be binding
upon the successors in title of the OWNERS, and their respective successors, grantees, lessees,
and assigns, and upon successor Corporate Authorities of the VILLAGE and successor
municipalities. It is understood that this Agreement shall run with the land and as such, shall be
assignable to and be binding upon subsequent grantees, lessees, and successors in interest of
OWNERS, and each of them, and, as such, this Agreement and all exhibits hereto shall be
recorded with the Recorder of Deeds of Cook County, Illinois by the VILLAGE'S sole cost and
expense.
3. Parties' Faithful Performance. Notwithstanding any provision of this Annexation
Agreement to the contrary, including, but not limited to the sale or conveyance of all or any part
of the subject property by OWNERS, the parties shall at all times during the term of this
Annexation Agreement remain liable to one another for faithful performance of all obligations
imposed by this Annexation Agreement until such obligations have been fully performed or until
the VILLAGE has otherwise released that Party from any or all of such obligations in writing,
and such release shall not unreasonably be withheld.
4. No Waiver or Relinquishment of Right to Enforce Agreement. The failure of any Party
to this Annexation Agreement to insist upon strict and prompt performance of the terms,
covenants, agreements and conditions herein contained, or any of the them, upon any other Party
imposed, shall not constitute or be construed as a waiver of relinquishment of any Party's right to
enforce any such term, covenant, agreement or condition, but the same should continue in full
force and effect.
5. Authority. The Parties represent and warrant that they have the full capacity, right,
power and authority to execute, deliver and perform this Agreement and that all required action
and approvals authorized herein have been or will be duly taken and obtained and that this
Agreement is fully binding upon, and enforceable against them in accordance with its terms. The
individuals signing this Agreement and all other documents executed or to be executed pursuant
hereto shall be duly authorized to execute the sane and shall bind the Parties thereto. The Parties
shall fully cooperate with each other in carrying out all of the terms of this Agreement.
V
PROPERTY TAX REBATES
The VILLAGE agrees to rebate their portion of the Real Estate Property taxes for the
duration of this Agreement. Owners will be responsible for paying the taxes initially and submit
to the Village for reimbursement. The Village shall rebate taxes to Owners within 30 days of the
Village receiving documentation from the Owners as to the paid taxes.
VI
TERM OF THIS AGREEMENT
This Agreement shall be binding upon all the parties hereto, their respective successors
and assigns for a period of twenty (20) years. All of the terms and conditions provided herein
shall run with the land.
