Brown, softwareRESOLUTION_ il- QS� A RESOLUTION WAIVING PUBLIC BIDDING REQUIREMENTS & ENTERING INTO AN AGREEMENT WITH ROBERT I. BROWN, MICRO - CONSULTANT FOR LIPS SOFTWARE WHEREAS, pursuant to the provisions of 65 ILCS 5/8 -9 -1 the Village of Lemont may, by a vote of 2/3 of its Trustees then holding office, waive the requirements for public bidding; and WHEREAS, in connection with the work to be conducted through the Building Department's licensing, inspection and permits software system, the Village has researched and evaluated the available options, vendors, and consultants; and WHEREAS, it was concluded that the greatest benefit to the Village will be realized by waiving the bidding process and entering into an agreement with Robert I. Brown, Micro - Consultant for the conversion of the existing version of the "Licensing, Inspection and Permits System" (LIPS) to a Windows -based version; and WHEREAS, Robert I. Brown, Micro - Consultant has agreed to provide a scope of services outlined in a proposal dated April 13, 2005 in an amount not to exceed $14,000.00, a copy of which is attached hereto as Exhibit A; NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND MEMBERS OF THE BOARD OF TRUSTEES OF THE VILLAGE OF LEMONT, COOK , WILL & DU PAGE COUNTIES, ILLINOIS that: Section 1: Incorporation of Recitals: The foregoing recitals are hereby expressly incorporated into and made a part of this Resolution as if fully set forth herein. Section 2: Waiver of Public Bid Requirements: Pursuant to the provisions of 65 ILCS 5/8 -9 -1 the Village hereby waives the public bidding requirements otherwise applicable to the contract for the Licensing, Inspection and Permits System (LIPS) and related work. Section 3: Repealer: All other Resolutions or parts of resolutions of the Village of Lemont that are inconsistent with this resolution are hereby expressly repealed. Section 4: Severability: In the event any word, phrase, clause, sentence, paragraph, provision, or section of this Resolution or any portion thereof shall be held to be unconstitutional, unenforceable, or void, the same shall not affect the validity or enforceability of any remaining words, phrases, clauses, sentences, paragraphs, provisions, or sections thereof. Section 5: Effective Date: This Resolution shall become effective upon passage, approval and publication, in Book and Pamphlet form as provided by law. Brown (known hereafter, as "the consultant ") for the Village of Lemont to a Windows -based version. The resulting version will be developed following existing models implemented in other municipalities and demonstrated to the Village during the month of March, 2005. Process: The consultant will use a development platform compatible with the data structures of the existing LIPS which had been built using a DOS version of Foxpro. The newly developed version will be deployed using Visual Foxpro royalty -free runtime, version 7.0. The new version will incorporate features which will take advantage of the Windows environment and user accessibility'. Data structures will be altered in the new version, but the data contents of the previous version will be preserved in the process. During the conversion and subsequent development, the consultant will incorporate additional enhancements agreed upon by the 'Village Building Department staff Commitment: The consultant will implement this conversion across a three (3) month timeline, to begin at a time agreed to by the staff of the Village Building Department. Additional enhancements may extend beyond that period, not to exceed one (1) year from the time of initiation. Should circumstances intervene either on the part of the consultant or the. Village, this timeline may be altered with the full agreement of both parties. In addition, the Consultant agrees to provide, at no additional cost to the Village, maintenance of the newly converted version of LIPS for a period, not to exceed, twenty--four (24) months from the time the project begins. This maintenance support would cover any errors, programming "bugs" or other mistakes in development caused by the eonsultant in the conversion and development process. Cost: Based on the number of development hours required, the consultant is proposing that the cost for the conversion and development of the new version of LIPS shall not exceed $14,000. The manner for payment of this amount shall be decided in consultation between the consultant and the Village. Ownership: It is understood that the "idea" for LIPS remains the intellectual property of the consultant, as well as any coding or programming strategies brought to the project by him. However, the Village is given full possession of source code as part of this proposal. In the event that the consultant, in the future, is not longer available to support the program, for whatever reason, the source code remains with the Village to be modified and updated as it sees fit.
