NOW THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Lemont that the Water Main Easement attached hereto is hereby approved. IN CONSIDERATION of the grant of the perpetual non - exclusive easement, right, privilege and authority herein contained, this Water Main Easement is subject to the following conditions: FIRST: Said part of the water main shall be constructed by the open cut method of construction under and through the Water Easement Area described in Exhibit B, either of ductile iron pipe or other materials that the VILLAGE Engineer deems advisable, and in accordance with the specifications and plans approved by the VIT S AGE Engineer. The VILLAGE shall not install anything above ground in the Water Easement Area except for five (5) water hydrants. SECOND: Further, all obligations of indemnification by VILLAGE. to GRANTOR in this Easement shall apply to any Contractors to the same extent as applicable to VILLAGE. WASearecary1CORPADMCLNICOOKOOLFWate, ManEwe engeMn„).Wpdawsa:zpM I THIRD: The rights and obligations of the GRANTOR and the VILLAGE respectively hereunder shall inure to the benefit of and be binding upon their respective successors and assigns, and all terms, conditions and covenants herein shall be construed as covenants running with the land. FOURTH: The GRANTOR may use the Water Easement Area in, above, under and across for any use or purpose, it being understood, however, that such use shall not unreasonably interfere with or damage the water main of the VILLAGE, and that the VILLAGE shall have the right of access to the Water Easement Area at all times for the purpose of reconstruction, repair, maintenance or operation of the water line; provided, however, VILLAGE, shall, except for emergencies, give at least 48 hours' written notice to GRANTOR and shall not disrupt any of the Cog Hill operations, or access to Cog Hill Golf and Country Club. As a part of any reconstruction, repair or maintenance to the water main or appurtenances, the Water Easement Area easement and surrounding premises shall be returned to the same condition existing prior to such reconstruction, repair or maintenance. FIFTH: The GRANTOR and its successors, assigns, and beneficiaries, shall have the right, upon proper application, and approval of a permit, to connect to the water maim within the Water Easement Area to serve all or a portion of the properties described in Exhibit A, provided that GRANTOR shall also file a Petition to Annex to VILLAGE such portion of the Exhibit A property as GRANTOR applies to be served by the water main. GRANTOR shall pay the usual and customary fees for connection to said water main. SIXTH: The VILLAGE shall, after the water main is constructed, restore the Water Easement Area substantially to its original condition. SEVENTH: Whenever written approval is required hereunder, such written approval shall not be unreasonably withheld. EIGHTH: VILLAGE warrants and guarantees that there shall be no construction on or under the paved blacktop roadway area (i.e., `paved roadway") except for tunneling under said paved roadway. In addition all construction equipment and personnel shall stay off the paved roadway so that no portion of either lanes of the Sag - Lemont paved roadway shall be at any time closed to traffic_ NINTH: VILLAGE shall provide the GRANTOR with as -built plans of the water main and appurtenances within ninety (90) days after completion of construction. TENTH: The properties that maybe benefitted by this water main now and at any time in the future shall always be limited to property located north of Sag - Lemont Road (and Sag - Lemont Road extended easterly). ELEVENTH: Wherever the term. Cook Golf, Cog Hill or Grantor is used, the following entities, which include operating entities at Cog Hill, shall be deemed to have the benefit of the terms of this Easement, including, but not limited to Paragraph Fifth, as if they had been mined. Chicago Title & Trust Company as Trustee under Trust Number 55281 First National Bank of Evergreen Park, as Trustee under Trust Agreement dated October 6, 1989, and known as Trust No. 10894 TWELFTH= Construction activities performed by the Village or its Contractors in the Water Easement Area of the Development, or any portions thereof: (a) shall be performed in a good and workmanlike manner so as not to unreasonably disturb the operation of any business conducted upon GRANTOR' S property, and once commenced, such work will be diligently pursued to completion; and (b) Any grading or construction in the Water Easement Area shall be repaired and restored within 30 days to its prior existing condition in a prompt and workmanlike manner. THIRTEENTH: Indemnification. The VILLAGE, its agents and contractors, shall indemnify and save harmless the GRANTOR, its directors, officers, employees and agents from and against any and all liabilities, damages, penalties or judgments, any and all actions, suits, proceedings, claims, demands, assessments, costs and expenses, including, without limitation, reasonable legal fees and expenses, incurred in enforcing this indemnity, arising from injury to person or property sustained by anyone in and about the Water Easement Area resulting from any act or omission of the Village, its employees, agents or contractors. The Village shall, at its own cost and expense, defend any and all suits or actions, just or unjust, which may be brought against the Grantor or in which the Grantor may be impleaded with others upon any such above - mentioned matter, claim or claims. FOURTEENTH: Remedies and Enforcement. (a) All Legal and Equitable Remedies Available. In the event of a breach or threatened breach by the VILLAGE or GRANTOR (collectively, jointly and severally, the "Defaulting Owner ") of any of the terms, covenants, restrictions or conditions hereof, the other non - defaulting owner shall be entitled forthwith to full and adequate reliefby injunction and/or all such other available legal and equitable remedies from the consequences of such breach from the Defaulting Owner. (b) Self -Help. In addition to all other remedies available at law or in equity, upon the failure of a Defaulting Owner to care a breach of this Easement Agreement within thirty (30) days following written notice thereof by the Non - Defaulting Owner (unless, with respect to any such breach the nature of which cannot reasonably be cured within such 30 -day period) the Defaulting W lSecrew)ACOILPV DIMCLN∎COOKGOLS W ∎W Meln F/umv.'n(ekm ).rp i 5:3.2pm 3 Owner shall have the right to perform such obligations contained in this Easement Agreement on behalf of such Defaulting Owner and be reimbursed by such Defaulting Owner upon demand for the reasonable costs thereof together with interest at the Prime Rate charged from time to time by CitiBank (its successors or assigns) as published in the Wall Street Journal plus three percent (3 %) per annum (not to exceed the maximum rate of interest allowed by law). Notwithstanding the foregoing, in the event of an emergency the Non - Defaulting Owner may immediately cure the same, without notice, and be reimbursed by the Defaulting Owner upon demand for be reasonable costs thereof together with interest at the Prime Rate, plus three percent (3 %), as above described. (c) Attorneys' Fees. In any legal or equitable proceeding to determine the rights of the parties to enforce or restrain the breach of this Easement Agreement, the losing party or parties, as determined by the court, hearing officer, other tribunal or arbiter utilized for this purpose, shall pay the reasonable attorneys' fees, legal costs and expenses of the prevailing party or parties. (d) Remedies Cumulative. The remedies specified herein shall be cumulative and in addition to all other remedies permitted at law or in equity. FIFTEENTH: During the course of construction of the water main, VILLAGE will construct an auger pit approximately ten feet x ten feet south of the paved area of Sag- Lemont Road at approximately 1, 050 feet east of Parker Road centerline, which auger pit area may disturb a portion of Cog Hill property. The auger pit excavation area should be properly backfilled, compacted to ninety -five (95) percent and the surface area restored. SIXTEENTH: VILLAGE will provide two 6 -inch tees. One tee shall be approximately 500 feet east of the Parker Road centerline and one tee shall be at the east end of the imposed water main extension, approximately 1,080 feet east of the centerline of Parker Road, just east of Maley Road. Both of tbese tees shall be for the exclusive use of Cook Golf Properties, Inc. GRANTOR shall be responsible for the standard application fees charged by the VILLAGE to review and approve water main application and construction documents and would be subject to any V illage of Lemont or IEPA -PWS current rules or regulations.
