RESOLUTION AUTHORIZING APPROVAL OF AN AGREEMENT
WITH THE ILLINOIS CENTRAL RAILROAD COMPANY FOR
TALCOTT / PRUYNE STREET GRADE CROSSING IMPROVEMENT
WHEREAS, the Village of Lemont requires construction of the Singer Landing project; and
WHEREAS, the Village and the Illinois Central Railroad Company, have negotiated an
agreement to identify the terms and conditions of the services to be provided due to the
railroad work necessary.
NOW, THEREFORE, BE IT RESOLVED, by the President and Board of Trustees that the
agreement attached is hereby approved.
PASSED AND APPROVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF LEMONT, COUNTIES OF COOK, WILL AND DuPAGE, ILLINOIS, on this

Reference is made to previous correspondence concerning the proposed construction of
the Singer Landing in Lemont, Illinois. Enclosed for submission to the Village of Lemont
are two copies of an agreement to cover the railroad work necessary to accommodate the
road changes you made to build Singer Landing.
Please arrange to have both originals signed by the Village of Lemont, Illinois and return
them to me, with a check in the appropriate amount made out to Illinois Central Railroad
Company. I will have the agreements signed by the Railroad Company and return a fully
executed original to you or the Village of Lemont, Illinois. At that time we can begin to
order the necessary the material and schedule it's installation.

LOCAL AGENCY HIGHWAY - RAILWAY
GRADE CROSSING IMPROVEMENTS
THIS AGREEMENT, made and entered into this 4'h day of October, 2005, by
and between Village of Lemont in the State of Illinois, hereinafter referred to as the
"LOCAL AGENCY" and the ILLINOIS CENTRAL & RAILROAD COMPANY, hereinafter
referred to as "RAILROAD";
WITNESSETH:
WHEREAS, in the interest of public safety and convenience, the parties hereto
propose to improve the highway - railway grade crossing surface(s) at the location listed
on the attached Exhibit A, by reference hereto made a part hereof; and
WHEREAS, the parties mutually agree to accomplish the proposed
improvements, all or in part, through the use of LOCAL AGENCY funds which are
provided under applicable LOCAL AGENCY Act, Ordinance and /or appropriation;
NOW THEREFORE, in consideration of the premises and of the mutual
covenants and agreements of the parties hereto, to be by them respectfully kept and
performed as hereinafter set forth, it is hereby agreed as follows:
ARTICLE I. For the purpose of identifying the plans, specifications, estimates
and other documents, this project will be designated as "Talcott Road /Pruyne Street
Grade Crossing Improvements at Illinois Central Railroad Company's Milepost AO-
24.71, DOT #289 733V, at/near Lemont, IL ".

ARTICLE II. The project covered under this Agreement shall be subject to all
applicable LOCAL AGENCY laws, rules, regulations, orders and approvals pertaining to
agreements, specifications, award of contracts, acceptance of work and procedures in
general. With respect to reimbursement by the LOCAL AGENCY to the RAILROAD, as
hereinafter provided, for any work or portion thereof performed by the RAILROAD, the
LOCAL AGENCY and the RAILROAD shall be governed by the applicable provisions of
the Federal -Aid Policy Guide (FAPG), as currently amended, which is also made a part
of this Agreement by reference.
ARTICLE III. The proposed improvements to be accomplished shall be in
accordance with attached EXHIBIT A. The RAILROAD's portion of the work for the
proposed improvements, listed under 'WORK TO BE PERFORMED BY RAILROAD" on
EXHIBIT A, shall be in accordance with the plan and estimate(s) of cost attached hereto
as EXHIBIT C. No approved plan or specification shall be changed by the RAILROAD
without written permission from the LOCAL AGENCY, excepting for minor changes
necessitated by actual field conditions encountered at the time of construction or
substitutions of equivalent materials as may be agreed upon by RAILROAD's and
LOCAL AGENCY's respective representatives.
ARTICLE IV. If the work herein contemplated includes the installation,
replacement, relocation or improvement of crossing warning devices, the completed
crossing warning devices shall conform to Part VIII of the "Manual on Uniform Traffic
Control Devices" and any supplements or amendments thereto which are in effect at the
time the detailed plans are submitted for approval.

ARTICLE V. All items of work listed under "WORK TO BE PERFORMED BY
RAILROAD" on Exhibit A may be performed by the RAILROAD with its own forces on a
force account basis, or by contract. In the event the RAILROAD elects to engage a
contractor to perform all or a substantial portion of the work, the RAILROAD shall
furnish LOCAL AGENCY the name of the contractor whose services will be used to
perform the work. If the estimate of cost for such work (including labor, materials and /or
equipment) to be performed under any one contract or with any one contractor exceeds
$10,000, said contract or contracts shall be secured by competitive bid. Such contracts
will be in compliance with any applicable State statutes and implementing rules and
regulations prohibiting discrimination in the solicitation or selection of contractors or
subcontractors on the basis of race, color, national origin or sex.
ARTICLE VI. The LOCAL AGENCY shall prepare any required detailed
drawings, plans and specifications as may be required for any proposed improvements
listed under "WORK TO BE PERFORMED BY LOCAL AGENCY" on EXHIBIT A, and
shall perform or arrange for the performance of said items of work at its sole cost, risk
and expense, except as may otherwise be specifically provided for in this Agreement.
ARTICLE VII. In the event the work to be performed by LOCAL AGENCY is to
be let by contract, LOCAL AGENCY shall require its contractor(s), before entering upon
the tracks or premises of RAILROAD, or performing any work on or in dose proximity
thereof, to secure permission from the authorized representative of the RAILROAD for
the occupancy and use of its premises and /or to confer with the RAILROAD relative to
its requirements for clearances, operations and general safety regulations. The
RAILROAD reserves the right to furnish LOCAL AGENCY's contractor(s), at the sole

cost and expense of said contractor(s), protective services such as, but not limited to,
flagmen, watchmen or other as the RAILROAD may deem desirable to promote safety
and continuity of rail traffic during the progress of the work, for which said contractor(s)
shall be required to reimburse the RAILROAD promptly upon receipt of bills. For any
such work which is performed by RAILROAD for LOCAL AGENCY's own forces, LOCAL
AGENCY hereby agrees to so reimburse the RAILROAD upon receipt of bills. Cost and
expense for work performed by RAILROAD, as referred to in this Article, shall consist of
the actual cost of labor, materials and related items, plus RAILROAD's standard
additives in effect at the time the work is performed.
ARTICLE VIII. Each party will, at its own expense, provide the necessary con-
struction engineering and inspection for carrying out its work as set forth in EXHIBIT A.
Any costs which may be incurred by the RAILROAD for inspecting the work performed
by the LOCAL AGENCY as said work may affect the properties and facilities of the
RAILROAD, or the safety and continuity of train operations, shall be reimbursed to
RAILROAD by LOCAL AGENCY upon receipt of bill(s) therefor.
ARTICLE IX. Subsequent to the award of any contract or contracts by the
parties, and before any work is started on this project, a conference shall be held
between the representatives of the LOCAL AGENCY, the RAILROAD and the interested
contractor(s), at a mutually convenient time and place , for the purpose of coordinating
the work to be performed by the several parties, and at which time a schedule of
operations will be adopted. Such schedule of operations will provide sufficient lead time
for the parties to order and assemble their respective materials.

ARTICLE X. Upon execution of this agreement, the RAILROAD shall
promptly commence to assemble the necessary materials and, as soon as possible
thereafter, arrange to perform its work consistent with the schedule of operations
adopted and in accordance with the approved plans and specifications, and shall notify
the agencies listed on Exhibit A before commencing work.
ARTICLE XI. The LOCAL AGENCY agrees, to the extent it lawfully may, to
indemnify the RAILROAD against and save it harmless from Toss and damage to any
property, and injury to or death of any persons, and from court costs and attorney's
fees, and expenses incident thereto, arising out of any work to be performed hereunder
by or on behalf of LOCAL AGENCY and caused by the negligence of LOCAL AGENCY,
or any contractor for LOCAL AGENCY, or their respective officers, agents or
employees. The LOCAL AGENCY shall comply with the insurance requirements
contained in EXHIBIT B attached and incorporated herein.
ARTICLE XII. The RAILROAD agrees to indemnify the LOCAL AGENCY
against and save it harmless from loss and damage to any property, and injury to or
death of any persons, and from court costs and attomey's fees, and expenses incident
thereto, arising out of any work to be performed hereunder by RAILROAD and caused
by the negligence of RAILROAD or its officers, agents or employees.
ARTICLE XIII. The RAILROAD shall keep an accurate and detailed account
of the actual cost and expense as incurred by it, or for its account, in the performance of
work it herein agrees to perform at LOCAL AGENCY's expense. The RAILROAD, for

performance of said work as herein contemplated, may bill the LOCAL AGENCY
monthly for the LOCAL AGENCY's share of the costs and expenses incurred, plus
allowable additives, including for the cost of materials (including applicable sales, excise
or value -added taxes) purchased, delivered and stored on the RAILROAD's property but
not yet installed, provided said materials are designated for exclusive use on this
project. The LOCAL AGENCY, after verifying that the bills are reasonable and proper,
shall promptly reimburse the RAILROAD the full amount of the LOCAL AGENCY's share
as billed.
The RAILROAD, upon completion of its work, shall promptly render to the
LOCAL AGENCY a detailed final statement of the LOCAL AGENCY's share of its actual
expenses as incurred. After the LOCAL AGENCY has checked the final statement and
verified that it is reasonable and proper, insofar as they are reasonably able to
ascertain, the LOCAL AGENCY shall then reimburse the RAILROAD an amount, Tess
previous payments, if any, equal to the full amount of the LOCAL AGENCY's share as
billed less any item or items of expense, if any, found as not eligible for reimbursement.
For the purposes of this Article, the LOCAL AGENCY's share of any costs and
expenses shall be deemed to include all funds advanced to, or to be reimbursed to,
LOCAL AGENCY, regardless of source, for the purpose of defraying the costs and
expenses of this improvement project.
ARTICLE XIV. The improvements contemplated herein shall be placed in
service immediately after same are completed, pending final inspection by
representatives of the parties hereto. The LOCAL AGENCY shall notify RAILROAD of
the date on which the completed improvements will be ready for final inspection.

ARTICLE XV. After completion of the work contemplated under this Agreement,
the RAILROAD, at its sole cost and expense except as otherwise provided by law or by
separate agreement, shall maintain the grade crossing surface(s), from end -of -tie to
end -of -tie, and any crossing waming devices installed or relocated pursuant to this
Agreement and the LOCAL AGENCY shall, at its sole cost and expense, maintain the
roadway approaches beyond the ends of the track ties.
It is expressly understood, however, that if any materials specified to be installed
pursuant to this Agreement exceed the specifications for standard materials customarily
used for the same purpose in the course of the RAILROAD's normal
maintenance/replacement operations, then at the end of the economically useful life of
the materials installed pursuant hereto, the RAILROAD's participation in the cost of
replacement shall be limited to its costs, or anticipated costs, to do so with its standard
materials.
ARTICLE XVI. In the event the grade crossing at which the improvements
under this Agreement are to be made is subsequently discontinued or abandoned by
either party to this Agreement, then and in that event the LOCAL AGENCY or the
RAILROAD, as the case may be, shall be advised of such action by the party instituting
such discontinuation or abandonment. The grade crossing surface materials and /or
crossing warning devices installed pursuant to this Agreement shall be removed by the
RAILROAD, at the sole cost and expense of the party initiating the discontinuance or
abandonment, and the LOCAL AGENCY shall, at its expense, fill any gap through the
roadway caused by the removal of any track(s).

If the said discontinuance or abandonment occurs within ten (10) years of the
date the improvement(s) made pursuant to this Agreement is (are) originally placed
inservice, any reusable materials salvaged by the RAILROAD from the improvement
shall be held for relocation and reinstallation at another grade crossing mutually agreed
upon by the parties hereto, and any costs incurred by the RAILROAD to refurbish,
relocate and /or reinstall said material shall be reimbursed by the LOCAL AGENCY;
excepting that in the event the parties hereto are unable to agree upon another crossing
location, or the LOCAL AGENCY is unable to procure funds to defray the expense of
reinstalling said material, within one (1) year of the date said material is removed from
the original crossing location, RAILROAD shall deliver said materials to the LOCAL
AGENCY and same shall become the property of the LOCAL AGENCY for disposition
as it sees fit.
If said discontinuance or abandonment occurs after ten (10) years from the date
the improvement(s) made pursuant to this Agreement is (are) originally placed in
service, any materials salvaged by the RAILROAD therefrom shall, for the purposes of
this Agreement, be deemed unsuitable for relocation or reinstallation at another crossing
location, shall be presumed to have no net salvage value and shall become the property
of the RAILROAD for disposition as it sees fit.
ARTICLE XVII. The LOCAL AGENCY hereby certifies that for payment of its
obligations incurred in connection with the construction of the proposed improvements,
the necessary appropriations have been made and are evidenced by the attached
resolution.

ARTICLE XVIII. In the event that delays or difficulties arise in securing any
necessary approvals, or in acquiring rights -of -way, or in settling damage claims, or for
any other cause which in the opinion of the LOCAL AGENCY renders it impracticable to
proceed with the construction of the project, then at any time before the construction is
started, LOCAL AGENCY may serve formal notice of cancellation upon the RAILROAD
and this Agreement shall thereupon terminate. In the event of cancellation, LOCAL
AGENCY shall reimburse the RAILROAD for all eligible cost and expense incurred by
the RAILROAD prior to receipt of notice of cancellation and payment by LOCAL
AGENCY.
ARTICLE XXII. This Agreement shall be binding on the parties hereto, their
successors and assigns.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed in duplicate counterparts, each of which shall be considered an original, by
their duly authorized officials as of the day and date first written above.

the State of Illinois, is hereby authorized to execute an Agreement dated October 4,
2005 with the Illinois Central Railroad Company, copy attached, covering " Talcott
Road /Pruyne Street Grade Crossing Improvements at Illinois Central Railroad's Milepost
AO- 24.71, DOT #289 733V, at/near Lemont, Illinois" on behalf of said Village of Lemont
by affixing his signature to each of two (2) original counterparts of said Agreement, the
same to be attested by the City Clerk; and it is herein and hereby certified and affirmed
that funds have been appropriated and are available for the payment by the Village of
Lemont of any amounts agreed to be paid by it under the terms of said Agreement.
BE IT FURTHER RESOLVED a certified copy of this resolution be transmitted to
the Illinois Central Railroad Company.

In the event the work to be performed by Local Agency on or in close
proximity to Railroad's property, track(s) or other facilities is let by contract, Local
Agency shall fumish or require its contractor(s) to furnish evidence of Workmen's
Compensation coverage and to maintain at all times during the performance of
any construction or reconstruction work the following types of insurance:
(A) Contractor's Public Liability and Property Damage Liability
Insurance, including automobile coverage, with a combined
single limit of $5,000,000 per occurrence with an aggregate
limit of $10,000,000 for the term of the policy;
(B) Contractor's Protective Public Liability and Property Damage
Liability Insurance with the same limits as (A) if subcontractors
are involved; and
(C) Railroad Protective Public Liability and Property Damage
Liability Insurance with the same limits as prescribed in (A)
naming Illinois Central Railroad Company as the insured and of
a form acceptable to the Railroad, and said insurance shall be
primary as it relates to this contract. The Railroad shall be
furnished with an original of the Railroad Protective Policy, and,
in addition, certificate(s) of insurance evidencing the other
insurance coverage specified herein.
The Railroad Protective Policy and the certificate(s) of insurance must meet with
the approval of the Railroad before any work shall be commenced on Railroad's
property or in close proximity to Railroad's tracks or other facilities by the said
contractor(s).
