AN ORDINANCE AUTHORIZING THE EXECUTION OF AN
INTERGOVERNMENTAL JURISDICTIONAL BOUNDARY AGREEMENT BETWEEN
THE VILLAGE OF LEMONT AND THE VILLAGE OF WOODRIDGE
WHEREAS, Section 11 -12 -9 of the Illinois Municipal Code (65 ILCS 5/11- 12 -9),
authorizes corporate authorities of municipalities to agree upon boundaries for the exercise of
respective jurisdictions within unincorporated territory that lies within one and one -half miles of
the boundaries of such municipalities; and,
WHEREAS, Section 10 of Article VII of the Constitution of the State of Illinois of 1970
authorizes units of local government, including municipalities, to contract to exercise, combine,
or transfer any power or function not prohibited to them by law or ordinance; and,
WHEREAS, the Village of Lemont and the Village of Woodridge have negotiated the
terms of an Intergovernmental Jurisdictional Boundary Line Agreement, a copy of which is
attached here to as Exhibit "A" and is, by this reference, incorporated herein; and,
WHEREAS, Lemont desires to enter into said Boundary Line Agreement as an exercise
of its intergovernmental cooperation authority under the Constitution and Statutes of Illinois, and
its authority to enter into jurisdictional boundary agreements pursuant to Section 11 -12 -9 of the
Illinois Municipal Code.
NOW, THEREFORE, BE IT ORDAINED by the President and Board of Trustees of
the Village of Lemont, Counties of Cook, Will, and DuPage, State of Illinois, as follows:
Section 1: That the recitals set forth hereinabove are incorporated herein by reference as
substantive provisions of this Ordinance.
Section 2: That the Mayor and Village Clerk be and same are hereby authorized and directed
to execute that certain Intergovernmental Jurisdictional Boundary Line Agreement by and between
the Village of Lemont and the Village of Woodridge, a copy of which has previously been
incorporated herein as Exhibit "A ".
Section 3: A certified copy of this Ordinance, along with a certified copy of the
Intergovernmental Jurisdictional Boundary Line Agreement, shall be recorded with the DuPage
County Recorder of Deeds and shall be made available in the office of the Village Clerk.
Section 4: That all ordinance and resolutions, or parts thereof, in conflict with the provisions
of this Ordinance are, to the extent of such conflict, expressly replealed.
Section 5: That this Ordinance shall be in full force and effect from and after its passage,
approval and publication in pamphlet form as provided by law.

( "Woodridge "),
WITNESSETH:
WHEREAS, Lemont and Woodridge are "units of local government" as defined by
Article VII, Section 1, of the Constitution of the State of Illinois of 1970; and,
WHEREAS, units of local government are enabled by Article VII, Section 10 of the
Constitution of the State of Illinois of 1970 to enter into agreements among themselves to obtain
or share services and to exercise, combine or transfer any power or function in any manner not
prohibited by law or ordinance; and,
WHEREAS, the Illinois Intergovernmental Cooperation Act, (5 ILCS 220/1 et seg.),
authorizes municipalities to exercise jointly with any public agency of the State, including other
units of local government, any power, privilege, or authority which may be exercised by a unit of
local government individually, and to enter into contracts for the performance of governmental
services, activities and undertakings; and,
WHEREAS, 65 ILCS 5/11 -12 -9 authorizes the corpo
that have adopted official plans to agree upon boundaries fo
jurisdictions within unincorporated territory that lies within
boundaries of such municipalities; and,
WHEREAS, unincorporated territory lies within
boundaries of Lemont and Woodridge; and,

WHEREAS, Lemont and Woodridge have adopted official plans making
recommendations with respect to the development of that unincorporated territory; and,
WHEREAS, Lemont and Woodridge recognize that the territory lying between their
present municipal boundaries is an area in which problems related to open space preservation,
flood control, population density, provision of public services, ecological and economic impact
and multi - purpose developments are increasing in number and complexity; and,
WHEREAS, Lemont and Woodridge and their respective citizens are vitally affected by
said problems, and efforts to solve them and provide for the public health, safety and welfare and
prosperity of the inhabitants of said municipalities will be enhanced by mutual action and
intergovernmental cooperation; and,
WHEREAS, Lemont and Woodridge recognize the need and desirability to provide for
logical future municipal boundaries and areas of municipal authority between their respective
corporate limits in order to plan effectively and efficiently for growth management and potential
development between their communities and the conservation of the available resources for all of
their respective citizens; and,
WHEREAS, Lemont and Woodridge, after due investigation and consideration, have
determined to enter into an agreement providing for the establishment of a boundary for their
respective jurisdictions in the unincorporated territory lying between and near their boundaries;
and,
WHEREAS, Lemont and Woodridge have determined that the observance of the
boundary line in future annexations by either municipality will serve the best interests of both
communities; and,

WHEREAS, Lemont and Woodridge have determined that in some instances it will be
desirable and necessary for the power and authority conferred on one municipality to be
exercised by the other; and,
WHEREAS, in arriving at this Agreement, Lemont and Woodridge have given
consideration to the natural flow of stormwater drainage and, when practical, have included all of
a single tract of land having common ownership within the jurisdiction of only one municipality;
and,
WHEREAS, Lemont and Woodridge have authorized, by ordinance, the execution of
this Agreement as an exercise of their intergovernmental cooperation authority under the
Constitution of the State of Illinois, and the Intergovernmental Cooperation Act, and their
authority to enter into jurisdictional boundary agreements pursuant to 65 ILCS 5/11 -12 -9.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual
promises hereinafter contained, the adequacy and sufficiency of which the parties hereto
stipulate, Lemont and Woodridge agree as follows:
Section 1. Incorporation of Recitals. The recitals set forth hereinabove are
incorporated herein by reference as substantive provisions of this Agreement.
Section 2. Jurisdictional Boundary Line. The boundary line between Lemont and
Woodridge for the purpose of establishing their respective jurisdictions for land use planning
official map purposes, zoning,
and other municipal purposes,
attached hereto as Exhibit "A"
subdivision control and annexation of unincorporated territory,
all as hereinafter provided, shall be as depicted upon the map
and made a part hereof and as legally described on Exhibit "B"
attached hereto and made a part hereof.

That portion of the unincorporated territory lying south and east of said boundary line
shall be within the Lemont jurisdictional area ( "Lemont Jurisdictional Area ") as shown on
Exhibit "A ". The Lemont Jurisdictional Area, together with all territory located within the
corporate limits of Lemont from time to time, shall be within the Lemont territory ( "Lemont
Territory "). That portion of the unincorporated territory lying north and west of said boundary
line shall be within the Woodridge jurisdictional area ( "Woodridge Jurisdictional Area ") as
shown on Exhibit "A ". The Woodridge Jurisdictional Area, together with all territory located
within the corporate limits of Woodridge from time to time, shall be within the Woodridge
territory ( "Woodridge Territory").
To the extent that there is any conflict between the map and legal description, the legal
description shall control.
Section 3. Disconnection of Territory. The parties acknowledge that Parcel A, as
shown on Exhibit "A" and legally described on Exhibit "C" attached hereto and made a part
hereof, is currently within the corporate limits of Lemont. Upon payment of the sum of
$320,000 to Lemont from the owners of Parcel A and upon filing of a proper petition, the parties
agree that Lemont shall pass an ordinance substantially similar to the ordinance attached hereto
as Exhibit "D" and made a part hereof, disconnecting Parcel A, or any portion thereof, and
Woodridge shall pass an ordinance substantially similar to the ordinance attached hereto as
Exhibit "E" and made a part hereof annexing said disconnected property. Woodridge shall,
within ninety (90) days thereafter, file for recordation an accurate map of the annexed property,
together with a certified copy of the annexing ordinance, all pursuant to the provisions of 65
ILCS 5/7 -1 -24.

The parties acknowledge that Parcel B, as shown on Exhibit "A" and legally described
on Exhibit "F" attached hereto and made a part hereof, is currently within the corporate limits
of Lemont. Within sixty (60) days after the date of this Agreement, Lemont shall pass an
ordinance substantially similar to the ordinance attached hereto as Exhibit "G" excluding Parcel
B and Woodridge shall pass an ordinance substantially similar to the ordinance previously
attached hereto as Exhibit "E" annexing Parcel B. The parties thereafter shall file for
recordation accurate maps of the excluded and annexed territories, as the case may be, together
with certified copies of said ordinances, all pursuant to the provisions of 65 ILCS 5/7 -1 -25.
In addition to Parcels A and B, there are certain other parcels of property, as shown on
Exhibit "A" and legally described on Exhibit "H ", located north of the boundary line that are
currently within the corporate limits of Lemont (collectively referred to herein as the
"Disconnection Parcels "). A Disconnection Parcel shall be disconnected from Lemont and
annexed to Woodridge only if (a) permitted under 65 ILCS 5/7 -1 -24 or 65 ILCS 5/7 -1 -25, (b)
Woodridge consents to such disconnection and annexation and (c) the owner(s) of such
Disconnection Parcel shall pay a sum representing the approximate present value of future
revenue forgone by Lemont for the period of time remaining until the expiration of the
annexation agreement governing such Disconnection Parcel, including but not limited to one-
time building, plan review and other fees for service, plus annual municipal property tax,
municipal utility tax, sales tax, and state - shared revenues (when applicable) to Lemont. In
calculating the amount due, Lemont shall also take into account the present value of future costs
saved by Lemont for the same period of tine, by virtue of no longer having to provide municipal
services to said Disconnection Parcel.

Lemont agrees that it shall take no action to disconnect or exclude any Disconnection
Parcel unless Woodridge has consented to such action.
Upon satisfaction of the above terms and conditions, the parties shall take such action as
is necessary to disconnect and annex such Disconnection Parcel pursuant to the provisions of 65
ILCS 5/7 -1 -24 or 65 ILCS 5/7 -1 -25, as appropriate.
The parties agree that any Disconnection Parcel desiring water or sewer capacity from
Woodridge shall not be entitled to such capacity unless the above- described procedures are
followed. In addition, any development of a Disconnection Parcel that does not comply with the
above - described procedures shall require payment of a road recapture fee to Woodridge,
pursuant to Section 7 -1 -2C. of Woodridge's Village Code.
Section 4. Exercise of Authority. Lemont agrees that it shall not exercise or attempt to
exercise or enforce any comprehensive plan jurisdiction, official map jurisdiction, zoning
authority or subdivision control authority within the Woodridge Jurisdictional Area.
Woodridge agrees that it shall not exercise or attempt to exercise or enforce any
comprehensive plan jurisdiction, official map jurisdiction, zoning authority or subdivision
control authority within the Lemont Jurisdictional Area. Notwithstanding the foregoing, Lemont
agrees that Woodridge may impose the road recapture fee requirements referenced in Section 3
above against the Disconnection Parcels located in Lemont Territory.
Section 5. Subdivision Control. In the event that either municipality's subdivision
control authority cannot be exercised within its Jurisdictional Area as established by this
Agreement because that municipality is not located within one and one -half (1 %2) miles of a
proposed subdivision, and if the other municipality is located within one and one -half (1V2) miles
of said subdivision, then, in that event, each municipality hereby transfers its subdivision control

authority to the other municipality pursuant to Section 10, Article VII of the Constitution of
Illinois of 1970, in order that this subdivision control authority can be effected within the
Jurisdictional Area of the appropriate municipality as defined herein. In the event that any court
of law shall find that the transfer of subdivision control authority between units of local
government is prohibited by law, then, if either municipality cannot exercise its subdivision
control authority within its Jurisdictional Area because it is not located within one and one -half
(11/2) miles of said subdivision, and if the other municipality is located within one and one -half
(1'h) miles of said subdivision, then the other municipality shall exercise subdivision control
authority notwithstanding the boundaries established by this Agreement, in such manner, upon
consideration of the advice of the former municipality, that is as close as legally possible under
the latter municipality's subdivision control ordinance, to the former municipality's subdivision
control ordinance.
Section 6. Statutory Zoning Objections. This Agreement shall not be construed to
limit or adversely affect the right of either municipality to file a statutory objection to proposed
rezonings within one and one -half (11/2) miles of its corporate limits.
Section 7. Annexation. Both Lemont and Woodridge acknowledge that it is not in their
respective best interests to engage in disputes with respect to the annexation of territory. The
boundary line established pursuant to this Agreement was carefully studied and considered with
respect to those matters heretofore set out in the recitals to this Agreement. Therefore, each
municipality agrees not to annex any territory which is located in the other municipality's
Territory, except as set forth above in Section 3.

Lemont and Woodridge also agree to take all reasonable and appropriate actions to
oppose any involuntary or court- controlled annexation proceedings that propose to annex
territory within either municipality's Territory in a manner inconsistent with this Agreement.
In addition, Lemont and Woodridge each hereby agree that it waives any right to
challenge or otherwise contest the validity of any annexation the other municipality has effected,
is effecting, or will effect in the future for territory located within the other municipality's
Territory. Lemont and Woodridge further agree not to make any requests, formal or informal, to
any third party for that third party to challenge the validity of the other municipality's past,
current, or future annexations within the other municipality's Territory, or to disconnect from the
other municipality.
Section 8. Utilities. Lemont and Woodridge agree not to extend, construct or maintain
utilities within the other municipality's Territory without the express written consent of the other
municipality.
Notwithstanding the above, upon request from Lemont, Woodridge agrees to provide
water and sewer capacity to the properties within Lemont's Territory that are legally described on
Exhibit "I" attached hereto and made a part hereof. Such water service shall not exceed a
cumulative total of 50,000 gallons per day and such sewer service shall not exceed 45,000
gallons per day. Provision of water and sewer capacity shall be at such prices and upon such
terms as are then in effect and generally applicable to water and sewer capacity for properties
outside the corporate limits of Woodridge (other than any requirement of annexing to
Woodridge), including, but not limited to, the requirement that the owner(s)s of the property to
be served enter into Woodridge's standard water /sewer service agreement.

Section 9. Comprehensive Plan. With respect to Lemont Territory which abuts the
boundary line (after excluding any road right -of -way) as shown on Exhibit "A ", Lemont shall
give thirty (30) days written notice to Woodridge prior to approval of any amendment to the
Lemont Zoning Ordinance, approval of any annexation agreement, or approval of any
amendment to the Lemont official comprehensive plan, or approval of such other action which
commits Lemont to a land use within such Territory which substantially deviates from the
Lemont official comprehensive plan.
With respect to Woodridge Territory which abuts the boundary line (after excluding any
road right -of -way) as shown on Exhibit "A ", Woodridge shall give thirty (30) days written
notice to Lemont prior to approval of any amendment to the Woodridge Zoning Ordinance,
approval of any annexation agreement, or approval of any amendment to the Woodridge official
comprehensive plan, or approval of such other action which commits Woodridge to a land use
within such Territory which substantially deviates from the Woodridge official comprehensive
plan.
Upon request of the municipality so notified, that municipality shall be given reasonable
opportunity to review any such proposal and be heard on any such proposal by the corporate
authorities of the municipality giving such notice, prior to any final action thereon.
Section 10. Roadway Matters. Lemont and Woodridge shall work cooperatively in
regard to the alignment, design, and timing for construction of any roads on the boundary
established under this Agreement. Lemont and Woodridge agree to work cooperatively in regard
to access of any commercial or residential property to any such roads, to accomplish logical and
appropriate "cross access" and traffic control.

It is the intent of the parties for Lemont to ultimately own and maintain 109`h Street.
Toward that end, to the extent that any portion of said area is annexed into Woodridge, at such
time as Lemont annexes property adjacent to said area, the parties will promptly take such action
as is necessary to exclude such area from Woodridge and annex such area to Lemont pursuant to
65 ILCS 5/7 -1 -25.
To the extent that Lemont annexes any portion of 109th Street, it shall not unreasonably
withhold approval of curb cut access for properties on the north side of 1091h Street.
Withholding approval of such access shall be deemed to be unreasonable if Woodridge or the
property owner provides a traffic study prepared by a traffic consultant stating that the requested
curb cut(s) will not adversely impact the surrounding area.
Section 11. General Implementation. The parties hereto agree to cooperate to the
fullest extent possible and take all steps reasonably practicable, to achieve any appropriate
modification of the postal service boundary, the NIPC and Illinois EPA Facilities Planning Area,
the local access telephone service area code, and the Emergency 911 telephone service area, to
conform to the boundary defined under this Agreement.
Section 12. Binding Effect. This Agreement shall be binding upon and shall apply only
to the legal relationship between Lemont and Woodridge. Nothing herein shall be used or
construed to affect, support, bind or invalidate the boundary claims of either Lemont and /or
Woodridge insofar as such claims shall affect any municipality which is not a party to this
Agreement.
Section 13. Amendment. Neither Lemont nor Woodridge shall directly or indirectly
seek any modification of this Agreement through court action and this Agreement shall remain in

full force and effect during the term hereinafter set forth until amended or changed in writing b
the mutual agreement of both Lemont and Woodridge.
Section 14. Partial Invalidity. If any provision of this Agreement shall be declare
invalid for any reason, such invalidation shall not affect other provisions of this Agreemen
which can be given effect without the invalid provisions and to this end, the provisions of thi
Agreement are deemed to be severable.
Section 15. Notice and Service. Any notice hereunder from either party hereto to the
other party shall be in writing and shall be served by registered or certified mail, postage prepaid,
return receipt requested addressed as follows:

following deposit in the U.S. Mail in accordance with this Section.
Section 16. Term. This Agreement shall be in full force and effect for a period of
twenty (20) years from and after the date hereof. The term of this Agreement may be extended,
renewed or revised at the end of this initial term or any extended term thereof by further
agreement of Lemont and Woodridge.
Section 17. Illinois Law. This Agreement shall be construed in accordance with the
laws of the State of Illinois.
Section 18. Execution of Agreement, Recordation. Each municipality shall authorize
the execution of this Agreement by an ordinance duly passed and approved. Certified copies of
such ordinances and of this Agreement shall be recorded with the Recorder of Deeds for DuPage,
Will and Cook Counties.

AN ORDINANCE DISCONNECTING MARS PROPERTY
WHEREAS, a certain territory hereinafter referred to as "Mars Property ", which is legally
identified on attached Exhibit A and was annexed to the Village of 'Lemont pursuant to an
Annexation Agreement recorded with the Will County Recorder of Deeds on July 28, 2002, as
Document NO. R92- 58515; and
WHEREAS, a Petition has been filed requesting Disconnection of the Mars Property
pursuant to 65 -ILCS 5/7 -1 -24;
WHEREAS, the Petition dated September 17, 2004 makes certain representations and
warranties in connection with said Petition for Disconnection which are specifically incorporated
herein by reference; and
WHEREAS, the Village of Lemont intends to Disconnect the subject property pursuant
to terms and conditions herein as set forth pursuant to 65 -ILCS 5/7 -1 -24; and
WHEREAS, the Village of Woodridge is desirous of Annexing said territory, which is
contiguous to the Woodridge Municipal Boundaries.
NOW THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF LEMONT, COUNTIES OF COOK, WILL AND DUPAGE AS
FOLLOWS:
Section 1. The Corporate authorities of the Village of Lemont hereby acknowledge that
the requisite petition has been filed pursuant to 65 -ILCS 5/7-1-24 requesting Disconnection of
the Mars Property legally described in Exhibit A.
Section 2. The Village of Lemont hereby approves and duly authorizes the execution
and recording of a termination and abrogation of the 1992 Mars Annexation Agreement.
Terminating said Agreement and Disconnecting the territory described herein upon the last to
occur of the following events:
(a) the execution of the Boundary Agreement between the Village of Lemont and the
Village of Woodridge;
(b) The annexation of the Property to the Village of Woodridge in accordance with
the terms and conditions described in the recitals set forth in the Petition for
Disconnection, including, but not limited to the recitals numbered paragraph 14
through 17, inclusive;
(c) the payment of the Disconnection Fee to the Village by the Petitioners in the
amount of $320,959; and
Section 3. FURTHER BE IT ORDAINED, in the event any of the foregoing events have
not occurred within three hundred sixty five (365) calendar days of Approval and Passage of
this Disconnection Ordinance, this Ordinance shall be null and void and have no further force
and effect.

Exhibit A attached hereto and made a part hereof (the "Trust No. 1089122 Property"); the

7. The Trust No. 1089320 Property, Trust No. 1089321 Property, Trust No. 1089322 Property,
Trust No. 1089122 Property, Trust No. 1089323 Property, and Trust No. 94 -6663 Property are
collectively referred to herein as the "Property."
8. Bridge, or its nominee, is the contract purchaser of the Property, and the purchase of the
Property is to be completed through an escrow with Chicago Title and Trust Company, First
American Title Insurance Company or another escrowee acceptable to the seller and
purchaser of the Property (the "Dosing Escrow ").
9. The Property is situated within the limits of the Village of Lemont and is contiguous to the
Village of Woodridge.
10. The Property was annexed to the Village of Lemont in conjunction with that certain
Annexation Agreement recorded by the Will County Recorder on July 28, 1992 as document
number R92 -58515 (the "1992 Lemont Annexation Agreement ").
11. The only electors residing on the Property are listed in E,diibit C. attached hereto and made
a part hereof, and at least 51% of such electors have executed this Petition
12. The Village of Woodridge and Village of Lemont intend to negotiate or are in the process of
negotiating a boundary agreement concerning their respective municipal boundaries and
the provision of utilities relating to certain properties within the Village of Lemont (the
"Boundary Agreement "), which Boundary Agreement will provide for or permit, among
other things, the disconnection of the Property from the Village of Lemont and the
annexation of the Property to the Village of Woodridge.

-13. The Village of Lemont is requiring as conditions of the Property's disconnection that (i) the
Boundary Agreement be executed by the parties thereto and (ii) Petitioners pay the Village
of Lemont the sum of three hundred and twenty thousand dollars ($320,000) (the
"Disconnection Payment "), which Disconnection Payment may be made from the Closing
Escrow.
X14. Bridge (or its nominee) has submitted or intends to submit to the Village of Woodridge a
petition requesting the annexation of the Property (together with all adjacent highways not
within the corporate limits of any municipality) to the Village of Woodridge pursuant to
Section 7 -1 -24 of the Illinois Municipal Code of the State of Illinois, as amended (65 ILLS
5/7 -1 -24) (the "Annexation Petition ")
15. Bridge (or its nominee) and the Village of Woodridge intend to negotiate or are in the
process of negotiating an annexation agreement, pursuant to Section 11- 15.1 -1 et. seq., of the
Illinois Municipal Code, as amended (65 ILCS 11- 15.1 -1), concerning the terms and
conditions under which the Property is to be annexed to the Village of Woodridge and be
used and developed following approval, due authorization and execution of such
annexation agreement by the Village of Woodridge (the "Annexation Agreement ").
16. Bridge (or its nominee) also has applied or intends to apply to the Village of Woodridge for
certain land use approvals pertaining to zoning classification, planned unit development,
subdivision, engineering, signage and other land use regulations intended to govern the
Property upon its annexation to the Village of Woodridge (such approvals, as and if
adopted by the Village, are referred to herein as the "Woodridge Land Use Approvals').
17. In accordance with the terms of the Annexation Petition and the Annexation Agreement, the
conditions of the annexation of the Property (together with all adjacent highways not within
the corporate limits of any municipality) to the Village of Woodridge shall be as follows: (a)
the Boundary Agreement shall have been duly approved, authorized for execution and
executed by the parties thereto; (b) the Annexation Agreement shall be approved and duly
authorized for execution and recording by the Village of Woodridge immediately prior to
the annexation of the Property; (c) the corporate authorities of the Village of Woodridge
shall duly approve and pass an ordinance annexing the Property (together, with all adjacent
highways not within the corporate limits of any municipality) (the "on
Ordinance'); (d) immediately following the approval and passage of the Annexation
Ordinance, the corporate authorities of the Village of Woodridge shall duly approve an
ordinance granting the Woodridge Land Use Approvals; and (e) the Annexation Agreement
shall be executed and recorded by the Village of Woodridge.

18. The foregoing statements of facts are true to the best of Petitioners' knowledge and
information.
Petitioners hereby respectfully request that
Within thirty (30) days of the date of this Petition, the President and Village Board of the Village
of Lemont duly approve and adopt one or more ordinances pursuant to Section 7 -1 -24 of the
Illinois Municipal Code of the State of Illinois, as amended (65 ILCS 517 -1 -24) (collectively, the
"Disconnection Ordinance ") that:
(i) approves and duly authorizes for execution and recording by the Village of
Lemont a termination and abrogation of the 1992 Lemont Annexation Agreement (the
"Termination Instrument "), which Termination Instrument shall be immediately
thereafter executed by the Village of Lemont and deposited into the Closing Escrow, and
(ii) disconnects the Property from the Village of Lemont;
provided, however, said Disconnection Ordinance shall provide by its own terms that the
disconnection becomes effective, and the Termination Agreement by its own terms shall
provide that it becomes effective, immediately upon (and only upon) the last to occur of the
following four events:
(a) the execution of the Boundary Agreement by the parties thereto;
(b) the annexation of the Property to the Village of Woodridge in accordance with the
terms and conditions described in the recitals hereto, including but not limited to the recitals
numbered paragraph 14 through 17, inclusive;
(c) the payment of the Disconnection Payment to the Village by the Petitioners; and
(d) the deposit into the Closing Escrow of the remaining counterpart signature pages to
the Termination Instrument from the parties to the 1992 Lemont Annexation Agreement other
than the Village of Lemont.
Furthermore, if any of the foregoing four events has not occurred within 365 days of the
approval and passage of the Disconnection Ordinance, this Petition, the Disconnection
Ordinance and the Termination Instrument each, by its own terms, shall become null and void
without further action of the Petitioners or the Village of Lemont.

AN ORDINANCE ANNEXING PROPERTY TO THE VILLAGE OF WOODRIDGE —

SOUTHWEST OF THE INTERSECTION OF INTERNATIONALE PARKWAY AND I -355
WHEREAS, there has been filed with the Village Clerk of the Village of Woodridge
( "VILLAGE "), DuPage, Will and Cook Counties, Illinois, Petition under oath requesting that the
property legally described on Exhibit "A" attached hereto which is, by this reference, incorporated
herein ( "SUBJECT REALTY "), be annexed to the VILLAGE; and,
WHEREAS, said Petition was presented to the VILLAGE on or about March 23, 2005,
pursuant to the provisions of 65 ILCS 5/7 -1 -1 and 5/7 -1 -8, as amended; and,

to the Village, if said ordinance is passed by a majority of the corporate authorities; and,

WHEREAS, the VILLAGE and the owners of record of the SUBJECT REALTY did, on
or about the _`h day of , 2005, enter into a certain Annexation and Development
Agreement, consisting of approximately twenty -two (22) pages, together with Exhibits "A"
through "I ", which were attached thereto ( "ANNEXATION AND DEVELOPMENT
AGREEMENT "); and,
WHEREAS, said ANNEXATION AND DEVELOPMENT AGREEMENT requires the

NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND BOARD OF TRUSTEES

ILLINOIS, a home rule municipality in the exercise of its home rule powers, as follows:
SECTION ONE: That subject to the terms of the ANNEXATION AND DEVELOPMENT
AGREEMENT, the SUBJECT REALTY be and the same is hereby annexed to the VILLAGE,
DuPage, Will and Cook Counties, Illinois, together with all adjacent streets and highways
contiguous to said property, so that the new boundaries of the territory annexed shall extend to

DEVELOPER has closed on the purchase of the PARCEL.
SECTION THREE: That the Mayor, Village Clerk and any other necessary officers of the

AN ORDINANCE EXCLUDING CERTAIN PROPERTY TO BE ANNEXED TO THE
VILLAGE OF WOODRIDGE
WHEREAS, certain real property, legally described on Exhibit "A" (the "Subject
Realty ") is currently within the corporate limits of the Village of Lemont ( "Lemont "); and
WHEREAS, on or about 2005 Lemont entered into that certain
Intergovernmental Jurisdictional Boundary Line Agreement with the Village of Woodridge,
DuPage, Will and Counties, Illinois ( "Woodridge "), which Agreement provides for, among other
things, the exclusion of the Subject Realty from Lemont and annexation to Woodridge; and,
WHEREAS, the Subject Realty is unoccupied and lies along the boundary line between
Woodridge and Lemont; and
WHEREAS, Lemont desires to exclude the Subject Realty and Woodridge desires to
annex the Subject Realty; and
WHEREAS, Lemont is authorized to exclude the Subject Realty pursuant to 65 ILCS
5/7 -1 -25 and other applicable authority; and
WHEREAS, the President and Board of Trustees have determined that the exclusion of
the Subject Realty is necessary to promote the public health, safety and general welfare.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF LEMONT, COUNTIES OF COOK, WILL AND DU PAGE,
ILLINOIS, AS FOLLOWS:
Section 1. That the Subject Realty is hereby excluded from the Village of Lemont and the
President and Village Clerk are hereby authorized and directed to execute the Plat of Exclusion in
substantially the form attached hereto as Exhibit "A" and incorporated herein.
Section 2. That the Village Clerk shall and is hereby authorized to file with the County
Clerk of DuPage County, the Recorder of Deeds of DuPage County and the DuPage County Board
of Election Commissioners, certified copies of this Ordinance, together with the Plat of Exclusion
appended thereto. .
Section 3. That all ordinances and resolutions, or parts thereof, in conflict with the
provisions of this Ordinance are, to the extent of such conflict, expressly repealed.
Section 4. That this Ordinance shall be in full force and effect from and after its passage and
approval as provided by law; provided, however, that the exclusion of the Subject Realty shall not
be effective until such time as Woodridge passes and approves an ordinance which annexes the
entire Subject Realty, as described and set forth in the attached Plat of Exclusion.

SECTION THREE: A certified copy of this Ordinance, along with a certified copy of
the Intergoverrunental Jurisdictional Boundary Line Agreement, shall be recorded with the
DuPage County Recorder of Deeds and shall be made available in the office of the Village Clerk.
SECTION FOUR: That all ordinances and resolutions, or parts thereof, in conflict with
the provisions of this Ordinance are, to the extent of such conflict, expressly repealed.
SECTION FIVE: That this Ordinance shall be in full force and effect from and after its
passage, approval and publication in pamphlet form as provided by law.
