The roof is 20 years old and has had multiple leak repairs in the last few years. Alder Roofing and Sheet Metal Inc. provided the low quote amount of $223,035.00. ANALYSIS This project was identified in the 5-year Capital Improvement Program and $250,000.00 is included in the FY27 Property Maintenance and Capital Equipment Fund. R-�-26 A RESOLUTION APPROVING POLICE DEPARTMENT ROOF REPLACEMENT WHEREAS it has become necessary for the Police Department roof to be replaced; and WHEREAS, in connection with the work to be conducted on the replacement of roofing areas on the Police Department, the Village has researched and evaluated available options and contractors; and WHEREAS, upon review by Village staff, Adler Roofing and Sheet Metal, Inc, 779 Joyce Road, Joliet, IL 60436, provided the lowest proposal price. Adler Roofing proposed an alternative roofing solution that staff recommends the Village accept. The amount not to exceed is $223,035.00.; and WHEREAS, Section 5/8-9-1 of the Illinois Municipal Code (65 ILCS 5/8-9-1) allows the Board of Trustees of the Village ("Village Board"), upon a vote of two-thirds of the trustees then holding office, to waive the requirements for competitive bidding; and WHEREAS, The Village Board has determined that it is advisable, necessary, and in the best interest of the Village to waive competitive bidding and authorize the Police Department roof replacement for $223,035.00. NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Lemont, Counties of Cook, Will and DuPage, Illinois, as follows: SECTION 1: Incorporation Recitals. The foregoing findings and recitals are hereby adopted as Section One of this Resolution and are incorporated by reference as if set forth verbatim herein. SECTION 2: Waiver of Public Bid Requirements and Authority to Purchase. The Village Board hereby waives the competitive bidding requirements otherwise applicable to the Police Department roof replacement by Adler Roofing and Sheet Metal, Inc. at a price not to exceed $223,035.00 as Exhibit A. SECTION 3: The Village Administrator or his designee is hereby authorized to execute any documents and take any other steps necessary to complete the Police Department roof replacement by Adler Roofing and Sheet Metal, Inc.at a price not to exceed $223,035.00 and to otherwise carry out this Resolution. SECTION 4: This Resolution shall be in full force and effect from and after its passage and approval as provided by law. Owners Liability Insurance: o The owner agrees to maintain in force their own liability insurance during the entire course of this roofing project and reserves the right to purchase such additional insurance as in their opinion is necessary to protect them against claims arising out of the contractor's operation. • Property Damage Insurance on the work site: o The owner agrees to maintain at their own expense during the entire course of this roofing project property damage insurance on the work site to its full insurable value including interests of the owner, contractor and subcontractors against fire, vandalism and other perils ordinarily included in extended coverage, losses under such insurance will be adjusted with and made payable to the owner as trustee for the parties insured as their interests appear. • Waiver of work site property damage claims to extent of insurance coverage: o The owner and contractor hereby waive all claims against each other for fire damages from other perils covered by insurance provided in subdivision (D) of this paragraph. This meeting will be scheduled within a week of the anticipated start of the roofing application. The project's anticipated schedule of progress and any last-minute details will be addressed. The actual equipment set up, and storage areas will be pinpointed. • Have a full-time Company foreman continuously monitor all the roofing work and report daily to a Company project manager. • Provide a safe working environment in accordance with all applicable requirements and recommendations of the Occupational Safety and Health Act (OSHA). • Place portables toilets / dumpsters / bomber in areas approved by the facilities manager. • Place dumpsters / lifts / cranes, in area provided by facilities manager. • Provide our own or licensed crane or lift with the operator for lifting and removing various roofing related items to and from roof areas. • Supply a COI — Certificate of Insurance with additional insured per clients' request. • Have the manufacturer send an authorized representative to inspect the installation and issue a standard, 30-year labor and material warranty upon completion of this roof. • Deliver the Company's standard, 2-year, workmanship warranty upon completion and payment in full. • Daily cleanup to be performed as to where to large amounts of roofing debris or trash is not left on roof at the end of each workday. The existing roof deck and insulation will not be exposed to the weather at the end of each workday. • Remove all deteriorated and loose composition base flashings from all the walls and curbs, remove all debris from the site, and legally dispose of the debris using a licensed waste hauler. • Inspect all wood nailers and insulation stops for deterioration. Any deteriorated wood nailers and/or insulation stops will be replaced with new pressure -treated wood. Wood replacement will be performed on a unit price basis. • Install two (2) layers of 2.6" polyisocyan u rate roofing insulation with standard facrer. The new insulation board will be mechanically fastened and installed according to the manufacturers 20-year warranted roofing specification. • Cover all the insulation laid each day with the roofing membrane. • Furnish and install a new EPDM "Single -Ply Roofing System," The EPDM membrane will be manufactured and supplied by one of the Top Teir manufacturers based on availability. Johns Manville, Firestone (Elevate), Carlisle, GAF. The membrane is a "Black," 90-mils, which will be adhered in a solvent base contact adhesive to the new insulation package. The membrane will be secured with 6" seam tape at laps and will meet 30-year warranty specifications. • Flash all roofing penetrations according to manufacturer's 30-year details. • Install new 90-mil EPDM at wall and curbs. • Install accessory items provided by major manufacturers according to specifications and details. All manufactured accessories supplied by the manufacturer are included in the manufacturer's 20-year, labor, and material warranty. SHEET METAL: • Remove and install new scupper box, collector head, and downspouts in 24-gauge prefinished. • Existing siding and counterflashing to remain, install new 24-gauge 4"-6" pre -finished metal slip flashing at walls. • All other finished metals to remain in place. • Provide all prefinished sheet metal in a color to be selected from the manufacturer's standard color chart and prefinished in Kynar baked on factory finish with 20-year warranty. HVAC — MECHANICALS: • Provide labor and materials from licensed union trade mechanical contractor for the following as needed to isolate and locate electrical circuit to provide a safe working environment following OSHA standards for this scope of work. • Reclaim refrigerant from ACCU-1 and ACCU-2, save refrigerant for recharging each unit. • Disconnect and raise refrigerant piping to allow for new roof insulation height, and re -install piping. • Disconnect line and low voltage wiring for ACCU-1, ACCU-2, RTU-1, and RTU-2, install hard pipe in -lieu of flex whip to allow for roofing to be installed. • Demo and remove failed roof duct insulation. • Remove Roof duct from RTU-1 and RTU-2 to allow for new roof install, supply new custom sheet metal transitions and duct supports to accommodate new roof height, re -install saved duct work. • Roof Duct to be externally wrapped with 2" thick fiberglass board and Venture Clad. • Isolate natural gas piping, raise all piping on roof for new roof insulation thickness. • AC work to be performed in phases so department is not completely without ventilation, if needed we can quote temporary cooling, but not included. Anthony Roofing Tecta America LLC ("Contractor') shall furnish the labor and material to perform the work described herein or in the referenced contract documents. The contractor does not provide engineering, consulting, or architectural services. It is the Owner's responsibility to retain a licensed architect or engineer to determine proper design and code compliance. The contractor is not responsible for structural integrity and design. including compliance with codes. if plans. specifications, or other design documents have been furnished to the Contractor. the Customer warrants that they are sufficient and conform to all applicable laws and building codes. The contractor is not responsible for loss, damage, or expense due to defects in plans or specifications or building code violations unless such damage results from a deviation by the contract documents. Customer warrants an structures to be in sound condition capable of withstanding normal roofing construction equipment and operations. Contractor is not responsible for location of roof drains, adequacy of drainage or ponding on the roof. 2. Work Not Included. Unless specifically stated on the face of this proposal, no repairs to the roof deck, installation of wood strips or cam strips. furnishing and application of sheet metal work or roof drains, repairs. or alterations to the building, or other items not stated on the face of this proposal are included in this contract. 3. Asbestos and Toxic Materials. This proposal and contract is based upon the work to be performed by Contractor not involving asbestos -containing or toxic materials and that such materials will not be encountered or disturbed during the course of performing the roofing work. The contractor is not responsible for expenses, claims or damages arising out of the presence, disturbance, or removal of asbestos -containing or toxic material, In the event that such materials are encountered. Contractor shall be entitled to reasonable compensation for all additional expenses incurred as a result of the presence of asbestos -containing or toxic materials at the work site. 4. Insurance. The contractor shall carry the worker's compensation, automobile liability, commercial general liability, and such other insurance as required by law. The contradorwill furnish a Certificate of Insurance, evidence the types and amounts of its coverages, upon request. The customer shall purchase and maintain builders risk and property insurance, uponthe full value of the entire Project including the labor, material and equipment furnished by the Contractor, covering fire, extended coverage, windstorm, vandalism and theft on the premises to protect against loss or damage to material and equipment and partially completed work until the job is completed and accepted and Contractors equipment is removed from the premises. 5. Additional Insured. If Customer requires and Contractor agrees to name Customer or others as an additional insured on the Contractor's liability insurance policy, Customer and Contractor agree that the naming of the Customer or other parties as an additional insured is intended to apply to claims made against the additional insured to She extentthe claim is due to the negligence of Contractor and is not intended to make the Contractor's insurer liable for claims that are due to the fault of the additional insured. 6. Changes in the Work and Extra Work. The customer shall be entitled to order changes in the Work and the total contract price adjusted accordingly. Any penetrations through the roofing to be installed by Contractor not shown on the plans provided to the Contractor prior to submittal of this proposal shall be considered an order for extra work. Any carpentry work required to replace rotten or missing wood or deteriorated decking shall be done on a labor and material basis at an extra unless specifically included in the Scope of Work section. 7. Availability of Site. The contractor shall be provided with direct access to the work site for the passage of trucks and materials and direct access to the roof. Contractor shall not be required to begin work until underlying areas are ready and acceptable to receive Contractor's work and sufficient areas of roof deck are available and free from dirt, snow, ice, water, or debris to allow continuous full operation until job completion, The expense of snow, ice, water or debris removal and any extra trips by Contractor to thejob as a result of thejob not being ready for roof application after Contractor has been notified to proceed will be charged as an extra. 8. Stte Conditions. Contractor shall not be responsible for additional costs due to the existence of utilities. wet insulation, deteriorated deck or other subsurface or latent conditions that are not disclosed in writing to Contractor. The raising. disconnection, or re -connection of any mechanical equipment on the roof that may be necessary for Contractor to perform the roofing work shall be performed by others or treated as an extra. 9. Price Volatility. Asphalt, steel products, isocyanurate, and other roofing products are sometimes subject to unusual price volatility due to conditions that are beyond the control or anticipation of Contractor. If there is a substantial increase in these or other products between the date of this proposal and the time when the work is to be performed, the amount of this proposal/contract may be increased to reflect the additional cost to the contractor, upon submittal of written documentation and advance notice to Customer. 10. Fumes and Emissions. Owner and Contractor acknowledge that asphalt may be heated by Contractor, odors and emissions from roofing products will be released and noise will be generated as part of the roofing operations to be performed by Contractor. Customer shall be responsible for interior air quality, including controlling mechanical equipment, HVAC units, intake vents, wall vents, windows. doors. and other openings to prevent fumes and odors from entering the building. Customer is aware that roofing products emit fumes, vapors, and odors during the application process. Customer shall hold Contractor harmless from claims from third parties relating to fumes and odors that are emitted during the normal roofing process. 11. Back Charges. No back charges or claims for payment of services rendered or materials and equipment furnished by Customer to Contractor shall be valid unless previously authorized in writing by Contractor and unless written notice is given to Contractor within ten (10) days of the event, act or omission which is the basis of the back charge. 12. Damages and Delays. Contractor will not be responsible for damage done to Contractor's work by others. Any repairing of the same by Contractor will be charged at regular scheduled rates over and above the amount of this proposal. Contractor shall not be responsible for loss, damage or delay caused by circumstances beyond its reasonable control, including but not limited to acts of God, weather, accidents. fire, vandalism, strikes, jurisdictional disputes, failure or delay oftransportation, shortage of or inability to obtain materials, equipment, or labor; changes in the work and delays caused by others. In the event of these occurrences. Contractors time for performance under this proposal shall be extended for a time sufficient to permit completion of the Work. 13, Electrical Conduit. Contractor's price is based upon there not being electrical conduit or other materials embedded within the roof assembly unless expressly identified on the face of this proposal. Customer will Indemnity Contractor from any personal injury, damage, claim, loss, or expense resulting from the presence of electrical conduit, shall render the conduit harmless so as to avoid injury to Contractor's personnel, and shall compensate Contractor for additional time, labor and expense resulting from the presence of such materials. 14. Right to Stop Work. The failure of Customer to make proper payment to Contractor when due shall entitle Contractor. at its discretion, to suspend all work and shipments, including furnishing warranty, until full payment is made or terminate this contract. The contract sum to be paid Contractor shall be increased by the amount of Contractors reasonable costs of shut -down. delay and start-up. 16, Interior Protection. Customer acknowledges that re -roofing of an existing building may cause disturbance, dust, or debris to fall into the interior and, if hot asphalt or pitch is used, drippage may occur depending upon deck conditions. Customer agrees to remove or protect property directly below the roof in order to minimize potential interior damage. Contractor shall not be responsible for disturbance, damage, clean-up, orloss to interior property that Customerdid not remove or protect prior to commencement of roofing operations. Customer should notify tenants of re -roofing and the need to provide protection underneath areas being re -rooted. Customer agree to hold Contractor harmless from claims of tenants who were not so notified and did not provide protection. 16. Working Hours. This proposal is based upon the performance of all work during Contractor's regular working hours. Extra charges will be made for overtime and all work performed other than during Contractors regular working hours, if required by Customer. 17. Warranty. Contractors work will be warranted by Contractor in accordance with its standard warranty, which is made a part of this proposal and contract and incorporated by reference. A copy of Contractors standard warranty is attached or, if not, will be furnished upon request. Contractor SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES. The acceptance of this proposal by the Customer signifies his agreement that this warranty shall be and is the exclusive remedy against Contractor for all defects in workmanship furnished by Contractor. A manufacturer's warranty shall be furnished to Customer if a manufacturers warranty is called for on the face of this proposal, It is expressly agreed that in the event of any defects in the materials furnished pursuant to this contract, Customer shall have recourse only against the manufacturer of such material. 18. Tolerances. All materials and work shall be furnished in accordance with normal Industry tolerances for color, variation. thickness. and size, weight, amount, finish, and texture and performance standards. Specified quantities are intended to represent an average over the entire roof area. 19, Mold. Contractor and Customer are committed to acting promptly so that roof leaks are not a source of potential interior mold growth. Customerwill make periodic inspections forsigns of water intrusion and ad promptly, including notice to Contractor if Customer believes there are roof leaks, to correct the condition. Upon receiving notice. Contractor will make repairs promptly so that water entry through the roofing installed by Contractor is not a source of moisture. Contractor is not responsible for indoor air quality, mold, mildew, or any alleged Injury resulting from therefrom, Owner shall hold harmless and indemnify Contractor from claims due to poor indoor air quality and resulting from a failure by Owner to maintain the interior of the building in a manner 10 avoid growth of mold. 20. Material References. The contractor is not responsible for the actual verification of technical specifications of product manufacturers: i.e.. R value or ASTM or UL compliance, but the materials used are represented as such by the material manufacturer. 21. Arbitration. If a dispute shall arise between Contractor and Customer with rasped to any matters or questions arising out of or relating to this Agreement or the breach thereof, such dispute shall be decided by arbitration administered by and in accordance wilh the Construction Industry Arbitration Rules of the American Arbitration Association. This Agreement to arbitrate shall be specifically enforceable under the prevailing arbitration law. The award rendered by the arbitrators shall be final, and judgment may be entered upon it in any Court having jurisdiction thereof. Any legal claim against Contractor, including a claim alleging any breach of this contract or negligence by Contractor must be initiated no later than two (2) years after Contractor completed roof installation. Collection matters may be processed through litigation or arbitration at the discretion of the Contractor.
