SUBJECT: A Resolution Approving an Agreement with Granicus
DATE: April 27, 2026
SUMMARY/BACKGROUND
The Village last implemented a new website design with Granicus in 2019. Since that time,
accessibility standards and digital service requirements have evolved significantly. As a public
entity, the Village is required to achieve WCAG 2.1 AA compliance by the recently extended
date of April 2028 (previously April 2027).
Granicus, the Village's current website platform provider, now offers a suite of enhanced
accessibility and compliance tools designed to support WCAG 2.1 AA remediation and long-
term ADA alignment for websites. Proactively initiating a redesign now ensures the Village
remains ahead of regulatory requirements while improving the digital experience for all
residents.
ANALYSIS
Under the Granicus Proposal, the Village will transition to a unified Granicus Service Cloud
platform and upgraded Live Cast Video system.
This transition replaces and consolidates several existing tools while significantly enhancing
accessibility, efficiency, and long-term support. The pricing and terms outlined in the Proposal
include the following:
• Page 2 — Terminating Subscriptions — These existing solutions shall transition into the
Government Experience Service Cloud Essentials and GovMeetings Live Cast solution
for meeting minutes and will cease upon implementation of the redesigned website.
• Page 3 — One -Time Fees — These solutions will be implemented during the redesign
process and paid at completion of the redesign work. Detailed descriptions of each
solution are provided on pages 6 - 11.
• Page 4 — New Subscription Fees — Includes the replacement or upgrades of solutions
for the website and meeting minutes tools. The existing GovDelivery platform (Stay
Informed) is included in the Service Cloud and includes an additional 50,000 SMS
messages annually based on current usage. The Renewing Subscription Fees for our
Peak Agenda Management system is a separate suite and remains unchanged.
• Page 5 — Future Year Pricing — Granicus has included all solution fees into one annual
billing cycle to align with our fiscal calendar year beginning May 2027.

AGREEMENT WITH GRANICUS
WHEREAS, the Village of Lemont, Counties of Cook, Will and DuPage, Illinois ("the
Village") is a municipality in the State of Illinois with full powers to enact Ordinances and adopt
Resolutions for the benefit of the residents of the Village; and
WHEREAS, the Village is desirous to enter into an agreement with Granicus for a website
redesign as further outlined in the agreement attached hereto as Exhibit A ("Agreement"); and
WHEREAS, the Mayor and Board of Trustees find that it is in the best interests of the Village
to authorize the Agreement attached hereto with Granicus.
NOW, THEREFORE BE IT RESOLVED, by the Village President and Board of Trustees of
the Village of Lemont, Counties of Cook, Will and DuPage, Illinois, as follows:
SECTION 1: That the above recitals and legislative findings are found to be true and correct
and are hereby incorporated herein and made a part hereof as if fully set forth in their entirety.
SECTION 2: The Mayor and the Board of Trustees of the Village of Lemont hereby approve
the Agreement with Granicus in substantially the same form as attached hereto as Exhibit A. The
Village Administrator is authorized to execute the Agreement subject to final changes made by the
Village Attorney. Any applicable competitive bidding requirements are hereby waived.
SECTION 3: This Resolution, and its parts, are declared to be severable and any section,
subsection, sentence, clause, provision, or portion of this Resolution that is declared invalid such
decision shall not affect the validity of any other portion of this Resolution, which shall remain in full
force and effect.
SECTION 4: This Resolution shall be in full force and effect from and after its passage,
approval and publication in pamphlet form as provided by law.

Granicus Communications Suite Subscriber Information.
o Data provided by the Client and contact information gathered through the Client's own web
properties or activities will remain the property of the Client ('Direct Subscriber'), including any
and all personally identifiable information (PII). Granicus will not release the data without the
express written permission of the Client, unless required by law.
o Granicus shall: (i) not disclose the Client's data except to any third parties as necessary to
operate the Granicus Products and Services (provided that the Client hereby grants to
Granicus a perpetual, non -cancelable, worldwide, non-exclusive license to utilize any data, on
an anonymous or aggregate basis only, that arises from the use of the Granicus Products by
the Client, whether disclosed on, subsequent to, or prior to the Effective Date, to improve the
functionality of the Granicus Products and any other legitimate business purpose, including the
right to sublicense such data to third parties, subject to all legal restrictions regarding the use
and disclosure of such information).

o Granicus offers a SaaS product, known as the Communications Cloud, that offers Direct
Subscribers recommendations to subscribe to other Granicus Client's digital communication
(the 'Advanced Network'). When a Direct Subscriber signs up through one of the
recommendations of the Advanced Network, that subscriber is a 'Network Subscriber' to the
agency it subscribed to through the Advanced Network.
o Network Subscribers are available for use while the Client is under an active subscription with
Granicus. Network Subscribers will not transfer to the Client upon termination of any Granicus
Order, SOW, or Exhibit. The Client shall not use or transfer any of the Network Subscribers after
termination of its Order, SOW, or Exhibit placed under this agreement. All information related to
Network Subscribers must be destroyed by the Client within 15 calendar days of the Order,
SOW, or Exhibit placed under this agreement terminating.
o Opt -In. During the last 10 calendar days of the Client's subscription, the Client may send an opt -
in email to Network Subscribers that shall include an explanation of the Client's relationship with
Granicus terminating and that the Network Subscribers may visit the Client's website to
subscribe to further updates from the Client in the future. Any Network Subscriber that does not
opt -in will not be transferred with the subscriber list provided to the Client upon termination.
