The property is currently located in unincorporated Cook County and is not within the boundaries of any other municipality. The agreement outlines the terms under which the parcel will be annexed into the Village of Lemont. Following annexation, the property will be zoned R-5 Attached Single -Family Residential District. The agreement does not include any immediate development proposal independent of the companion Preliminary PUD application. Any future development or changes will be required to comply with all Village ordinances, including the Unified Development Ordinance (UDO), building codes, and permitting procedures in effect at that time. The agreement will be recorded with the Cook County Recorder of Deeds and will remain in effect for a period of twenty (20) years. NOW THEREFORE, be it ordained by the President and Board of Trustees of the Village of Lemont, Counties of Cook, DuPage and Will, State of Illinois, as follows: Section 1: The recitals set forth above are incorporated herein by reference and made a part hereof. Section 2: The Annexation Agreement, a copy of which is attached hereto as Exhibit B and made a part hereof is approved subject to such amendments as may be approved by the Village Administrator. The Village President and Village Clerk are authorized to execute the Annexation Agreement on behalf of the Village. Section 3: If any section, paragraph, clause or provision of this ordinance shall be held invalid, the invalidity thereof shall not affect any other provision of this ordinance. Section 4: All ordinances, resolutions, motions or orders in conflict with this ordinance are hereby repealed to the extent of such conflict. Section 5: This ordinance shall be in full force and effect upon its passage, approval and publications as provided by law. FA 4932-7176-6323, v. 1 EXHIBIT B - ANNEXATION AGREEMENT AMENDMENT TO THE ANNEXATION AGREEMENT SEVEN OAKS TOWNHOMES FOR PHASE II This Amendment ( "AMENDMENT") to the Annexation Agreement -Seven Oaks Townhomes dated June 22, 2015 ( "AGREEMENT") is made and entered into as of the 28th day of April 2025 ("Effective Date"), between the Village of Lemont, a municipal corporation of the Counties of Cook, DuPage and Will, in the State of Illinois( "VILLAGE") and Lemont, LLC ( ("OWNER") as with regard to the provisions of this AMENDMENT and not the provisions of the AGREEMENT). The VILLAGE and OWNER are hereinafter sometimes referred to individually as a "PARTY" and collectively as the "PARTIES;" WHEREAS, the AGREEMENT was entered into by the VILLAGE with Seven Oaks Developers, LLC, which entity and its successors are not affected by or part of this AMENDMENT; and, WHEREAS, pursuant to the AGREEMENT, 26 townhomes were built with all provisions of that AGREEMENT remaining in place for the territory defined in the AGREEMENT; and, WHEREAS, the AGREEMENT provided for the construction of Lacey Drive including the annexation of a continuation of Lacey Drive proposed to be constructed to the west of the 26 townhomes that were built as part of the AGREEMENT; and, WHEREAS, this AMENDMENT provides for the annexation of additional territory consisting of approximately 4.00 acres ( "ADDITIONAL TERRITORY") which is legally described on Exhibit A attached hereto and incorporated herein and which with the previously annexed territory for the extension of Lacey Drive ( "UNFINISHED LACEY DRIVE TERRITORY") consists of approximately 4.4 acres which is legally described on Exhibit B attached hereto and incorporated herein; and, WHEREAS, the ADDITIONAL TERRITORY and the UNFINISHED LACEY DRIVE TERRITORY are collectively the referred to as "AMENDMENT TERRITORY") that is the subject of this AMENDMENT; and, WHEREAS, this AMENDMENT is being made to extend the terms of the AGREEMENT to the ADDITIONAL TERRITORY as amended in this AMENDMENT; and, WHEREAS, the OWNER is the owner of record of the AMENDMENT TERRITORY; and, WHEREAS, the OWNER filed a Petition for Annexation of the ADDITIONAL TERRITORY to the VILLAGE which is attached hereto as Exhibit C ( "Petition") that requested annexation of the ADDITIONAL TERRITORY subject to execution of an annexation agreement acceptable to the OWNER and the VILLAGE; and, WHEREAS, the ADDITIONAL TERRITORY has not been annexed to any municipality; and, WHEREAS, the ADDITIONAL TERRITORY constitutes an area that is contiguous to and may be annexed to the VILLAGE, as provided under the Illinois Municipal Code, 65 ILCS 5/7-1-1, et. seq.; and, WHEREAS, the OWNER and the VILLAGE agree that they will be bound by the terms of this AMENDMENT; and WHEREAS, the VILLAGE would extend its zoning, building, health and other municipal regulations and ordinances over the ADDITIONAL TERRITORY, thereby protecting the VILLAGE from possible undesirable or inharmonious use and development of unincorporated areas surrounding the VILLAGE; and WHEREAS, the new boundaries of the VILLAGE, resulting from this Annexation shall extend to the far side of every highway and shall include all of every highway not already annexed; and WHEREAS, pursuant to the provisions of the Illinois Municipal Code (65 ILCS 511 et. seq.), the Corporate Authorities of the VILLAGE have taken all steps legally required in order to enter into this AMENDMENT and to annex the ADDITIONAL TERRITORY; and WHEREAS, the Corporate Authorities of the VILLAGE have considered the Annexation of the ADDITIONAL TERRITORY described in the Petition and have determined that the best interests of the VILLAGE will be met if the ADDITIONAL TERRITORY is annexed to the VILLAGE and developed in accordance with the provisions of this AMENDMENT; and WHEREAS, the OWNER desires that the AMENDMENT TERRITORY and development henceforth be known as "SEVEN OAKS PHASE II." NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants hereinafter contained, the PARTIES agree as follows: ADDITIONAL TERRITORY ANNEXATION AGREEMENT 1. The provisions set forth in the preamble above are incorporated into and made a part of this AMENDMENT. No portion of the ADDITIONAL TERRITORY shall be disconnected from the VILLAGE without the prior written consent of its Corporate Authorities. 2. The Plat of Annexation of said ADDITIONAL TERRITORY is attached hereto as Exhibit D and incorporated herein by reference. Said plat extends the new boundaries of the VILLAGE to the far side of any adjacent highway not already annexed and includes all of every highway within the ADDITIONAL TERRITORY so annexed. Upon adoption of an ordinance annexing the ADDITIONAL TERRITORY to the VILLAGE, the Village Clerk shall cause a copy of said ordinance and said plat to be duly recorded with the Cook County Clerk's Recording Division. 2 4926-5739-3457, v. 1 The Village Clerk shall also send notice of Annexation of the ADDITIONAL TERRITORY, by certified or registered mail to: A. The Cook County Elections Department; B. The U.S. Post Office branch serving the ADDITIONAL TERRITORY. II ZONING, LAND USE, AND DEVELOPMENT 1. Zoning. The AMENDMENT TERRITORY shall be zoned R-5 PUD and shall be developed exclusively for 24 single-family attached residences, as detailed in the attached exhibits. The Plat of Survey for the AMENDMENT TERRITORY is attached as Exhibit E and incorporated herein by reference. 2. Development Plans. The AMENDMENT TERRITORY shall be developed in substantial accordance with a PUD Final Plan/Plat that shall be submitted to and approved by the VILLAGE in accordance with the VILLAGE'S Unified Development Ordinance ("UDO"). Said PUD shall also provide for development in substantial accordance with Exhibits F-M, which are incorporated into this Agreement by reference. 3. UDO Standards. With respect to the development of the AMENDMENT TERRITORY, the PARTIES agree that in any case where the standards of the UDO now or hereafter conflict with the standards of this AMENDMENT, the standards of this AMENDMENT and the adopted PUD shall govern. The PARTIES agree that the standards of this AMENDMENT shall govern with the respect to the development of the AMENDMENT TERRITORY in any case in which there are no applicable standards provided in the UDO. In any case in which the UDO contains applicable standards that do not conflict with the standards of this AMENDMENT, the standards of the UDO shall govern with respect to the development of the AMENDMENT TERRITORY. 4. UDO Exceptions. Chapter 17.08 (Planned Unit Developments) of the UDO makes provision for exceptions to the requirements of the UDO in order to promote and allow innovation and flexibility of design in keeping with the public interest and welfare. It is understood that the subdivision will provide diversity to the existing housing stock and the residential design of the homes is a feature that is of public interest and welfare. As provided for in Chapter 17.08 (Planned Unit Developments) of the UDO, the VILLAGE has deemed it appropriate to approve selected exceptions as set forth in Exhibit F. 5. Other Ordinances. Except as otherwise provided for in this AMENDMENT, the AMENDMENT TERRITORY shall be developed pursuant to the terms and provisions of the UDO, the Village's Building Code and all applicable statutes, ordinances, rules regulations and laws. The PARTIES understand and agree that the UDO, the Village's Building Code, and all applicable statutes, ordinances, rules, regulations and laws of the VILLAGE shall remain applicable and in full force and effect during the term of this AMENDMENT. Furthermore, the PARTIES understand and agree that said ordinances may from time to time be amended or new 4926-5739-3457, v. 1 ordinances promulgated and that, except as otherwise provided for in this AMENDMENT AGREEMENT, such new ordinances or ordinance amendments shall apply to the AMENDMENT TERRITORY. 6. Expiration of Terms. The conditions of this AMENDMENT relating to the development of the AMENDMENT TERRITORY incorporated herein by reference and made a condition to the grant of the zoning for the PUD shall survive the expiration of this AMENDMENT and shall remain in effect unless or until the zoning of the AMENDMENT TERRITORY has been altered in accordance with law. III FEES, PERMITS, AND OCCUPANCY I. Fees. No new fees other than those fees currently in existence and assessed by the VILLAGE, including but not limited to permit fees, plan review fees, inspection fees, utility fees, application fees, tap -on fees, and user fees, shall be imposed by the VILLAGE upon the OWNER or the AMENDMENT TERRITORY until five (5) years after the Effective Date. Thereafter, any such new fees of general applicability throughout the VILLAGE shall apply to the AMENDMENT TERRITORY as well. The PARTIES acknowledge and agree that the fees contained in the Cash Contribution Schedule, attached hereto and incorporated herein as Exhibit G, shall not be changed during the term of this AMENDMENT. 2. Completion of Water Supply Improvements. The OWNER shall have three (3) years from the date of the TERRITORY's initial connection to the Village water system to complete all water supply improvements. 3. Detention Areas. The OWNER shall construct and install at OWNER'S expense all detention areas, as identified on the attached exhibits as well as the appurtenant structures such as drains, inlets, and outlets. 4. Sidewalks, Parkway Trees and Other Trees. The OWNER shall be required to construct sidewalks and install parkway trees and other trees in the common areas as identified on the exhibits. Sidewalks and trees immediately adjacent or connected to a lot that is being constructed must be installed before the issuance of a Final Certificate of Occupancy. Sidewalks, parkway trees and trees in the common and unimproved areas shall be installed by the OWNER no later than four (4) years after the recording of the applicable Final Plat. Sidewalks and parkway trees shall be installed during the course of construction. 5. Other Improvements. The OWNER shall construct and install at OWNER'S expense all other improvements in accordance with the requirements of the UDO and the final engineering and final landscape plans approved by the VILLAGE. 4 4926-5739-3457, v. 1 IV LAND AND CASH CONTRIBUTIONS 1. Cash Contributions. The OWNER, or any successors in interest as to any portion of the AMENDMENT TERRITORY, shall make cash contributions at the time of issuance of building permits, for each individual dwelling unit. Said fees shall be as indicated on the Cash Contribution Schedule, attached hereto and incorporated herein as EXHIBIT G. CI DONATION AND ACCEPTANCE OF OPEN AREAS AND DETENTION AREAS 1. Detention Area. The detention area (hereinafter "detention area") and all appurtenant structures, and all native landscaping to said detention area, as identified as shown on the exhibits are to be owned and maintained by the Homeowners Association (HOA) to be formed for the AMENDMENT TERRITORY. 1A I NOTICES Notices.
