SUMMARY/BACKGROUND
The Public Works Department (along with the Acting Village Engineer) interviewed two
potential architects for the proposed storage barn at the Public Works Annex Site located at
the Southwest corner of Archer Avenue and Derby Road. The architects that were
interviewed were Carlile Group, 5 S Main Street, Manteno, IL 60950 and Stromsland + De
Young + Prybys Architecture Group, Inc. SDPA, 20620 Burl Court - Suite 102, Joliet, IL
60433. After interviewing both companies, Carlile Group was determined to be the best
architect for this project. Funding will come from the Infrastructure Fund.
Total lump sum, not to exceed fees for the design of the Storage Barn is $63,630.00. An
upfront retainer of 20% ($12,726.00) will be invoiced upon approval of the agreement. Carlile
will also provide Construction Administration services at a total lump sum, not to exceed, cost
of $14,000.00.

WHEREAS the Village of Lemont, Counties of Cook, Will, and DuPage, Illinois, ("the
Village") is a municipality in the State of Illinois with full powers to enact Ordinances and adopt
Resolutions for the benefits of the residents of the Village; and
WHEREAS, the Village and Carlile Group wish to enter a professional services
agreement Archer Avenue and Derby Road Public Works Annex Site Storage Barn Architect
Design and Construction Administration Services as further outlined in the professional services
agreement attached hereto as Exhibit A ("Agreement"); and
WHEREAS, the Mayor and Board of Trustees find that it is in the best interests of the
Village to authorize the Agreement attached hereto as Exhibit A.
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of
the Village of Lemont, Counties of Cook, Will and DuPage, Illinois, as follows:
SECTION 1:
That the above recitals and legislative findings are found to be true and correct and are
hereby incorporated herein and made a part hereof as if fully set forth in their entirety.
SECTION 2:
The Mayor and Board of Trustees of the Village of Lemont hereby approve the
Agreement with Carlile Group in substantially the same form as attached hereto as Exhibit A,
subject to attorney review.
SECTION 3:
The Mayor and Clerk are hereby authorized, respectively, to execute the Agreement with
Carlile Group.
SECTION 4:
This Resolution, and its parts, are declared to be severable and any section, subsection,
sentence, clause, provision, or portion of this Resolution that is declared invalid such decision
shall not affect the validity of any other portion of this Resolution, which shall remain in full
force and effect.
SECTION 5:
All Resolutions and Ordinances in conflict herewith are hereby repealed to the extent of
such conflict.

Thank you for the opportunity to provide you with this proposal for professional architectural services. It
was a pleasure meeting representatives of your Public Works Department on December 101h to discuss
capital improvement needs for your project. Outlined below is our understanding of the desired scope of
architectural and engineering services.
This proposal includes pre -design phase services that allow us to evaluate project needs and goals in
more detail, documentation services for the generation of the construction documents, and
bidding/administration services for the construction phase.
A stipulated sum fee format has been utilized for this proposal. We have reviewed the provided
information for professional services, the client's provided materials, and are proposing the following
services to be delivered within the fee amount stipulated. The scope of services is limited to those detailed
in this proposal or by authorized Additional Services.
Carlile Architects prides itself on delivering full encompassing design solutions, on schedule, and within
budget. As always, if you should have any questions, please don't hesitate to contact me.
Scope of Work
Project Overview
The Village of Lemont desires to construct a new 125' x 90' post -and -pier building to provide support for
their Public Works Department. The proposed building would be constructed off of Derby Road south of
the Archer Avenue intersection on land already owned by the Village. Preliminary site planning
documents have been provided by the Village Engineer for review.
Preliminarily, the proposed building should provide approximately 11,250 square feet of vehicle storage
space within the post -and -pier pole building to be constructed over a concrete slab -on -grade foundation
system. In addition to vehicle storage areas, a portion of the building is to be dedicated to materials and
equipment storage with a mezzanine for holiday decoration storage and other supplies. Public Works
anticipates a material and equipment storage area of 20-30 wide along one side of the proposed
building.
A lean-to or ancillary addition to the pole building should be provided to house restrooms, a breakroom,
and potentially and office or other support space. The size of the support spaces has not yet been
determined.
Exterior facade conditions will meet Village ordinance requirements. Site planning and landscape
design are not included within the scope of this proposal. A separate salt storage and material storage
areas are not within the scope of this proposal. Mechanical, electrical, plumbing, and fire protection
engineering are included with the consultant's proposal attached for reference. All consultants' fees are
included in this proposal.
For establishment of Basic Services fee, the following Magnitude of Cost basis has been utilized and
shall serve as the project design and construction budget:
Post/Pier building (heated) over concrete foundation w/ mezzanine = $120/sf
($120 * 11,250 sf = $1,350,000)
Finished breakroom and restroom areas = $175/sf
($165 * 1,000 sf = $165, 000)
Project Total Design/Construction Budget = $1,515,000.00
Basic Services
Schematic Design Phase
• Develop building base drawings or obtain building site information prepared in electronic format
from owner including field verification as necessary to prepare the preliminary design.
• Prepare flow diagrams, spacial relationship diagrams, and preliminary layout drawings as required
to adequately convey design intent.
• Provide Table of Contents for anticipated project specifications
• Develop a preliminary Opinion of Probable Construction Cost estimate based on preliminary
design documents in magnitude format.
• Attend 1 Schematic Design (25%) review meeting with the client to review design intent, answer
questions, and obtain directions related to design dependent considerations.
Design Development Phase
• Develop 50% construction documents (drawings and specifications as required) incorporating
design revisions provided by the client.
• Prepare preliminary project specifications (edited front end & technical outline).
• Develop Opinion of Probable Construction Cost in unit price format by labor and material.
• Provide preliminary finishes in presentation format including sample products.
• Attend 1 Design Development (50%) review meeting with the client to review documents, finish
selections, project budget, etc.

• Issue the bidding documents to contractors to solicit competitive bids for the installation of the
work compliant with 105 ILCS 5/10-20.21 for public projects if required.
• Respond to contractor's Requests for Information (RFIs).
• Attend (1) Pre -bid meeting conference to review project with contractors.
• Issue addenda to the Bid Documents as required to clarify bidding requirements.
• Review contractor bids for compliance with the Construction Documents, prepare bid tabulation
report and make recommendation for award.
• Provide standard AIA contract for owner's use.
Construction Administration Phase
• Attend 12 progress meetings.
• Perform site observations of installed work. (Maximum of 18)
• Review and respond to contractor's Requests for Information (RFI).
• Review and respond to contractor's Shop Drawings and Submittals.
• Review contractor's applications for payment.
• Issue Work Change Directives as required.
• Review and respond to contractor's Change Order requests.

The Village of Lemont agrees to compensate Carlile Architects LLC for the Basic Services identified above
for the stipulated fee (based on 4.2% of construction magnitude) resulting in fees of $63,630 (Sixty -Three
Thousand Six Hundred and Thirty Dollars and Zero Cents) scheduled to be invoiced below in the
Compensation Schedule.
The Village of Lemont agrees to compensate Carlile Architects LLC for the Additional Services listed
above on an hourly basis, as scheduled below, with a maximum not -to -exceed value fee of $14,000
(Fourteen Thousand Dollars and Zero Cents)
Basic Services Design Fees will be billed as scheduled below at each deliverable. Additional Services
Fees are billed monthly for services rendered. Fees are due upon receipt. A 20% retainer in the amount
of $12,726 is due upon proposal acceptance and will be invoiced with the contract prior to starting work.

Standard Terms and Conditions
Contract — These standard Terms and Conditions may be amended added to, superseded, or waived
only if both parties specifically define in writing an amendment of these Terms and Conditions
('Agreement").
Standard of Care — The standard of care for all professional architectural services or related services
performed or furnished by Carlile Architects LLC under this agreement will be to the care and skill
ordinarily used by members of the subject profession practicing under similar circumstances at the same
time and in the same locality. Carlile Architects LLC makes no warranties, express or implied, under this
agreement or otherwise, in connection with Cadile Architects LLC services.
Reliance — Cadile Architects may, without liability, rely on the accuracy and completeness of information
provided by Client, Client's consultants and contractors, including, but not limited to, specialty contractors,
manufacturers, suppliers, and the publishers of technical standards without the need for verification.
Changes in Scope — The proposed fees constitute Carlile Architect's estimate to perform the services
required to complete the Project. However; all required services are not always definable in the initial
planning. Accordingly, circumstances may dictate a change in the scope of services to be performed.
Where this occurs, changes in the Agreement shall be negotiated and an equitable adjustment shall be
made.
Delays — Cadile Architects shall complete its obligations under the Agreement within a reasonable time.
If, through no fault of Carlile Architects, such period of time or dates are changed, or the orderly and
continuous progress of Carlile Architects services are impaired, or Carlile Architects services are delayed
or suspended, then the time for completion of Cadile Architects services, and the rates and amounts of
Cadile Architects compensation, shall be adjusted equitably.
Suspension & Termination — Client may suspend the Project upon seven (7) days written notice to
Cadile Architects. If Carlile Architects' services are substantially delayed through no fault of Cadile
Architects, Carlile Architects may suspend services after giving seven (7) days written notice to Client.
Either party may terminate this agreement upon thirty (30) days written notice to the other party in the
event of substantial failure by the other party to perform in accordance with the terms hereof through no
fault of the terminating party.
Client shall remain liable for, and shall promptly pay Carlile Architects for all services rendered to the date
of the suspension/termination of services plus suspension/termination charges including the cost of
assembling documents, personnel and equipment rescheduling or reassignment, and commitments
made to others on the Client's behalf.
Opinion of Probable Costs — Carlile Architects' opinions of probable Construction Cost are to be made
on the basis of Carlile Architect's experience and qualifications and represent Carlile Architects' best
judgment as an experienced and qualified professional generally familiar with the construction industry.
However; since Carlile Architects has no control over the cost of labor, materials, equipment, or services
furnished by others, or over the contractor's methods of determining prices, or over competitive bidding
or market conditions, Carlile Architects cannot and does not guarantee that proposals, bids, or actual
Construction Costs will not vary from opinions of probable Construction Costs prepared by Carlile
Architects.
Reuse of Project Deliverables — All design documents prepared and furnished by Carlile Architects are
instruments of service, and Carlile Architects retains an ownership and property interest (including the
copyright and the right of reuse) in such documents, whether or not the Project is completed. Client shall
not rely in any way on any Document unless it is in printed form, signed and sealed by Carlile Architects
or one of its Consultants.
Right of Entry — Client agrees to obtain legal right -of -entry on the property when entry to property is
required by the work.
Environmental Conditions — Cadile Architects' scope of services does not include any services related
to any environmental issues related to the site or existing structures including petroleum, radioactive
material, polychlorinated biphenyls (PCBs), hazardous waste, asbestos, lead, and any substance
whatsoever that is or becomes listed, regulated by any Federal, State, or local statute, law, rule,
regulation, ordinance, resolution, code, order, or decree regulating, relating to, or imposing liability or
standards of conduct concerning any hazardous, toxic, or dangerous waste, substance, or material.
Relationship with Contractors — Carlile Architects shall not at any time supervise, direct, or have
control over any contractor's work, nor have authority over or responsibility for the means, methods,
techniques, sequences, or procedures of construction selected or used by any contractor, nor safety
precautions and programs incident to a contractor's work progress, nor any failure of any contractor to
comply with the laws and regulations applicable to the contractor's work. Cadile Architects neither
guarantees the performance of any contractor nor assumes responsibility for any contractors failure to
furnish and perform their work. Carlile Architects shall have no authority to stop the work of the
contractor.
Limitation of Liability — Client hereby agrees that to the fullest extent permitted by law, Architect's total
liability to the Client and Third Parties for any and all injuries, claims, losses, expenses or damages
whatsoever arising out of or in any way related to the project or this Agreement from any cause including,
but not limited to, negligence, errors, omissions, strict liability, or breach of contract shall not exceed the
total compensation received by the Architect under this agreement or $25,000.00 whichever is less.
Insurance — Carlile Architects will maintain insurance coverage for Professional, Comprehensive
General, Automobile, Worker's Compensation, and Employer's liability in the amounts in accordance with
legal and Carlile Architects' business requirements. Carlile Architects will provide certificates of
Insurance upon written request.
Mutual Waiver — To the fullest extent permitted by law, Client and Carlile Architects waive against each
other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and
all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of,
resulting from, or in any way related to the Project.
Governing Law, Jurisdiction, and Venue — This Agreement shall be governed by, and construed in
accordance with, the laws of the State of Illinois. Further, the parties agree and consent to the exclusive
jurisdiction of the courts of the State of Illinois for all purposes regarding this Agreement and that venue
of any action brought hereunder shall be exclusively in Kankakee County, Illinois.
Nonenforcement — A party's non -enforcement of any provision shall not constitute a waiver of that
provision, nor shall it affect the enforceability of that provision or the remainder of this Agreement.
Assignment — A party can assign its right or obligations only with the express written permission of the
other party. This Agreement shall be binding upon and inure to the benefit of any permitted assigns.
Survival — All express representations, waivers, indemnifications, and limitations of liability included in
this Agreement will survive its completion or termination for any reason.
Third Parties — Nothing in this agreement shall be construed to create, impose, or give rise to any duty
owed by the Client or Carlile Architects to any Contractor, Contractor's sub -contractor, supplier, other
individual or entity, or to any surety or employee of any of them. All duties and responsibilities
undertaken pursuant to this Agreement will be for the sole and exclusive benefit of Client and Carlile
Architects and not for the benefit of any other party.
Severability — Any provision or part of the Agreement held to be void or unenforceable under any Laws
or Regulations shall be deemed, stricken, and all remaining provisions shall continue to be valid and
binding upon Client and Carlile Architects, who agree that the Agreement shall be reformed to replace
such stricken provision or part thereof with a valid and enforceable provision that comes as close as
possible to expressing the intention of the stricken provision.
Statute of Limitations — To the fullest extent permitted by law, all causes of action arising under this
Agreement shall be deemed to have accrued, and all statutory periods of limitation shall commence, no
later than the date of Substantial Completion.

Dear??????,
Thank you for inviting our office to provide a proposal for the New Pole Building Project for Village of
Lemont Public Works on their existing property in Lemont, IL. In reviewing information though our
discussion during my visit on December 10, 2024, and the site & building information that I received
from you, we have based our proposal on the following information.
The New Building shall be approximately 12,000 square foot (90' x 125') pole type building with a full
length mezzanine (second level), two overhead doors and two 3'-0" man doors. The interior of the
building shall have concrete floor slab with thickened edges around the perimeter and no foundation
(there may need to be foundation along the exterior wall for second level bearing). The floor slab
shall be sloped to floor drains at the centerline of the building and an area for truck washing and a
triple basin for fluid separation. At one end (probably north) there shall be an approximately 1,200
square foot "Bump -Out" area to the building for an office, lunchroom, storage room, toilets,
utility/mechanical room and other required areas. The building shall be insulated in accordance with
code requirements. Other building detailing shall be typical pole building standards. There will be a
furnace & air conditioning in the office areas and unit heaters for basic heating of the equipment area
with water connections for hoses to wash equipment. LED lighting shall be indicated on the interior
and exterior for general illumination of the areas. General power outlets shall be spaced around the
interior and new service and panels shall be provided in the space. The building shall be fully
sprinkled.
Our understanding of the scope for this project is to provide normal and customary architectural
services (design, construction drawings, required specifications, bidding and construction
observation) for the project. The survey and civil design will be provided by HR Green under a
separate proposal.
The project scope is further divided into the following phases:
Schematic/Design Development Phase: We will be to perform additional field investigation,
create the new floor plan for the building and related items. Our consulting engineers will
review the plumbing, mechanical and electrical requirements for the project. These drawings
will be submitted for review and approval by the owner. We will review and provide any
changes in design documents.
Construction Document Phase: We will create contract documents that may be required
including drawings such as plans, schedules, elevations, sections, details and specifications

that can be given to contractors for precise bidding on the work. Our consulting engineers
will provide the required fire protection noting (if required), plumbing, mechanical and
electrical engineering drawings. We would also be coordinating all of our engineering and
project civil consultant's drawings for the project. These drawings can then be submitted for
permit and bid to General Contractors.
• Construction Phase: We will perform construction observation as needed until completion of
the work.
The following assumptions are made for this proposal from the conversations and the initial site visit:
• The Pole Building Manufacturer shall be responsible for all the required engineering design
and shop drawings (with required structural engineering stamp from a State of Illinois
Licensed structural engineer) as required for the project. The existing electrical service on
site is in good working order and power is adequate for the requirements for the new design
configuration. Any electrical service upgrade design shall be considered additional services.
• The Owner shall provide contractor site investigations of any mechanical and electrical
existing conditions (if needed) that are unforeseen for use in the project design.
• Stromsland + De Young + Prybys Architecture Group, Inc. accept no responsibility for the
existing site conditions to remain and/or redesigned during this scope of work.
Stromsland + De Young + Prybys Architecture Group, Inc. propose a fee of forty-five thousand three
hundred dollars ($45,300.00) for the Project through Construction Document Phase of the New Pole
Building Project.
For the Construction Observation Phase, we propose the following fees:
Architect: Thirteen thousand eight -hundred dollars ($13,800.00).
Structural Engineer: Five thousand dollars ($5,000.00).
MEP Engineers: Eight thousand six hundred dollars ($8,600.00).
AIA contracts will be used for the Owner - Architect Agreement for this project. Any additional
services beyond those noted above will be billed on an hourly rate of $125 per hour for time spent
working. Reimbursable expenses shall be at the rate plus ten percent.
