R-25-15 Resolution Approving Agreement for Easement and Authorizing Acceptance of Easement Resolution No. a54 A Resolution Approving Agreement for Easement and Authorizing Acceptance of Easement WHEREAS, the President and Board of Trustees desire to enter into an Agreement for Easement ("Agreement") with Chicago Title & Trust Co., Trust No. 61792 dated March 14, 1973, a copy of which is attached as Exhibit A and incorporated in its entirety; BE IT RESOLVED by the Village President and Board of Trustees of the Village of Lemont as follows: Section One: The Agreement attached hereto as Exhibit A is hereby approved. Section Two: The Mayor and/or Village Administrator are authorized to execute the Agreement and to make minor changes to the document prior to execution which do not materially alter the Village's obligations, and to take any other steps necessary to carry out this resolution. Section Three: The Mayor and/or Village Administrator or their designee, are hereby authorized to execute the acceptance of the easement upon the Plat of Easement Section Four: This Resolution shall be in full force and effect from and after its passage and approval as provided by law. SMOLLEN Village Clerk 2 EXHIBIT A AGREEMENT FOR EASEMENT 3 N AGREEMENT FOR EASEMENT This Agreement ("Agreement") is made and entered as of the 11th day of May, 2015 by and between the Village of Lemont, an Illinois municipal corporation ("Village") and Chicago Title Trust Co., Trust Number 61792 dated March 14, 1973 ("Owner"). Cant( RECITALS WHEREAS, the Owner is the fee simple title owner of the real estate legally described as follows ("Owner's Property"): The Southeast 1/4 of the Southeast 1/4 (except the south 727.88 feet, both measured at right angles to the south line of tract) of Section 26, Township 37 North, Range 11 east of the Third Principal Meridian, (excepting therefrom the west 250 feet thereof) all in Cook County, Illinois. Common address of 12550 Bell Road, Lemont, Illinois 60439 PIN: 22-26-401-007-0000 WHEREAS, the Village desires to install a water main and a sanitary sewer line ("Utilities") on the Owner's Property which will eventually service the real estate located at the corner of Bell Road and McCarthy Road. WHEREAS, in order to establish the terms and conditions under which the Utilities are to be provided, the Village and the Owner desire to enter into this Agreement for an easement that will permit the Village to have installed the water main and sewer line. WHEREAS, the easement that has determined to be necessary for the installation of the water main and the sanitary sewer line is depicted on and legally described in the Plat of Easement attached to and made a part hereof as Exhibit A ("Easement") WHEREAS, the Village and the Owner may be sometimes hereinafter referred to individually as a"Party"and collectively as "Parties". NOW, THEREFORE in consideration of the mutual covenants and agreements contained herein,the Owners and the Village do hereby agree as follows: 1. Recitals: The foregoing recitals are, by this reference, fully incorporated into and made a part of this Agreement. 2. Village Obligations: (i) The Village shall install within the Easement a water main and a sanitary sewer which will be at a depth to be determined by the Village Engineer. (ii) In order to address the Owner's concern that the installation of the Utilities and/or the creation of the Easement may increase the Cook County real estate taxes or compromise the farm exemption, the Village will file all necessary exemption requests or other documentation as it relates to the Easement, after Cook County has determined that the real estate taxes are to increase. If Cook County does increase the real estate taxes because of the grant of the Easement the Village will pay any increase amount in the real estate taxes that occur as a direct result of the Easement for the first ten (10) years after the execution date of the Easement. The Village shall not be obligated to pay any increase amount that is not directly imposed because of the Easement. (iii) The Village will only disturb the Owner's Property to the extent needed to install or maintain the Utilities. Construction traffic will be limited to the Easement and necessary access across the Owner's Property to the Easement. Installation of the Utilities shall wait until the fall to prevent any loss of revenue from the Owner's Property being farmed. Notwithstanding the above, construction may begin at any time of the year; however, the Village shall reimburse the Owner for any loss of revenue that results directly from the installation or repair of the Utilities. Should such loss of revenue occur, the Owner shall provide the Village with a certified accounting of such losses, including a schedule of the value and the quantities of the materials claimed to be lost. (iv) The Village shall locate the farm tiles in the Easement and related construction area and repair any damage to said farm tiles caused by the installation or repair of the Utilities. In the event the Village is unable to repair said damage despite its best efforts, and there is flood damage that can be directly attributed to the construction or repair of the utilities and inability to repair damage associated with the Utilities construction or repair, the Village will agree to compensate the Owner for lost revenue for the area unable to be farmed as a result of the Village's work. (v) The Village shall insure proper compaction within the Easement and surrounding areas impacted by construction traffic to make sure that the Easement and surrounding areas will be able to be farmed and utilized in the future. Trench compaction will be accomplished by the water jetting method, wherein water is injected in the trench to induce settlement or by another method deemed appropriate by the Village Engineer. Upon proper settlement, the Village shall top the field surface four (4) inches of topsoil. The Village will construct and place all required manholes below grade, in a manner to mitigate any potential hindrance to the farming of the Owner's Property. There will be no above ground markings of the manhole that interfere or hinder the fanning use of the Owner's Property. (vi) The Village agrees to waive its required tap on fees for both the water main and sanitary sewer line for the Owner's Property, shall the Owner determine to connect to either service. Furthermore, the Village agrees to waive its required tap on fees for both the water main and sanitary sewer line for the neighboring property owned by Wayne and Carolyn Kwasneslci of the common address of 2 12545 Bell Road, Lemont, IL 60439 (located in unincorporated Cook County), PINs 22-25-300-007-0000 and property owned by Carolyn Kwasneski, 12515 Bell Road Lemont, 22-25-300-008-0000, (collectively referred to as the Neighboring Properties"), as long as the Neighboring Properties are owned by Wayne or Carolyn Kwasneski or their heirs, legatees, executors or administrators, and those properties have been annexed into the Village. This waiver shall not apply to any subsequent owners or for any property not located within the corporate boundaries of the Village. (vii) The Village will secure payment to the Owners of $150,000.00 for the granting of the Easement ("Easement Payment"). The Easement Payment will be provided by a third party, and, if the Village fails to remit payment to Owners by July 1, 2015,this Agreement shall terminate as of said July 1,2015, and will be of no force and effect. If the Village fails to obtain the Easement Payment from the third party, the Village shall not be obligated by this Agreement to make an Easement Payment to the Owners. In turn, the Owners shall not be obligated to provide said Easement. In addition to the Easement Payment, the Village shall reimburse the Owners up to $2,000.00 for the Owners attorney's fees that relate directly to this Agreement. Such reimbursement shall be provided within 30 days of receipt of the invoice for such attorney's fees. (viii) The Village acknowledges that the Neighboring Properties are not subject to an existing recapture in which the Village is a party to such an agreement and will not be subject to any future recapture in which the Village is a party to such an agreement. (ix) At the time any and all initial work on the projects begins and until such time that the project is entirely completed, and, during the course of any maintenance or repairs made to the improvements, the Village agrees to indemnify Owner from any claims made by a third party for any loss, damage or expense which either may sustain or for which either may become liable growing out of any injury to or death of any persons or damage to or loss of real or personal property arising out of or caused in the performance of the work done by or under the authority of the Village under this grant, except for any loss, damage or expense borne of the Owner's negligence, gross negligence, or willful and wanton conduct. (x) The Village agrees that it shall, at its sole cost and expense, restore to its former condition both the Easement Area and any adjacent property to the Easement Area which was disturbed by the construction, maintenance, repair or operation of the Utilities. 3. Owner's Obligations: (i) Owner acknowledges that the Owner's Property is subject to a recapture agreement and that the Village cannot pay for, alter or waive the recapture fees that will be due at the time of connection to the water and/or sewer lines. Other 3 than the existing recapture acknowledged above, the Owner's Property will not be subject to any additional recapture in which the Village is a party to such an agreement. (ii) Owner shall execute the Plat of Easement (Exhibit A hereto) upon receipt of$150,000.00. 4. Village Undertakings: The Village shall, subject to the conditions and limitations set forth in this Agreement, use its best efforts to operate and maintain the water main and sanitary sewer line in accordance with its customary practices and sound engineering practices so as to continue to provide sanitary sewer service and water service to those who connect to said line(s). 5. Consideration: The Parties hereto agree that the mutual promises contained herein constitute good and valuable consideration,receipt of which is acknowledged. 9. Interpretation and Severability: It is the intent of the Village and the Owner that this Agreement be construed and interpreted so as to preserve its validity and enforceability as a whole. In case of any conflict among the provisions of this Agreement, the provisions that best promote and reflect the intent of the parties shall control. If any provision of this Agreement is construed or held to be void, invalid, or unenforceable in any respect, the remaining provisions of this Agreement shall not be affected thereby but shall remain in full force and effect. In addition, the Parties acknowledge that each Party had the opportunity to seek review of this Agreement by counsel prior to its execution and therefore this Agreement shall be deemed to have been drafted mutually by the Village and the Owner. 10. Venue: This Agreement shall be interpreted in accordance with the substantive law of the State of Illinois, without application of choice of law rules. Venue for this Agreement shall be in Cook County, Illinois. 11. Successors: This Agreement shall be binding on, and shall inure to the benefit of the successors of the Village and the Owner, except as expressly stated within the Agreement. 12. No Third Party Beneficiaries: Nothing in this Agreement shall create, or be construed or interpreted to created, any third party beneficiary rights, except as expressly provided herein. 13. Counterparts: This Agreement may be executed in counterparts, each of which shall be considered an original and together shall be one and the same Agreement. 14. Effective Date: This Agreement shall take effect as of the date first above written when executed by the duly authorized representative of the Village and the Owners.
