RESOLUTION AUTHORIZING ADOPTION OF AN AGREEMENT
DESIGNATING STRAND ASSOCIATES AS VILLAGE ENGINEER
WHEREAS, the Village of Lemont and Strand Associates have proposed to enter
into an Agreement to provide engineering services to the Village; and
WHEREAS, Strand Associates shall serve as Village Engineer and perform those
specific duties assigned during the term of this Agreement;
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
that the attached Engineering Agreement be approved.

Re: Agreement for Municipal Engineering Services
This is an Agreement to provide municipal engineering services for the Village of Lemont,
Illinois hereinafter referred to as the OWNER, and Strand Associates. Inc., hereinafter
referred to as the ENGINEER.
Scope of Services
The services to be provided under this Agreement can be generally described as general
municipal and consulting engineering services for OWNER. The specific level of engineering
services shall be as directed by OWNER for individual tasks.
In performance of the services, ENGINEER shall in no way be held responsible for the
means and methods of any individuals who are not directly employed by ENGINEER.
Fee Basis
Services as defined above shall be provided on a billing rate basis for the time actually spent,
plus expenses. The billing rates which shall apply are based on a multiplier of 2.84 applied
against the hourly rate of the individual working. Annual rate adjustments will be made each
July 1. See Appendix A for current rates.
Expenses incurred such as use of outside consultants, travel, meals, printing and telephone
shall be billed at actual cost plus five percent. If tax laws are subsequently amended by
Legislation during the life of this Agreement, the Agreement shall be adjusted to reflect the
net change caused by such amendment.
Payment
During the course of the project the OWNER shall make monthly payments to the
ENGINEER for services performed in the preceding month based upon itemized monthly

statements. Non.-payment 30 days after the date of invoicing may, at ENGINEER'S option,
result in assessment of a 1 1/2 percent per month carrying charge on the unpaid balance.
Initiation of Services
The ENGINEER intends to begin services upon notification.
Termination
The Agreement my be terminated in whole or in part in writing by either party subject to a
two -week notice and the right of the party being terminated to meet and discuss the
termination before the termination takes place. The ENGINEER shall be paid for all
completed or obligated services up to the date of termination.
Remedies
Except as may be otherwise provided in this Agreement, all claims, counterclaims, disputes
and other matters in questions between the OWNER and the ENGINEER arising out of or
relating to this Agreement or the breach thereof will be decided by arbitration if the parties
hereto mutually agree, or with a court of competent jurisdiction within the State of Illinois.

Salaries and billing rates are usually adjusted on July 1 of each year. Following
are hourly rates in effect through June 30, 1994:
Project Manager $52 to $70 per hour
Project Engineer $37 to $52 per hour
Engineering Technician $23 to $48 per hour
Secretarial $35 per hour
