R-425-96 Authorizing execution of agreement with the illinois department of transportation and illinois central railroad for contruction related to main street improvementsRESOLUTION RESOLUTION AUTHORIZING EXECUTION OF AGREEMENT WITH THE ILLINOIS DEPARTMENT OF TRANSPORTATION AND ILLINOIS CENTRAL RAILROAD FOR CONSTRUCTION RELATED TO MAIN STREET IMPROVEMENTS WHEREAS, the Village of Lemont is undertaking improvements to Main Street adjacent to the Illinois Central Gulf Railroad; and WHEREAS, the Village seeks to relocate railroad safety equipment to accommodate the project; and WHEREAS, the construction cost estimate for this work is $46,640; and WHEREAS, the attached agreement between the Village of Lemont, Illinois Department of Transportation and Illinois Central Railroad will dictate the terms and conditions of the project. NOW, THEREFORE, BE IT RESOLVED THAT the attached agreement is hereby approved. WITNES SETH THAT, WHEREAS, Federal -Aid Primary Route Number 3587 Main Street, extends across the COMPANY'S double tracks at existing grade crossings (M.P. 25.18, AAR/DOT #289736R, M.P. 25.10, AAR/DOT #289735J, and M.P. 24.95, AAR/DOT #289734C) consisting of rubberized crossing pavement with signals and gates located in the VILLAGE OF LEMONT, Cook County, Illinois as shown on the map designated as "Exhibit A ", which is appended hereto and made a part hereof; and WHEREAS, at and in the vicinity of the grade crossings the STATE and VILLAGE propose to reconstruct Main Street, said work to be included in a project designated as VILLAGE Section 93- 00020- 00 -PV, STATE Section 1993 -095R, STATE Job No. C- 91- 516 -93, Federal Project STPM- 7003(66); and WHEREAS, in conjunction with the aforementioned reconstruction project, the STATE and VILLAGE propose to do work at the grade crossings (see Exhibit A), said improvement to be designated as VILLAGE Section 96- 00020- 01 -RR; and WHEREAS, the proposed improvement shall be financed by 100% Village Funds; 1 RR Crossings/Village of Lemont Main Street Section: 96- 00020 -01 -RR Cook County NOW, THEREFORE, in consideration of the premises and of the mutual covenants and agreements as hereinafter contained, the parties hereto agree as follows: SECTION 1 i The COMPANY, at the expense of the VILLAGE, shall prepare an estimate of cost, and any required specifications for the crossing work to be done by the COMPANY. These estimates and specifications shall be submitted to the STATE and VILLAGE for their approval. No approved plan or specification shall be changed by any party hereto without written consent of the other parties. SECTION 2: All required work at the grade crossings shall be performed by the COMPANY with its own forces or as otherwise provided herein. In the event the COMPANY intends to use forces other than its own under a continuing contract or contracts, the COMPANY shall indicate in each estimate the items of work to be accomplished under such contract or contracts, and list in each estimate the names of each contractor whose services will be used to perform the work. If the estimate of cost for such work (including labor, materials, and/or equipment) performed by forces other than the COMPANY'S exceeds $10,000.00, said contract or contracts shall be secured by competitive bids in compliance with the "Program Manual ". SECTION 3: The parties hereto shall construct, or cause to be constructed, the following items of work: (I) WORK BY THE COMPANY: The COMPANY shall furnish, or cause to be furnished, all of the labor, materials and work equipment required to perform and complete: (a) Two signals to be relocated at Lemont St. (b) Cantilever mast arm signals and gate to be relocated at Stephen Street. (c) Signal and gate to be relocated at Holmes Street. (d) The furnishing of flaggers and other personnel as required to protect railway traffic in connection with the work to be performed by the railroad and by STATE' s contractor. (e) Incidental work necessary to complete the items. 2 RR CrossingsNillage of Lemont Main Street Section: 96- 00020 -01 -RR Cook County (II) WORK.BY TI-TE STATE: The STATE shall furnish, or cause to be furnished, all the labor, materials and work equipment required to perform and complete: (a) The reconstruction of the roadway on the approaches to the tracks, up to the ends of the ties and (b) Incidental work necessary to complete the above item. (III) DIVISION OF EXPENSE: The expense as incurred by the COMPANY for work performed as outlined under subheading (1), shall be borne 100% by the VILLAGE. The COMPANY work is estimated to cost $ 46 ,640 as shown on "Exhibit B ", attached hereto and made a part hereof. The VILLAGE will pay the COMPANY upon receipt of the COMPANY'S first and subsequent progressive bills for this improvement. SECTION 4: Subsequent-to the award of any contract (or contracts), and before any work is started on this project, a conference shall be held between the representatives of the STATE, the VILLAGE and the COMPANY, and the interested contractor (or contractors), at a time and place as designated by the parties, and at which time a schedule of operations will be adopted. SECTION 5: The VILLAGE will provide the necessary construction engineering and inspection for carrying out the STATE'S work as herein set forth, and the COMPANY will provide all construction engineering and inspection for carrying out its work as herein set forth. The STATE shall also require its contractor (or contractors) to furnish the COMPANY with a Standard Railroad Protective Liability Insurance Policy naming the COMPANY as the insured in the amount of $2,000,000.00 C.S.L. and $6,000,000.00 per policy period, all conforming to the "Program Manual ", Volume 6, Chapter 6, Section 2, Subsection 2, dated April 25, 1974, and modifications thereto including Amendment GL -00- 30-03-83. SECTION 6; The COMPANY, without compensation other than the performance of this contract by the STATE and the VILLAGE, hereby grants permission for the STATE'S contractor (or contractors) to perform the construction operations described in Section 3 (II) above on the COMPANY'S right -of -way or upon, over, under and across the tracks of the COMPANY. 3 RR Crossings/Village of Lemont Main Street Section: 96- 00020 -01 -RR Cook County SECTION 7: All work herein provided to be done by the STATE or its contractor (or contractors) on the COMPANY'S right -of -way or upon, over, under and across the railroad tracks of the COMPANY shall be done in a manner satisfactory to the COMPANY, and shall be performed at such time and in such a manner as not to interfere unnecessarily with the movement of trains or traffic upon the track of the COMPANY. The STATE shall require its contractor (or contractors) to use all care and precaution necessary to avoid accident or damage to, or interference with, the COMPANY'S track, or to the trains or traffic using its track, and to notify the COMPANY a sufficient time in advance whenever said contractor is about to perform work adjacent to the track to enable the COMPANY to arrange for, or furnish, flagging and such other protective service as might be necessary to insure safety of railroad operations. The COMPANY shall have the right to furnish all such flagging or protective service as in its judgement is necessary. SECTION 8: The STATE shall require its contractor (or contractors), upon completion of the work, to remove all machinery, equipment, temporary buildings, falsework, debris and rubbish from the COMPANY'S right -of -way, to provide proper drainage away from the COMPANY'S tracks, ans to leave the track and right -of -way in a neat condition, satisfactory to the COMPANY'S Chief Engineer or his authorized representative. SECTION 9: In compliance with the "Program Manual ", Volume 6, Chapter 6, Section 2, Subsection 1, dated April 25, 1975, the railroad work as herein contemplated requires no contribution from the COMPANY. SECTION 10: When the construction of this project is completed, the shall maintain at its expense, or by agreement with others provide for the maintenance of, the highway- related facilities at and in the vicinity of the grade crossings and so long as State law shall so require the COMPANY shall maintain at is expense, or by agreement with others provide for the maintenance of the warning system and the rubber pad crossing pavement. The COMPANY shall have the advantage of any change in Illinois law permitting the assumption of any or all the maintenance costs of the warning system and the rubber pad crossing pavement by the STATE OR VILLAGE. 4 RR Crossings/Village of Lemont Main Street Section: 96- 00020 -01 -RR Cook County SECTION 11: In the event that delays or difficulties arise in securing necessary STATE approvals, or in acquiring rights -of -way, or in settling damage claims, or for any other cause which the construction of the crossing improvement, then at any time before construction is started the STATE may serve formal notice of cancellation upon the COMPANY and this AGREEMENT shall thereupon terminate. In the event of cancellation, the VILLAGE shall reimburse the COMPANY for all eligible cost and expense incurred by the COMPANY prior to receipt of notice of cancellation and payment by the VILLAGE. SECTION 12: The COMPANY'S authorized representative certifies that to the best of his knowledge the COMPANY and/or any subcontractor used by the COMPANY has not been convicted of bribery or attempting to bribe an officer or employee of the STATE OF ILLINOIS, nor has the COMPANY and/or subcontractor made an admission of guilt of such conduct which is a matter of record. The highway /railway grade crossing warning device installation and /or modifications covered by this agreement shall contain provisions for coordinating the operating mechanisms of highway /rail crossing signals with highway traffic signals in the vicinity so as to provide for the preemption of the highway traffic signals when the highway /rail crossing signals are activated. 2. The detailed plans (including surveys and other engineering services) and specifications for the STATE's portion of the work to coordinate the operating mechanisms of the two types of signals shall be prepared by or on behalf of the STATE at its own expense. These detailed plans, and specifications shall include and show the proposed location of the cable between the highway traffic signal controller and the RAILROAD's crossing signal instrument case, the number and location of all signs and /or signal heads that would in any way govern vehicular traffic approaching or clearing the highway /railway intersection, the proposed normal sequence of operations and timing of the highway traffic signals, and the proposed railroad preemption sequence(s) and clearance intervals of the highway traffic signals. 3. The STATE's plans shall be prepared by or under the supervision of, and sealed by, a duly qualified traffic engineer certifying that same conform with all currently applicable requirements and /or minimum recommended practices for such installations including, but not limited to, the FHWA's Manual on Uniform Traffic Control Devices (MUTCD) and Traffic Control Devices Handbook (TCDH), the Association of American Railroad's Signal Manual, Section 3, Highway Grade Crossing Warning Systems and the Institute of Traffic Engineers' Recommended Practice for Preemption of Traffic Signals at or Near Active Warning Railroad Grade Crossings. 4. The STATE shall design their portion of the coordination circuitry on a "closed circuit" principle so that the RAILROAD's signal controller will open the circuit when the crossing signals are activated. For design purposes, the STATE should assume the crossing signal system will provide 20 seconds of advance warning time (the minimum design interval between the commencement of activation of the crossing signals and the arrival of a train at the crossing). IF THE PROPOSED RAILROAD PREEMPTION 1 OF 4 SEQUENCE(S) AND CLEARANCE INTERVALS OF THE HIGHWAY TRAFFIC SIGNALS FOR A "WORST CASE" SCENARIO WILL REQUIRE MORE THAN 20 SECONDS ADVANCE WARNING TIME TO CLEAR ALL HIGHWAY TRAFFIC OFF OF THE CROSSING, IT SHALL BE THE STATE'S RESPONSIBILITY TO SPECIFICALLY SO ADVISE THE RAILROAD. When appropriate, the traffic controller equipment specified and the preemption sequence(s) must be able to account for the possibility of a second train approaching the crossing AFTER the railroad crossing signals deactivate following passage of the first train BUT PRIOR TO when the highway traffic signal controller exits to normal operations. 5. Should it be necessary for the cable between the highway traffic signal controller and the RAILROAD's crossing signal instrument case, or any wiring or detector loops for the highway traffic signals, to be installed on the RAILROAD's property or under any tracks, the same shall be designed and installed in accordance with the RAILROAD's customary requirements as to method of installation and depth of cover, and shall be located so as to not conflict with any already existing or planned facilities upon the RAILROAD's property. 6. The STATE shall submit four(4) copies of its sealed plans and specifications to the RAILROAD, together with a step -by -step narrative, in laymen's terms, explaining the relative timing and sequence of highway signal operations that will occur upon the approach of a train. To the extent it is able, RAILROAD will endeavor to conduct a cursory review of the STATE's plans and specifications to satisfy itself there are no obvious errors or omissions that it can discern, however, it is expressly agreed and understood between the parties hereto that RAILROAD does not purport to have expertise in matters of highway traffic control and any such review of the STATE's plans and specifications by the RAILROAD shall not be construed as approval or endorsement thereof, and the RAILROAD assumes no responsibility or liability whatsoever as to the completeness, accuracy or appropriateness thereof. 7. The detailed plans (including surveys and other engineering services), specifications and estimates of cost for the RAILROAD's portion of the work to coordinate the operating mechanisms of the two types of signals, shall be prepared by the RAILROAD at the expense of the STATE. These detailed plans, specifications and estimates shall be submitted to the STATE for review and preliminary approval by an authorized representative. Once preliminary approval has been made, no RAILROAD prepared plan or specification shall be changed without written notice to the authorized representative of the STATE. 2 0F4 8. The RAILROAD shall arrange to submit copies of the STATE's plans and specifications, together with the plans and specifications for its own work, to the Illinois Commerce Commission for their review and approval. Once approved, no changes shall be made by either party to any plan or specification affecting the crossing signal system, the track approach leg or legs of the highway traffic signal system or the railroad preemption timing or sequence of operations, without advising the other party in writing and obtaining the expressed written consent of the Illinois Commerce Commission. 9. The RAILROAD, without compensation other than the performance of this Agreement by the STATE, hereby grants permission to the STATE to enter upon and occupy the RAILROAD's property in the vicinity of the aforesaid highway /railway crossing for purposes of installing and maintaining the STATE's portion of the facilities covered by this Agreement. All such work on the RAILROAD's property shall be governed by the "SPECIAL PROVISIONS" which are attached hereto and made a part hereof. 10. The STATE, at its expense, shall furnish, or cause to be furnished, all of the equipment, materials and labor for the complete assemblage and installation of the highway traffic signals and its portion of the system to coordinate the operation of these signals with the crossing signals, including the cable between the highway traffic signal controller and the RAILROAD's crossing signal instrument case. 11. All equipment, materials and labor for the complete assemblage and installation of the portion of the highway signal /crossing signal coordination system within the crossing signal instrument case, and any required modifications, if any, to the crossing signal circuitry as may be occasioned by the same, shall be furnished by the RAILROAD at the expense of the STATE. 12. The RAILROAD's portion of the highway signal /crossing signal coordination system shall be placed in service immediately after the installation is completed, pending final inspection by representatives of the STATE. The RAILROAD shall notify the STATE of the date on which the installation will be ready for final inspection. 3 of 4 13. After the portion of the highway signal /crossing signal coordination system in the crossing signal instrument case has been installed and is ready for operation, except as may be otherwise provided by law, the same shall be operated and maintained by the RAILROAD at no cost to the STATE. The STATE shall operate and maintain, or provide for the operation and maintenance of, at no cost to the RAILROAD, the highway traffic signal system and its portion of the highway signal /crossing signal coordination system including the cable between the highway traffic signal controller and the RAILROAD's crossing signal instrument case. If the STATE enters into an agreement with another governmental entity to provide for the maintenance and /or operation of the highway traffic signals and its portion of the coordination system, the STATE shall promptly furnish the RAILROAD a copy of any such maintenance agreement. 14. The highway traffic signals and the cable between the highway traffic signal controller and the RAILROAD's crossing signal instrument case shall be deemed the property of the STATE. The Railroad assumes no responsibility whatsoever as to the proper and continuous operation of the said highway traffic signal system nor the highway signal /crossing signal coordination system. The Railroad assumes no responsibility or liability whatsoever for the STATE's employees and /or contractors during the installation of, or their maintenance of, the coordination system. 15.
