I9 yB , by and between the STATE OF ILLINOIS, acting by and through its DEPARTMENT OF TRANSPORTATION, hereinafter called the STATE, and the Village of Lemont, County of Cook, of the State of Illinois, hereinafter called the VILLAGE. WITNESSETH: WHEREAS, the STATE, in order to facilitate the free flow of traffic and ensure safety to the motoring public, is desirous of improving approximately 139.5 meters (458 lineal feet) of Illinois Route 171 (FAP Route 577 (Archer Avenue) and approximately 71.2 meters (233.6 lineal feet) of 127th Street, State Section: 3114N, State Job No.: C-91-233-97, State Contract No.: 60351, Village Section: 98- 00034- 00 -CH), by making the following improvements: Channelizing and realigning the intersection of Illinois Route 171 and 127th Street/Jane Street, providing 1 -3.6 meter (11.8 foot) through traffic lane in each direction on Illinois Route 171 with a 3.6 meter (11.8 foot) and variable width left turn lane, a 3.6 meter (11.8 foot) thorough traffic lane in each direction with a 3.6 meter (11.8 foot) and variable width left turn lane will be provided on 127th Street with an exclusive 3.6 meter (11.8 foot) right turn lane on southeast bound Illinois Route 171, 127th Street will be realigned south to line up across from Jane Street, creating a four legged intersection, Jane Street will provide 1 -3.6 meter (11.8 foot) through traffic lane in each direction, the shoulder widths will be 2.4 meters (7.8 foot), 1.5 meters (4.9 foot) will be paved to accommodate bicycle traffic, installing traffic signals at the Illinois Route 171 intersection with 127th Street/Jane Street, constructing curb and gutter and a storm sewer system for highway drainage, and by performing all other work necessary to complete the improvement in accordance with the approved plans and specifications; and WHEREAS, the VILLAGE has requested that emergency vehicle pre - emption be added to the traffic signal installation and is agreeable to paying the entire cost associated with the pre- emption; and WHEREAS, the STATE is agreeable to incorporating construction of said emergency vehicle pre - emption in its project; and WHEREAS, the VILLAGE is desirous of said improvement in that same will be of immediate benefit to the VILLAGE residents and permanent in nature; NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: 1. The STATE agrees to make the surveys, obtain all necessary rights of way, prepare plans and specifications, receive bids, award the contract, furnish engineering inspection during construction, and cause the improvement to be built in accordance with the plans, specifications, and contract. 2. The STATE also agrees to pay, or provide for the payment of, all right of way, construction and engineering costs subject to reimbursement by the VILLAGE as hereinafter stipulated. 3. It is mutually agreed by and between the parties hereto that the estimated costs of the improvement and cost proration is as shown on Page 2A. 4. The Village's cost shall be determined by multiplying the final quantities times contract unit prices plus 15% for construction and preliminary engineering. The Village's participation toward traffic signals shall not exceed $7,187.50 which represents 125% of the estimated construction and engineering costs for the aforedescribed signals. s: \wp\p ro j s u pp \agmts\ 1b808 1 8 c. doc Upon award of the contract for this improvement, the VILLAGE will pay to the Department of Transportation of the State of Illinois in a lump sum, from any funds allotted to the VILLAGE, an amount equal to 95% of its obligation incurred under this Agreement, and will pay to said Department the remainder of its obligation (including any nonparticipating costs on FA projects) in a lump sum upon completion of the project, based upon final costs. The VILLAGE agrees to pass a supplemental resolution to provide necessary funds for its share of the cost of this improvement if the amount appropriated herein proves to be insufficient to cover said cost. 5. The VILLAGE has adopted, and will put into effect, prior to the State advertising for the work to be performed hereunder, an ordinance requiring that parking be prohibited along Illinois Route 171 within the limits of this improvement, within the VILLAGE limits, a copy of which is attached hereto as Exhibit B and made a part hereof, and will, in the future, prohibit parking at such locations within, or immediately adjacent to, this improvement, as may be determined by the STATE or be necessary from traffic capacity studies. 6. The VILLAGE has adopted, and will put into effect, prior to the STATE advertising for the work to be performed hereunder, an appropriate ordinance prohibiting the discharge of sanitary sewage and industrial waste water into any storm sewers or drainage facilities constructed as a part of this improvement, a copy of which is attached hereto as Exhibit C and made a part hereof. 7. Prior to the STATE advertising for the work to be performed hereunder, the disposition of encroachments will be cooperatively determined by representatives from the VILLAGE and the STATE. -3- The VILLAGE has adopted, and will put into effect, prior to the STATE advertising for the work to be performed hereunder, an appropriate ordinance relative to the disposition of encroachments and prohibiting in the future any new encroachments within the limits of the improvement, a copy of which is attached as Exhibit D and made a part hereof. 8. The VILLAGE agrees to adopt a resolution or send a letter, prior to the STATE advertising for the work to be performed hereunder, approving the plans and specifications as prepared. 9. The VILLAGE agrees not to permit driveway entrance openings to be made in the curb as constructed, without the consent of the STATE. 10. The STATE shall cause private utilities to be relocated at no expense to the STATE or VILLAGE. Where a municipal utility has been installed 1. on the right of way acquired by the STATE or 2. within defined limits of a route the STATE has accepted for maintenance responsibilities subsequent to the date of such acceptance, the municipality will bear all utility relocation or adjustment costs made necessary by the construction of this improvement. 11. Upon completion of the improvement and final field inspection by the STATE, and so long as Illinois Route 171 is used as a STATE highway, the STATE agrees to maintain, or cause to be maintained, the median, the through traffic lanes, the left turn and right turn lanes, and the curb and gutter or stabilized shoulders and ditches adjacent to those lanes. The STATE will be responsible for the maintenance of lane line and median line markings. -4- 12. Upon final field inspection of the improvement, the VILLAGE agrees to maintain, or cause to be maintained, those portions of the improvement which are not maintained by the STATE, including crosswalk, stopline markings on all effected highways, and maintenance of the mast arm cross street signing facing VILLAGE maintained streets. VILLAGE owned utilities, including all highway appurtenances thereto, highway lighting, including furnishing the electrical energy thereof, and shall maintain the storm sewers and appurtenances by: Performing those functions necessary to keep the sewer in a serviceable condition, including cleaning sewer lines, inlets, manholes, and catch basins along with the repair or replacement of inlet, manhole and catch basins' frames, grates or lids, plus structural failures to a maximum length of 12 feet between adjacent manholes. The maintenance, repair, and/or reconstruction of storm sewers constructed as a part of this improvement beyond the aforedescribed responsibilities shall be that of the STATE. 13. Upon final field inspection of the improvement, the VILLAGE agrees to maintain, or cause to be maintained, Jane Street in its entirety. 14a. Upon acceptance by the STATE of the traffic signal work included herein, the financial responsibility for the maintenance and electrical energy charges for the operation of the signal(s) shall be proportioned as follows: Intersection Level of Maintenance Electrical Maintenance Energy IL171 @ 127th Street/Jane Street II STATE Share 75% 0% VILLAGE Share 25% 100% -5- It is mutually agreed that the actual signal maintenance will be performed by the STATE, either with its own forces or through an ongoing contractual agreement. It is further agreed that the signals shall be maintained to the Level of Maintenance shown above. It is understood that Level of Maintenance II exceeds the manual requirements and is prescribed for those signals that the District Engineer, with the concurrence of the Engineer of Operations, determines to require a higher level of service for adequate operations of the highway at those locations. The STATE agrees to make arrangements with the local power company to furnish the electrical energy for the operation of the traffic signals. The VILLAGE agrees to pay entire cost as billed by the local power company The STATE retains the right to control the sequence and timing of the traffic signals. 14b. Upon acceptance by the STATE of the new traffic signal installation(s) included herein, the responsibility for maintenance and energy outlined above shall become a part of the Master Agreement executed by the STATE and the VILLAGE on May 7, 1982. 15. If in the future, the Department of Transportation adopts a roadway or traffic signal improvement on Illinois Rout 171 passing through the new signal installation included herein, which requires modernization or reconstruction to said installation, then the VILLAGE hereby agrees to be financially responsible for the entire cost to modernize or reconstruct said signal installation and emergency vehicle pre - emption in conjunction with the Department's proposed improvement. 16. The STATE's Electrical Maintenance Contractor shall maintain the "Emergency Vehicle Pre - Emption System" equipment, located at the traffic signal installation to be maintained by the STATE. The STATE's Electrical Maintenance Contractor shall invoice the VILLAGE for the maintenance costs related to the maintenance of the "Emergency Vehicle Pre - Emption System" equipment. The VILLAGE shall maintain the emitters and associated appurtenances at its own expense. The emitters shall be maintained and tested by the VILLAGE in accordance with the recommendations of the manufacturer. Obligations of the parties will cease immediately without penalty or further payment being required if, in any fiscal year, the Illinois General Assembly or Federal funding source fails to appropriate or otherwise make available funds for this contract. THIS AGREEMENT, and the covenants contained herein, shall become null and void in the event the contract covering the construction work contemplated herein is not awarded within 3 years subsequent to execution of this Agreement. THIS AGREEMENT shall be binding upon and inure to the benefit of the parties hereto, their successors and assigns.
