R-91-98 Accepting utilities bill of sale Chestnut Crossing subdivision 127th Street and Chestnut Crossing Drive, Lemont, IllinoisRESOLUTION NO. RESOLUTION ACCEPTING UTILITIES BILL OF SALE Chestnut Crossing Subdivision 127th Street and Chestnut Crossing Drive, Lemont, Illinois WHEREAS Combined Management, Inc., hereinafter referred to as the "Developer ", in consideration of One Dollar ($1.00) and other valuable consideration, does hereby grant, sell, transfer and deliver unto the Village of Lemont, hereinafter referred to as the "Village ", the following goods, namely: I. Each and every part and item of a system for the collection, transportation and treatment of sewage installed at the direction of the Village by Developer or Developer's predecessor, in that part of the Chestnut Crossing Subdivision located at 127th Street and Chestnut Crossing Drive, with the exception of those pipes that transport the sewage of a single building into the sewer main, commonly known as a commercial service; and II. Each and every part and item of a system for the distribution of water installed at the direction of the Village by the Developer, or Developer's predecessor, in that part of the Chestnut Crossing Subdivision located at 127th Street and Chestnut Crossing Drive, except the pipe that transports water from the buffalo box to a single building commonly known as a commercial service; and WHEREAS the object of this Bill of Sale is to grant, sell, transfer and deliver to the Village, with the exceptions noted, the ownership of all items of personal property that comprise the sanitary sewer and water distribution system installed by the Developer to date within that part of the Chestnut Crossing Subdivision located at 127th Street and Chestnut Crossing Drive; and WHEREAS the Developer does hereby covenant it is the lawful owner of the goods described above; that such items are free from all encumbrances; that the Developer has the right to sell the same as aforesaid; and that the Developer warrants and will defend the same against the lawful claims and demands of all persons; and that the execution of this Bill of Sale is an authorized act of said corporation. NOW, THEREFORE BE IT RESOLVED by the President and Board of Trustees of the Village of Lemont to accept the bill of sale and take ownership of these utilities. TWO: Each and every part and item of a system for the distribution of water installed at the direction of the VILLAGE OF LEMONT by the Developer anywhere in the VILLAGE OF LEMONT except the pipe which transports water from the buffalo box to a single building commonly known as a house service. FURTHER BE IT KNOWN: South Holland Trust and Savings Bank, as trustee under Trust #10958, dated May 5, 1994 does hereby covenant that it is the lawful owner of the aforedescribed goods, chattels and personality; that such items are free from all encumbrances; that it has the right to sell the same as aforesaid; and that it warrants and will defend the act of said corporation, individual or partnership.
