R-23-98 04/27/98s 1 RESOLUTION RESOLUTION ACCEPTING AND AUTHORIZING THE EXECUTION OF A GRANT AGREEMENT BETWEEN THE VILLAGE OF LEMONT AND THE ENVIRONMENTAL PROTECTION AGENCY WHEREAS, the State of Illinois enacted an Environmental Protection Act which provides in part for the control of water pollution in Illinois; and WHEREAS, the Pollution Control Board pursuant to said Act has adopted regulations establishng water quality standards and effluent limitations which must be attained by the Village of Lemont in the operation of its sewage treatment plant and associated works; and WHEREAS, grant funds have been provided by the State of Illinois to assist local governments in the construction of facilities which will ensure compliance with the standards and limitations established by the Environmental Protection Act and regulations adopted pursuant thereto; and WHEREAS, the Village of Lemont has made application for a grant from the State of Illinois for the design and construction of a sewage treatment improement and/or modification project which will satisfy the requirements of the Environmental Protection Act and the regulations adopted pursuant thereto; and WHEREAS, the Environmental Protection Agency of the State of Illinois has made an offer of grant for said project designated as C17 8047, a copy of which is attached as Exhibit A hereto; and WHEREAS, the corporate authorities, after due investigation and consideration, have determined that acceptance of said grant offer and entering into a grant agreement with the State of Illinois will serve the public good and is necessary to ensure compliance with the Environmental Protection Act and regulations adopted thereunder. NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Lemont, Cook, Will and DuPage Counties, Illinois: 1. That the President and Board of Trustees hereby find as facts all of the recitals in the Preamble of this Resolution, as well as the description of the project contained in the grant offer (Exhibit A hereto). 2. That the President and Board of Trustees hereby accept said offer and agree to all terms and conditions thereof, including all special conditions, general conditions and assurances contained therein and made a part hereof by reference and also agree that the grant funds awarded will be used solely for the purposes of the project as approved by the Environmental Protection Agency of the State of Illinois in accordance with the terms and conditions of said grant offer. 3. That the President is authorized and directed to execute the said grant offer on or before May 1, 1998, a copy of which is attached hereto as Exhibit A. 4. That the Clerk be and is hereby directed to file a certified copy of this Resolution with said executed grant offer and transmit sufficient copies of the same to the Environmental Protection Agency of the State of Illinois at Springfield, Illinois on or before May 1, 1998. 5. This Resolution shall be in full force and effect from and after its passage and approval as provided by law. (HEREIN CALLED THE "PROJECT ") GRANT AGREEMENT CONTINUED ON PAGE 2 1/98 General Revenue Grant Conditions 1. Scope of Work By acceptance of this grant offer, the recipient hereby agrees that the funds awarded under this grant will be expended within two years from the date this agreement is executed by the recipient for the purposes identified in Section 73 of Public Act 90 -8 as amended which reads as follows: The sum of $250,000, or so much thereof as may be necessary, is appropriated from the General Revenue Fund to the Illinois Environmental Protection Agency for a grant to the Village of Lemont for all costs associated with the drinking water and wastewater system improvements. 2. Project Schedule For the purposes of this agreement, the start date will be the date that the agreement is executed by the recipient and the complete date will be two (2) years from that date of execution. 3. Payment Subject to the appropriation of funds by the General Assembly, a payment for the full amount of the grant will be processed upon submission of a payment request by the recipient. Payment requests should be submitted by June 1, 1998 to receive payment prior to the end of the current fiscal year. All funds including any interest earnings which remain unexpended at the expiration of this grant agreement shall be returned to the State within 45 days. 4. Project Certification By acceptance of this offer, the recipient provides assurance that all grant funds plus any interest earnings will be expended for the purposes intended in Special Condition 1 above in accordance with all applicable Federal, State and local law and agrees to provide a written certification to that effect upon completion of the project but no later than two (2) years after the award of the grant offer. 5. Access a) The Agency and any persons designated by the Agency shall at all reasonable times have access to the premises where any portion of the project for which the grant was awarded is being performed. Subsequent to cessation of grant support Agency personnel or any authorized representative shall at all reasonable times have access to the project records and to the project site, to the full extent of the grantee's right to access. b) Any contract entered into by the grantee for work, and any subagreement thereunder, shall provide for representatives of the Agency to have access to the work whenever it is in preparation or progress and that the contractor or subcontractor will provide proper facilities for such access and inspection. Such contract or subagreement must also provide that the Agency or any authorized representative shall have access to any books, documents, papers, and records of the contractor or subcontractor which are pertinent to the project for the purpose of making audit, examination, excerpts, and transcriptions thereof. 6. Audit and Records a) The recipient shall maintain books, records, documents, reports, and other evidentiary material and accounting procedures and practices that conform to generally accepted accounting principles as promulgated by the American Institute of Certified Public Accountants and to the 13 basic principles set forth by the National Committee on Governmental Accounting, to properly account for: 1) The receipt and disposition by the grantee of all assistance received for the project, including both State assistance and any matching share or cost sharing; and 2) The costs charged to the project, including all direct and indirect costs of whatever nature incurred for the performance of the project for which the grant has been awarded. The foregoing constitute "records" for the purposes of this condition. The recipient's facilities, or such facilities as may be engaged in the performance of the project for which the grant has been awarded, and the recipient's records shall be subject at all reasonable times to inspection and audit by the Agency or any authorized representative. c) The grantee shall preserve and make his records available to the Agency or any authorized representative: 1) Until expiration of 5 years from the date of proj ect certification under Special Condition 4 of this grant, and 2) For such longer period, if any, as is required by applicable statute or lawful requirement. d) Records which relate to litigation or the settlement of claims arising out of the performance of the project for which this grant was awarded, or costs and expenses of the project as to which exception has been taken by the Agency or any of its duly authorized representatives, shall be retained until such appeals, litigation, claims, or exceptions have been disposed of. 7. Termination Any failure by the recipient or any contractor or subcontractor of the recipient found in noncompliance with the terms of this grant or applicable Federal, State and local law shall be cause for termination of the grant and refund to the State of Illinois of the entire amount of the grant funds offered.
