Entering into Lease Lemont-Bomberek School District 113A 7/3/2007 FireworksRESOLUTION R. y (• O'l A RESOLUTION ENTERING INTO A GROUND LEASE AGREEMENT WITH LEMONT - BROMBEREK COMBINED SCHOOL DISTRICT 113A FOR THE JULY 3, 2007 FIREWORKS DISPLAY WHEREAS, the Village July 3rd Fireworks Display will utilize the grounds, playfield and parking areas adjacent to Old Quarry Middle School, contiguous to Lemont Park District on 127th Street, Lemont, Illinois; NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND MEMBERS OF THE BOARD OF TRUSTEES OF THE VILLAGE OF LEMONT, COOK , WILL & DU PAGE COUNTIES, ILLINOIS that: Section 1: Incorporation of Recitals: The foregoing recitals are hereby expressly incorporated into and made a part of this Resolution as if fully set forth herein. Section 2: The Mayor and Village Clerk are authorized to execute the Ground Lease Agreement attached hereto as Exhibit "A ". Section 3: Effective Date: This Resolution shall become effective upon passage, approval and publication, in Book and Pamphlet form as provided by law. PIAZZA, Villa ;e Pre 'd CH RLENE SMOLLE , Village Clerk t GROUND LEASE Lease Term: July 3 — 5, 2007 Monthly Rental: None Purpose: Community Fireworks Display Location of Premises: Grounds, playfield and parking areas adjacent to Old Quarry School, contiguous to Lemont Park District on 127th Street, Lemont, Illinois LESSORS: LESSEES: Lemont - Bromberek Combined School District 113A 16100 127th Street Lemont, IL 60439 Village of Lemont 418 Main Street Lemont, IL 60439 IN CONSIDERATION OF THE MUTUAL COVENANTS AND AGREEMENTS herein stated, Lessor hereby leases to Lessee and Lessee hereby leases from Lessor solely the property legally described on Exhibit "A" attached hereto and make a part of hereof, for the term show above. THE PARTIES AGREE that Lessee will keep said premises in a clean and wholesome condition, in accordance with the ordinance of the village, and directions of the health officers, and that, at the expiration of the time in this Lease mentioned, Lessee will yield up said premises to the Lessor in as good condition as when the same were entered upon the Lessee. THE LESSEE HEREBY AGREES TO 1. Lessee agrees to use the premises exclusively to set -up and perform the community fireworks display, and breakdown and clean up the display from the property within the time above - described. 2. Lessee will name the Lessor as additional insured with a Liability Insurance Certificate approved by the Lessor for an amount of not less than $1.5 Million Dollars. 3. Lessee will hold - harmless and indemnify the Lessor from any incident, accident, or event that may occur on the Lessors' property during the term of the Lease. 4. Lessee will promptly (within seven days), pick up and clean the subject property to Lessors' standards by the staff or vendors of the Lessee. In the event of disagreement, Lessor has the right to select a vendor or vendors to complete the clean up and charge the Lessee for any direct cost. 5. Lessee represents that it will monitor and supervise performance by the Village of Lemont Police Department, Fire Department Staff and other required personnel to provide for public safety and protection of Lessors property. THE PARTIES FURTHER AGREE that should there be any default under the terms of this Lease, the prevailing party shall be entitled to reasonable costs, attorney's fees and expenses that shall be made or incurred by either party in enforcing the covenants and agreements of this Lease. THE WORDS "LESSOR AND "LESSEE" wherever herein occurring and used shall be construed to mean "Lessors" and "Lessees" in case more than one person constitutes either party of this Lease, and all such persons shall be jointly and severally liable herein; and all the covenants and agreements herein contained shall be binding upon, and inure to, their respective successors, heirs, executors, administrators and assigns and be exercised by his or their attorney or agent. IT IS FURTHER UNDERSTOOD AND AGREED that all the conditions and covenants contained in this Lease shall be binding upon their heirs, executors, administrators and assigns of these presents, respectively.
