A RESOLUTION ENTERING INTO A LETTER OF INTENT
WITH CARLSON BROTHERS INC. FOR A NEW PUBLIC WORKS FACILITY
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND MEMBERS OF THE
BOARD OF TRUSTEES OF THE VILLAGE OF LEMONT, COOK, WILL & DU PAGE COUNTIES,
ILLINOIS that:
Section I: The Mayor and Village Clerk are authorized to execute the Letter of Intent with Carlson
Brothers, Inc. attached hereto as Exhibit "A ".
Section 2: Effective Date: This Resolution shall become effective upon passage, approval and publication,
in Book and Pamphlet form as provided by law.

Re: Letter of Intent
New Public Works Facility — Lemont, Illinois
Dear Mr. Piazza,
The Village of Lemont is presently seeking to construct a new public works facility in Lemont,
Illinois. Subject to the conditions stated herein, Carlson Bros., Inc. submits this Letter of Intent
for the design and construction of the building and site improvements.
1. SITE. The site is located approximately at the southeast corner of New Avenue
and Illinois State Toll Highway 355 ROW which will be annexed within the
corporate limits of Lemont, Illinois before construction.
2. BUILDING. The building will be based on a site plan and building schematics
as prepared by Frank Novotny and Associates, Inc. dated October 7, 2004. The
building will also be based on supplemental information that was provided by the
Village of Lemont dated 10- 22 -04.
3. CONTRACT PRICE. The final contract price will be determined based on the
base proposal as submitted and dated November 4, 2004, allowance prices
submitted within the proposal and follow up clarifications. The final value is
subject to final negotiations between the Village of Lemont and Carlson Bros.,
Inc.
4. DOCUMENTATION. Within fifteen (21) days after the execution of this Letter
of Intent the parties shall negotiate in good faith, and fully execute a formal
construction agreement consistent with the terms and conditions and containing
such additional covenants, representations, warranties, and conditions as detailed
within the performance specifications provided by the Village of Lemont.
5. NON - BINDING. This letter is intended only to express the intent of the parties
to enter into an agreement. Neither party shall be legally and fully obligated to
construct or purchase construction services unless and until the parties execute the
Contract.
6. DELIVERY. Carlson Bros., Inc. intends to deliver a completed building within
period detailed in the project manual (November 2005). This delivery is based on
the Village of Lemont providing a signed letter of Intent no later than January 11,
2004 and executing a construction agreement no later than January 25, 2005.
If the terms of this letter are acceptable to you, please execute the enclosed duplicate copy in the
space below and return it to the undersigned. Thank you in advance for your time, and we look
forward to a successful project with you and the entire community.
