The Village has worked with All Together Studio since 2021. This amendment continues their retainer agreement through the end of FY 2024-25. R-31-24 A RESOLUTION AMENDING RESOLUTION R-02-22 APPROVING A RETAINER AGREEMENTS WITH ALL TOGETHER, LLC WHEREAS, the Village of Lemont, Counties of Cook, Will and DuPage, Illinois, ("the Village") is a municipality in the state of Illinois with full powers to enact ordinances and adopt resolutions for the benefit of the residents of the Village; and WHEREAS, on March 22, 2021 the Village approved Resolution R-17-21 to enter into a contract services agreement and a retainer agreement for a Lemont Communications Strategy; and WHEREAS, on January 24, 2022 the Village approved Resolution R-02-22 to amend a contract services agreement and a retainer agreement for a Lemont Communications Strategy; and WHEREAS, the Village is desirous to amend and extend the retainer agreement until April, 2025 as further outlined in the agreements attached as Exhibit A ("Agreement"); and WHEREAS, the Village President and Board of Trustees find that it is in the best interests of the Village to authorize an Amended Agreement with All Together, LLC; NOW, THEREFORE BE IT RESOLVED by the Village President and Board of Trustees of the Village of Lemont, Cook, Will, and DuPage Counties, Illinois, as follows: SECTION 1: RECITALS That the above recitals and legislative findings are found to be true and correct and are hereby incorporated herein and made a part hereof, as if fully set forth in their entirety. SECTION 2: The Village President and the Board of Trustees hereby approve the Agreement attached hereto as Exhibit A. SECTION 3: The Village President or his designee is hereby authorized to execute the Agreement between the Village and All Together, LLC in substantially the form attached hereto as Exhibit "A.". SECTION 4: EFFECTIVE DATE This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law. P 4 April 9, 2024 Retainer Agreement between ALL TOGETHER, LLC (Consultant) and the VILLAGE OF LEMONT (Client). Ongoing Marketing Strategy: $4,180 0 Maintain bi-weekly newsletter distribution 0 Create 2-3 boosted social posts per month, plus event -focused social content o Create 1 video/reel per month o Write and pitch stories to media outlets (1-2 per marketing push, 6/8 per year) 0 Write 2 blog posts per month (1 focused on theme, 1 featuring events or businesses) 0 6-8 site visits per year to gather video content o Manage and plan monthly virtual meetings with staff o Manage and plan quarterly merchant meetings (in person) o Design and support programs/events related to each marketing push o Design of print ads and marketing materials o Management of google ads 0 Maintenance of website and SEO o Work with Enjoy Illinois to share stories from Lemont • Social Media Management: $1,500 0 4-5 Social Posts Per Week for Instagram and Facebook (Trial of TikTok) with Social Captions, Content Creation, and Monthly Calendar o Engage with social account comments and direct messages, engage with Merchant posts o Build quarterly social reports o Includes 2 hours of content review/refinement per month from All Together • TOTAL RETAINER AMOUNT: $5,680 All Together will proceed with marketing communication services for the period of May 2024 to April 2025. The total retainer amount of $5,780 will be billed on a monthly basis. Work priority and schedule will be at the discretion of the Client and will normally occur between the hours of 9AM to 5PM on weekdays unless otherwise specified. Any additional services or hours requested of the All Together team beyond those listed in this agreement will be conducted on an hourly basis and billed according to discounted retainer billing rates listed below. If requested, a fee estimate will be provided for a task or an assignment based on a defined work scope. Staff Retainer Rate $ 160 Any expenses exclusive of normal overhead are not included in this agreement and will be incurred directly by the client. Invoicing: The project will be billed monthly through project completion. Termination: Notwithstanding any contrary provision contained elsewhere in this Agreement, this Agreement and the rights and obligations hereunder may be terminated: - by Client immediately if Consultant defaults in the performance of Consultant's obligations under this Agreement, including failure to provide the products or services set forth in the Statement of Work within the times specified. Any moneys due to Consultant shall be compensated fairly against actual work performed; or by Consultant immediately if Client defaults in the performance of its obligations under this Agreement. Either party then may terminate this agreement by providing 30 days advance written notice, which notice shall not be provided until at least 30 days subsequent to the execution date of this agreement. Ownership of Work Product: All Materials developed or prepared by All Together or its employees or Subcontractors for Client hereunder shall become the property of Client and deemed "Work Product" provided that (i) the Materials are produced in final form (i.e., ready to be disseminated to the public) by All Together for Client; and (ii) Client has paid to All Together all fees and costs associated with creating and, where applicable, producing the Materials. All title and interest to Work Product shall vest in Client as "works made for hire" within the meaning of the United States Copyright Act. Trademarks: All Together may create or develop trademarks for Client, in the form of taglines, slogans, logos, designs, or product and brand names (collectively, the "Marks"). Client shall ultimately be responsible for confirming availability and registering such Marks. Marketing: Client hereby grants All Together the right to use the name and service marks of Client in its marketing materials or other oral, electronic, or written promotions, which shall include naming Client as a client of All Together and a brief scope of services provided. In addition, Client hereby grants All Together the right to display the final Work Product created through this scope of work on All Together's website and in promotional materials. Compliance with Laws: All Together shall give notices and comply with laws, ordinances, rules, regulations, and orders of all public authorities applicable to these services and shall comply with all federal, state, and local tax laws and social security, unemployment compensation, and workers compensation acts applicable to the performance of these services. Entire Agreement: This Agreement contains the full understanding of the parties with respect to the subject matter hereof, and it supersedes all prior proposals, agreements, memoranda, statements and representations, written or oral, between the parties. All Together will begin work after receiving written authorization to proceed via email.
